Board of Directors

The HI-FIve™ Board of Directors shall be comprised of, at minimum, three (3) persons, nominated annually, with each person to serve a one year term to run concurrent with the HI-FIve™ Fiscal Year (Jan. 1 - Dec. 31).

At minimum, One (1) Board Member shall be a bona fide INDEPENDENT OUTSIDE DIRECTOR. (ie; having no direct responsibility for the day-to-day operation of HIFI).

The Board of Directors shall serve at the discretion of the Chairman of the Board and are charged with upholding shareholder interests at all times. Board members will be nominated and ratified periodically, typically at the Annual Shareholder Meeting each year, or, at any other time as may be deemed appropriate and necessary by the Board of Directors at its sole discretion.

The Outside Directors will be compensated solely via Equity Participation by way of a common share grant issued periodically at the discretion of the Chairman of the Board, and ratified where necessary by a simple plurality of the shareholders.

HI-FIve™ Chairman's Letter

This is not my first SL IPO; after successfully incubating and launching SLTronicsMedia (SLTM) , listed on the SL Capital Exchange in 2007 and subsequently selling it to MetaNetworkMedia (MNM) before its demise, I have decided to re-enter the SL Capital Markets with a new product suite and will fully focus my energy on building a company that will do more than just sell SL televisions. Please allow me to introduce HI-FIve™, a hi-fidelity multi-media technology company based in Second Life(tm).

Business Overview

HI-FIve™ is BRAND NEW! We learned a lot the first time around... the underlying technologies that we're implementing are innovative and unique to HI-FIve™ and help solve many of the challenges people experience with SL Multimedia products.

For example, our new Electronic Program Guide (EPG) embedded in each of our media system consoles is centrally managed by HI-FIve™ personnel thus allowing us to proactively monitor and manage the streaming content links provided with our systems.

The new HI-FIve™ Premium Entertainment Console now fully supports 16x9 wide-screen resolutions right out of the rezbox. We'll be developing support for MP-4 streams and are also targetting development of a YouTube re-director.

Perhaps one of our most unique new features is a fully integrated Ad Network embedded in each media system console. This new interactive Ad network will allow residents to view interactive Advertisements in the comfort of their SL home.

The Ad System will be able to deliver landmarks on demand. Everything is dynamic and can be controlled from the HI-FIve™ HQ... system upgrades and fixes are automatic and painless - just click and go!

Business Strategy

The HI-FIve™ Business strategy is more robust this time around as well. Where previously I relied on a single large store for Marketing of prim-based products and depended entirely on the sale of a small range of TV products for our revenue stream, the new HI-FIve™ AD Network system will allow us to leverage several different revenue opportunities;

(1) sure, we'll sell lots of TV's as always
(2) We will generate Advertising Revenue on the placement of Commercial spots on our network
(3) We have the potential to derive additional commission income on the Sale of products delivered through our Advertising Network.

Clearly this is not your run-of-the-mill first generation SL TV! ... Gimme a HI-FIve™.

To maximize our Market visibility in SL we'll look to deploy 8-10 attractive storefronts across the grid in high traffic locations to showcase the HI-FIve™ technology and Brand and will also utilize a commissioned sales force to help drive Advertising revenue.

We're also looking to diversify our product offerings with a range of prim-efficient models segmented along Business or Consumer-oriented features. More to follow in that regard - stay tuned!

Business Strengths

The greatest strength in HI-FIve™ is clearly our NEW Media system and the various technologies that will be implemented when the IPO is complete and our financial performance allow it.

I've also recruited two very talented individuals in their own right to serve with me on the HI-FIve™ Board of Directors. Both Bogart Beck and Orage Lubitsch have supported my entrepreneurial development efforts since the earliest days of SLTM - I'm pleased to have them back on board as my advisors.

I've made and maintained many valuable contacts across the SL Grid over the last several years. I'm confident these freindships and business relationships will help HI-FIve™ gain rapid market share, recognition and most importantly revenue.

Use of Capital

HI-FIve™ operates in a business segment that is constantly evovling and competitive - new possibilities arrive with almost every SL client update. That means the biggest expense for HI-FIve™ is paying scripters to keep the HI-FIve™ Entertainment Consoles ahead of the current market.

We'll primarily use the capital raised during IPO to perfect our intellectual property, extend our product development effort, and pay general operating expenses such as Marketing, Advertising and sales commissions. We'll also maintain a healthy and conservative capital reserve to make sure that HI-FIve™ is a strong business that can survive surprises in the Second Life Media industry.

Risk Factors

I don't really see any uunusual risk factors in HI-FIve™, we are already off to a great start with a portfolio of products with legitimate "WOW" quality. Since there is no big investments in land I feel safe about everything with HI-FIve™. Regardless, it is probably appropriate to add this general caveat emptor for the readers consideration.

Capital Investment both in real-life and Second Life(tm) is fundamentally all about MANAGING RISK and is primarily about balancing the risk versus reward scenario. In any Investment opportunity there may be SUBSTANTIAL RISKS which must be thoroughly and diligently considered.
