I have received a request from the people behind the Galaxy Corporation (GXY) CEO avatar Stevie Cooperstone for a current shareholders list of GXY, so they can delist the company from Capital Exchange. I am supporting this request due to the fact that over a long period of time, the actions of individuals behind Galaxy Corporation (GXY) have been disturbing, untruthful, and I no longer feel that allowing them to be listed at Capital Exchange is in our best interests. Let me explain why I support GXY’s delistment.

Originally, the Galaxy Corporation (GXY) performed a L$3,000,000 IPO back in July of 2011. I had allowed the people behind the Cindy Vichan avatar to sell IPO shares off-exchange directly to GXY shareholders, instead of going through the software. This allowed the people behind the Cindy Vichan avatar to collect lindens directly from investors, and give them GXY stock at the end of the GXY IPO. Note that the IPO fee was paid on all L$3,000,000 worth of GXY shares sold, even though the amount of lindens collected directly through the software was much less.

I had loaned Cindy Vichan (the original GXY CEO) lindens to purchase remaining IPO shares, and stated that the lindens must consider part of Galaxy Corporation when reporting financials, and the CEO agreed to this. The lindens were paid back to me at the end of the GXY IPO, and now Cindy Vichan owed the lindens to the company for the shares purchased. Unfortunately later on, Cindy Vichan claimed these lindens were never part of the IPO, and basically this means that Cindy Vichan received millions of shares of GXY without actually paying for them, or sold them at a discount to others and kept the lindens. This bothered me greatly a year after the IPO ended, but there was nothing I could do about it because it had already been done. Please read my previous post in the GXY forum about what was supposed to be resolved with this, which never was.

It should be noted that because of the problems that arose from this, the policy of off-exchange share selling was discontinued and I don’t allow this anymore. In hindsight it was a bad decision on my part because someone who is unethical took advantage of the situation to claim the lindens were never collected, when what I think happened was that IPO shares were sold to friends and investors for less than the IPO price, and the lindens went directly into the pocket of the person at the time.

Regardless, with that being said, things started OK for GXY. However, dividend payments were lacking in substance. With on average roughly 70% - 90% of the shares being controlled by the CEO or alts, about L$235,000 in dividends have been paid in total – but this means that roughly only around L$35,000 in dividends have been paid to avatars other than the CEO and GXY employees in 1 year and 8 months. That is hardly anything at all for such a large IPO, with a company that claims millions of lindens in assets. Furthermore, GXY tried to get around paying dividends to most of their shareholders by only offering payments to the largest shareholders. This is against the rules at Capital Exchange (and illegal in rl as dividends must be paid equally to all shares in the same share class) and I fought against this strongly.

Also for the record, the people behind the Cindy Vichan avatar (Chandice Slafford, AdamWintz Resident, Giant Earthboy, and others) tried to install the avatar Markzanders Resident as GXY CEO. To make a long story short, it was brought to my attention that this person in real life pled guilty to felony money laundering charges. I refused to allow this person to be GXY CEO on the grounds it violated common ethics rules, even though when I spoke to him over the phone he was very honest and open about his situation, and he understood my position. It’s unfortunate, but I think you all can understand why I objected to this individual as CEO. However, it was just another odd occurrence with GXY that made me worry about company operations.

When the person behind the Stevie Cooperstone took over GXY, I thought we had a fresh start, however soon it became clear that it was the goal of this person, along with the original people that controlled the Cindy Vichan avatar, that they wished to do things differently and eventually not be a part of Capital Exchange. To make a long story shorter, I spent countless hours on the phone talking to people purportedly behind all the avatars I listed above (I’m so confused anymore who controls which ones at this point) trying to find common ground for GXY to stay listed here (as well as AAS). As of today I see no resolution to the situation as is clearly obvious.

There are other reasons and rule violations I could go into, but I think everyone has the idea of what my point is. I believe there are a few really good people that are part of GXY, some of which I have talked to on the phone. Unfortunately, they refuse to see the clear truth about is going on, and will probably only learn the hard way one day as so many others have unfortunately.

With claims of fraud against one of the individuals even before I took over Capital Exchange, combined with all the actions I just typed above, I feel delisting Galaxy Corporation (GXY) is the only way to keep honesty and integrity of other listed companies at Capital Exchange intact. As with Advanced Avatar Solutions (AAS), I have requested that current GXY shareholders at Capital Exchange be given the option to receive buybacks for what the IPO price per share was, but have not received a reply. I will strive to get the people behind the Stevie Cooperstone avatar to give some type of refund before this matter is closed finally, but I’m not optimistic this will happen. Anyone that has GXY shares will unfortunately have to contact the GXY CEO avatar Stevie Cooperstone about getting their investment lindens back.

Capital Exchange shareholders should know that a vast majority of listed companies here do not engage in such activities that I have explained above. We have a lot of great CEO’s and honest listed companies, and we’re just going to chalk this one up as experience and move forward. I’m sorry for any inconvenience this may cause GXY shareholders, but as you know at the end of the day it’s the CEO that controls company stock, and not me or Capital Exchange.

Galaxy Corporation did do a buy back, it was posted.

It was smart to buy out the few investors who drag the price down, and would be smart to do another buyback also.

Some invest only for dividends, and some invest into a growing company they want to see become a long term success. For GXY, it has never been one to gather up IPO and SPO money then hand it back out as dividends, GXY on the other hand is a long term growth company developing a solid system for search & shopping in SL and other grids.

I am not a GXY customer or shareholder but I run a similar business. It's not easy to give updates on everything thing because well...sometimes you just don't have anything to update because of the time factor. All this is to say, if you want instant gratification as a shareholder, investing in a company the does programming is probably not the best choice for you. The industry is cyclical.

As Galaxy CEO, I have reviewed the daily shareholder report and can verify that each person posting does have shares of Galaxy stock and as such, have full rights to voice in this Galaxy forum. As to your post, RainbowGirl, I will offer the following: you, as a past CEO, out of courtesy and due to your full and continued interest in this company, Galaxy has afforded the options for you to join in and know about all Galaxy projects. You participate in the various networks and programming taking place and are very helpful doing so. I know you willingly provide information to interested shareholders. With you vast knowledge of this company, it is good to have your participation. You have been a huge help testing the additions to the network HUDs and you have not asked for any payment for all that assistance.

Regarding the funds being returned to investors on a limited basis and to small group, I believe some of the larger shareholders declined to accept the payments as a courtesy and of their own volition. To my knowledge Galaxy has not singled out anyone to "short change" them, nor do I see that as even a possibility. Any shareholder reading this forum should be realizing not only can they come to me, but also to you with your expansive knowledge of Galaxy history and of all its current projects.

As I posted in a previous forum, I am tired of taking so much of my time as in the past, posting every inch of what is happening, only to get rebuked, slapped down, or ignored. You are very good about reading the posts in the group and I am suggesting these other shareholders have the same option. I have given in, perhaps given up, to the apparent need some people have to see Galaxy as a "failure" and others causing it's stock to drop to a very low per share value. I have chosen to invest my time as CEO into other facets of Galaxy's success. Galaxy is not going to be allowed to look good. I thought I could buff off the tranish, but nope, wasted effort. It has always been projected as the "bad company with all bad people" and nothing I can do, including posting here in this forum, is going to change that.

As to the ownership of DFC, it is a conglomerate of networks under a single entity. Galaxy is a production company which owns the software with AAS as the marketing tool which controls sales.

I have had some investors ask questions on my IM. I try to answer each and every one. I hope I did not miss any during all my hassles with SL's repeated crashing for days on end (i lost my IMs each time). When an investor shows the interest to ask me specific questions, I am happy to respond to them. I never consider that anything but positive investment of my time. I will post in the forum when there is new information, but not on the daily/weekly basis as I did in the past. Galaxy is working extremely hard on the network programming, when something new happens, I will post that information to this forum.

It is my understanding the owners of ADS are from the UK. Galaxy people are scattered all over the USA. Skip has mentioned in public having had verbal conversations with various parties in Galaxy, sometimes several on conference call. Those were US locations. I am thinking ADS has taken in approximately L$6million and taking pay checks according to their reports. Galaxy has paid out dividends per the list you included in your "reply" above and not taken any salaries.

I am not sure how your have compiled such an analogy as you present in this forum. Surely anyone reading it will see realize you are ill informed, or grasping at straws so to speak. For instance, your claiming funding for a Galaxy SPO. There has never been one. You are a member of the Galaxy Group so you have been receiving all the notices posted on an almost daily basis. I am thinking you have not read any of those. The posts are on every facet of what is happening with the projects. There are websites for you to review. You are a shareholder so you have been receiving the dividends per the numbers above. I know Marishka suggests posting more in the forum. I tried that. To say you have "been slapped in the face", after all the work done at Galaxy to make a successful company points up the seemingly futile efforts of trying to inform further. And, again, no one said anyone HAS to get a HUD to know about Galaxy. It amazes me how people jump on simple statements and suggestions with such vigor to condemn. I do remember you taking me, as a CapEx member, from your shop to one of your rentals to explain to me how great a design job you did on the home and how superior it was to the competition, how many more you planned to place on your land for rent and such. I found it quite informative. You discussed CapEx things as well. I guess I fail to see how a suggestion to use the Galaxy HUD to see its merits differs from checking out your rental to see its merits. I did not mean at all you criticized the HUD. The lack of information results from this CEO feeling in a position of all I try to do, explain, offer is a wasted effort in CapEx. It is seemingly an objective for Galaxy to be shown in bad light by the "whomevers at CapEx". It seems to be an objective to run the share value down. There has been a lack of communication with the shareholders of GXY for quite some time now. It would not hurt to at least update shareholders at least once a month on what is going on within the company.

There was a comment that Galaxy Corporation owns Digital Financial Exchange. It was my understanding that AAS owns it. I believe someone needs to make a clarification on this.

What IPO or SPO? you got your wires crossed again, GXY did not take any SPO ever!! Only a small 316k IPO back in July 2011, where we paid IPO fee and advertising with CAPEX from the IPO funds, GXY only withdrew 54k L$ from IPO funds for tier one month. We left IPO funds at capex for over 8 months as Skip debited it each month for capex ads.

Noting in return you say? I add up to 235,839 L$ and... 287,662 investor rewards = 523,501 L$ paid to investors

If the shoe fits well don't insert in mouth as they say, prove to me and the other shareholders that Cindy is not Amy and your not Wili just blowing smoke up our virtual arses, put your lindens to where your virtual mouths are and put forth a product/products that come out and provide div's to us shareholders.

The way I see it GXY has more to prove that your not ADS as of late your coming in second in my opinion broken promises no div's wtf people come on, we've bought into your companies provided funding through your IPO's/SPO's and for what nothing in return except virtual slaps in our faces...

If I owned a sizable stake in GXY that is very likely what I would do, get a hud and find out more.
However, the main channel of information should be this forum, not the use of your product.
It wouldn't even cross my mind to tell MRG shareholders to rent a house from MRG to know what the company is about and how we differ from the competition.
I have not voiced anything negative about your hud, if I am critical, the criticism doesn't reflect on your company as such, but on the information or lack thereof that is provided here. I might also be critical of company results, or of dividends, or share an opinion about the shareprice.
You shouldn't confuse that with criticism on GXY products.

It was an attempt to clear out dissatisfied investors and instead upset rather than pacified, nor accepted as a good plan . I admit it is hard to stay "pumped up" when Galaxy is berated on every front for any of its actions. I will attempt more diligence with reporting to shareholders. Galaxy is now in a programming phase with heavy demands on creating networks to pass to the sales company, AAS. This is not a dividend generating process from Galaxy itself. And, it seems Stroh was indicating the CEO and, I suppose top shareholders, are setting up an attempt to buy up shares and paying themselves solely. I assure you that is not the case, nor will that happen during my tenure as CEO. Thank you for your interest.

That is offensive, especially when I witness actions some other companies on this exchange appear to be doing activities to the detriment of their shareholders. As CEO it is possible for me to review the list of shareholders' daily transactions and I see zero move in the direction you imply. Galaxy history, of which I know personally only since becoming CEO, shows "we" do not pay ourselves". Galaxy is busy on current projects to build toward dividends which I do not consider "selfish" as you suggest. Galaxy is a developmental company. It does have slower times during periods of creating/programming products. Since the CapEx forum is for voicing opinions, we have each done so. Thank you.

When we paid all the profit to investors with our investor rewards program we got bitched out for doing it... and we took zero for our self. Read past forum posts if you cant remember this data :)

Now we are doing more programming and not doing much sales at all now. We have several projects we are working on, none are at the point of making sales yet.

We did do a buy back, and the few investors other than staff have decided GXY needs to be at .60 L$ so let it be. Im not selling, and our staff are not selling. So Be It.

Strap on your Galaxy Hud and see what we are doing if you care to know that is...

I read your last contribution to this forum thread and appreciate that you are presenting your ideas through an educational format. Although you do not hold GXY shares, I also see what you are saying. If many buy/sell CapEx investors are in line with your views, it makes sense some may want something different than what I am doing with GXY. Since so much of GXY business has SL and RL combinations, I must operate on a somewhat different level which requires me to take care of my supportive investors while trying to take care of paying dividends as well. I dont hold galaxy share but i hold many e2l...gvc...capex shares.....<=what could be the reason to hold these kind of shares it thats not for dividends reasons....even the day trader keep these shares in portfolio to have at least regular incomes....


Many people calculate the value of the shares on the assets...thats fine but i personaly prefer to calculate the performance of a single share ....i mean the ratio dividend/share vs cost/share....and those company who have a good ratio dont have to deal with daytraders to much....check by yourself last NAV of smartbots for example=1.28.(complety meaningless regarding the perf of the company)...each share cost above 3ls/share....dividend 0.4/share.....total number of shares 4 millions if i m not wrong ....these shares have a very high performance....

Few days ago ...during the slg vtm merger...some people tried to explain that i had to calculate the true value of share only on the nav.....but i also add the performance on this calculation and thats all the difference between slg and vtm=>nav=3.5ls/share ...dividend 0.15/month.....slg nav=0.95....dividend 0.12/month......for me it appear clearly that slg had more value than vtm

Now i will not tell you what to do and how to do it....just check whats happend in other companies as you have check what happened in ADS....

With the recent upheaval, I feel I need to protect your shares and do not plan to do this long term. I in no way replicate what is going on in ADS. Sorry...i m not a galaxy shareholder...but few weeks ago i have discuss with cindy....
If galaxy have to much shares and by this way cant reward the shareholders with correct dividends...maybe buying back the shares in order to destruct them could be a good way to increase the dividend per share

Now if you dont want to keep the dividends by your side as you and cindy have 80%of the shares...you could purpose a secondary dividend...like gvc

Or if you want to reward those who buy more than the others you could purpose to reward them with some of your products....after giving a correct dividend to all the shareholders of course...

But the most important to understand is that most of the shareholders are waiting for dividends like your bank is waiting for the monthly payment when you request some money....we are like little banks:) do you know a bank which accept a discount for giving you more money each time?...

Personaly i will not invest in a company if this company dont understand that i need monthly lindens in exchange of the money i have invest in it....everybody need stability....

Example:
100 shares * 0.0052 = 0.52 L$
1000 shares * 0.0052 = 5.2 L$
5000 shares * 0.0052 = 26 L$
10,000 shares* 0.0052 = 52 L$
50,000 shares* 0.0052 = 260L$
100,000 shares* 0.0052 = 520L$

Pay out by Rewards Program:
10,000 to 19,999 shares - 1,000L$
20,000 to 49,999 shares - 2,500L$

To post the CapEx style dividend at the same level as our above Rewards Program, GXY would need to post over L$1,600,000 dividend.

Conclusion:

Thank you for your request for explanations of pricing for Galaxy Corporation (GXY) networks. I have broken down the items included and have those listed as follows:

NETWORK

Each network is customized to customer's needs. Each network will have a unique name along with communication paths for parameters of established functions such as directory for locations, catalog for shopping, events for activities calendar, links to media, and user to user communications (with all members on the network regardless of which grid)

Each network will require one Network HUB and one Network Monitor, as a minimum. Then a network can choose to add other servers to perform network functions, such as Object Delivery Servers, Message Servers, Image Texture Servers and Teleport Servers. Servers also can be created for specific network needs.

OurBase Network Package for L$74,950 will include everything needed to get started using all the available network functions. One of each server device.

NETWORK SERVER BREAKDOWN

Network Monitor is a device used to administer the network, where the network owner / staff can make changes to the network and server settings, view and manage members and other network functions.

All servers use data channels to communicate to each other. A server can make a connection multiple times to the HUB Server if needed. HUB servers will use one channel to connect to each server, but many channels can be used to increase speed and multiple connections at one time. Further explanation of channels will be given below.


Network HUB Server is a device that is the key communication center for the network in a given grid. This HUB Server will communicate with the network database and the in world network servers, to perform all network tasks and functions. If the network is going to exist in many grids, then each grid will need a minimum of one Hub Server in each grid.

Object Server is a device designed to deliver objects to network members within the grid. Objects can be boxed products or notecards, landmarks, textures. All objects will be sent to the member and saved to the members inventory.

Image Server is a device used to display image textures on prims within the grid, such as for use on ad boards or billboards. Image Textures can be placed on prims anywhere a texture can be displayed in world.

Message Server is a device used to send messages fromt he network to members in world. Messages can also be sent to members in other grids if a HUB Server is established in another grid.

Teleport Server is a device used to send a teleport link to a member in local chat for any given location within the grid.


Add-On HUB Servers can be purchased to add more channels and HUB Distribution points within a grid or to add network communication in other grids. If your network would like to be in many grids, then purchase an add-on HUB server and place it into the desired grid.

NETWORK KIOSK DEVICE

Members can add content into the network using the Kiosk Device. Included is a basic in-store kisok with the base network package. It will allow members to rez the device and add listings to the directory, catalog and events. This device is copy/transfer to the network owner. Each kisok can have the network logo or any logo within the network image texture server. Kiosks should be sold by the network as no copy no mod and only transfer.

WEARABLE HUD DEVICES

Members will use a HUD (Heads up display) device to access the network functions. Each base Network Package will include our Magic Hud.

Magic Hud will allow basic viewing and searching of the network content. This HUD can be easily distibuted as copy and transfer to members where members can pass on a copy to friends. Each HUD can have the network logo or any logo within the network image texture server.

Rotating ads are displayed on the HUDS and all revenue from the ads will be split 50% with Galaxy Corporation.

I can see your point, but... but.. we did state in the past posts, the CEO nor any of the staff will receive rewards.

If we take L$ and pay a dividend, then with the system in place at capex, our CEO and Staff will get aprox 90% of the funds. With our rewards, the investors get much more and CEO and Staff do not get anything.

Our rewards program does mimic the practice of other RL companies, such as http://www.berkshirehathaway.com/

Rewards are comprised from samples of our products, services, access to special training or allocations of L$.

This month we were happy that we could lower the min requirements to allow more investors to get paid, and the sample box of products will be sent out to all investors over 1000 shares. Our products are transfer perms, so investors can sell the products or use them.

We aim to have long term investors who care about the company, and we will in turn show we care by the rewards we extend each month.

Our feedback has been positive for this rewards program.

The investments have kept GXY strong to continue creating products. Galaxy has produced many products already being distributed, such as a Galaxy Magic HUD, Galaxy Smart HUD, and Galaxy Tablet HUD. Galaxy Corporation (GXY) is soon releasing the Mannequin HUD and the Galaxy Office Phone. Also being distributed currently is the Galaxy Network Kiosk, Galaxy Slim Kiosk, and Galaxy Cash Register.

There are products too numerous to list which are being sold on SLMarketplace and in stores around SL, such as the Insilico store where the products are in strong demand for the war style games in that community.

Stores are functioning to create the presence in SL which is needed to help propel GXY into the profit category all shareholders have wanted to see happen. I was fairly brief in my Reminder Notice about doing the IM to receive qualified rewards and perhaps didn't make it clear on my original posting. Thanks for letting me know the eligibility requirements slipped past some of our shareholders. I need to advise those interested to watch my forum postings on this program as we do make changes per Linden Lab rules in order to always be in compliance with those and with CapEx regulations.

There is nothing wrong with "bantering back and forth" about GXY and perceived issues that pertain to the company. Everyone here in this thread is being respectful, and people have the right to ask about or to even complain about certain policies. Ultimately in the end, if no rules are being broken, the policies are set by you the CEO.

At this point if you choose to have a "rewards program" the way I understand it is set up, I see nothing wrong with it. Basically GXY is paying a few lindens to people that have a higher amount of shares, which some interpret as "dividends" but I don't at this point because the amount isn't that much. But I see no "drama" in this thread - all I see are legitimate questions. Thanks.

My research seems to point up this program was implemented in fourth quarter, 2011, as approved and even applauded since it was not dividend related. I read it was intended to reward the investors who loaylly bought and held stock. It seems to have generated a boost in the sale of stock which then infused profitability to later pay dividends.

If you compare, the program is expanded to include investors from 10,000 shares up, which I felt was more equitable and would allow more shareholders to come up to the reward level. The payment of this was not a loan, but per a private individual who wanted to infuse life into GXY which has been drained by behind the scenes issues prior to my assuming CEO. The gift would, of course, show on the financial statement.

Let me put a hypothetical scenario (using dividend and not reward) here which will be my only rebuttal:
Using $8000L dividend to disburse as a standard dividend
In that case I, as CEO, receive a dividend of approx 5,000+/-
Divide: 16,133,332 existing shares using $8000L
Multiplier per share: each share holder will receive approx .0005 +/- linden per share
DIVIDEND: Sharehold multiply your number of shares by the .0005 +/- linden

Currently several shareholders have already registered, showing their support for the Reward Program. Therefore, let me make my stand very clear.

I did not accept CEO of Galaxy Corporation to use my time in drama which erupts so often in this platform. I do get messages from supportive shareholders and I very muchly appreciate their approval of my efforts. Those outside this company who enjoy causing or joining into destructive drama against GXY can, of course, continue in that vane. Let it be known that this CEO refuses to use my energies with such things as I am too busy trying to help strengthen GXY. It has an even stronger product line ready to market which needs my attentions. I have asked the GXY employees to join me and refrain from wasting our productive time arguing in this forum. When I am notified of the results of this conflict, I will pass that decision through the forum. Until then, thank you to the GXY supporters-investors.

I made a business offer to AAS and GXY, a comprehensive 6 months marketing campaign including featured promotional articles, multiple banner ads and resale of groupcast messaging. It was a generous offer from my part, and was still in negotiation.
