I'd like to thank Maelstrom for all the work he's done for DGD investors. This dragon did a lot of research and spent a lot of time making Lindens for investors, and has now chosen a graceful exit from his stage. In the face of multiple bank failures, an exchange failure, two swings from the mighty Linden Labs Ban Hammer, and market volatility, DGD still managed to pull off over 25% return in under a year.

An update on the liquidation process has been posted with anticipated recovery amounts and some annotation. So, if someone sells the shares right now, the outstanding shares to be paid out will fall, the amount paid per share will increase based on the remaining cash on hand at the time of liquidation.

The reason I have utilized this method of reporting is mostly to give people an idea of the changes in value of the company. Personally I prefer my old financial reporting methods. If you notice on the website there is a another 2 styles of reports besides the Capex style that include a full disclosure of all current holdings of the fund and an assessment of land rental performance. That method was my preferred method up until CAPEX purchased the exchange and mandated its new reporting style. Now I try to use all 3 formats and integrate them as seamlessly as possible. If you notice.. numbers from one match numbers on the other. I consider it also a "check" against my math, because it means I sometimes re-tabulate the same data twice. It easily indicates any discrepancies that result in my reporting.

I understand the problem, what I would suggest is to take the stock exchange accounts as a black hole and valuate the investment only on base what you deposited. So you only have to count what you deposit and withdraw from the account and fill it into the income statement as "gains from investments". so your income statement would show realistic profit and would be more transparent.

That said, the calculations for the 3009 negative value was the loss on actual hard operations, not investment value, which makes up a very small part of the fund. The loss on retained earnings was also because we paid a dividend.

So the question may be why would we pay a dividend when our operational margins were so low. The answer is in our investment value. In order to determine how much "profit" the overall company made the best tool to me right now is in fact the balance sheet. When there is a discrepancy after all data is filled in, the only explanation is a change in traded holdings. So, for better or for worse, I use that number for retained earnings on the balance sheet

Also, the retained earnings on the balance sheet each period are calculated on an ongoing basis, in other words, they sum. If you've noticed, the retained earnings on the balance sheet gradually rises from period to period.. (so far). This rise is the growth of the fund's combined equity and operations positions.

The reason we ended up paying a dividend was based on the balance sheet retained earnings numbers because it reflected a strong gain on our investment holdings. That, and our NAV had also increased on a healthy level based on the non-capex financial report compared to previous periods.

So, in summary, the numbers are accurate, they're just not calculated in the normal method GAAP utilizes due to the sad reporting standards on most exchanges in this market. When
the exchanges begin to present summarized data in a unified or even similar format then it will be able to calculate more precisely the value of investment performances and interest gains in a short time frame.

I looked over your financials.

At first there seems to be a mistake in the balance sheet, your income statement shows under Retained earnings a loss of 3009 L$ for november, but in your balance sheet I see a profit of 248,011.52 L$ for the same position? Btw were did you get these 0.52 Linden cents from, I have never seen Linden cents:-)

Well a mistake, or a math that i do not understand?

Second thing is if I take you october financials your cash on base of your income statement should be 515,163.16 L$ (also with cents) but you report 656,820.17 L$, that means you earned 98,657.01 L$ more than your income statement shows, thats really positiv for DGD, but unreproducible.

The stock option purchases will be limited to CEO's personal funds from salaries and dividends. Buyback purchases will be limited to Company's dividend funds, but half the shares purchased back from the market may be utilized to fulfill the stock option plan until it's completed at the 33% ownership level for the ceo.

A clarification on the amount of stock options would be useful. Will it be limited by the CEO dividends, the CEO salary, the sum of the two, the company re-purchase, or something else entirely? However, regardless of that, I find the plan satisfactory.

1. Ideal structure: 33% CEO, 33% Company, 33% General public

2. Salary: 1-2700K/month CEO discretion on amount received based on fund performance.

3. CEO stock options. CEO owns 13% currently Stock option plan would allow him to purchase shares at 1$/share, the ipo value and currently insured public shareholder value up to the 33% ownership goal so long as his holdings remain less than or equal to company ownership. This would have no negative impact on public share value or reserves per share valuations.

4. Company portion of Dividends would be used to buy shares from the public market of DGD to sustain its 33% ownership as the ceo escalates his ownership and to increase current capitol reserves until the point that all out-standing, non-company shares are backed by 1 linden.

5. Once ownership plan achieves goal, the ceo's salary may potentially be eliminated and salary come purely from dividend.

This plan should result on shareholder value appreciation as capitol is reinvested in the company. It should result in CEO satisfaction as he will obtain more ownership over the partnership shared portfolio to a point that profits truly are shared equally between himself and public shareholders. It should result in value appreciation as the number of shares shrinks in availability so long as the attractiveness of the investment remains sustained relative to other alternatives.

At the end of the plan, all company dividends would be reinvested to provide for growth. All ceo dividends would be done with as the CEO pleased. The Dividends would continue in line with profits and dividends could be 100% of profits as the ownership plan has growth planning already factored.

I like the idea of a stock option method of ownership, buying at 1 so as not to impact the fund's reserve. I'll definitely have it integrated into the proposal as it protects the fund and at the same time gives me a method of achieving greater ownership and compensation without negatively impacting fund value.

Effectively, this is Mael's portfolio that we are talking about. The presence of other investors in this portfolio means that it is "super sized" with us being along for the ride, so to speak. In that sense, CEO compensation would be based purely on how the fund performs. On the other hand, the CEO has duties that go beyond just trading for himself, including the maintenance of financial information and the implicit expectation of optimising the fund's value for all investors. In that model, CEO compensation goes a bit beyond mere performance, justifying an approximately fixed salary. (I know that if where I work has a bad quarter, I still want to be paid regardless!)

Compensating the CEO with treasury shares for his duties sounds to be fair. It has the element of being a steady form of compensation while at the same time connected with performance. I would in general favour this particular plan. The one concern that I proffer is the principal protection for these shares as direct compensation would require an additional step for the DGDProtected fund.

I'm not entirely sure how this might work, but a way to address that would be to offer the CEO the stock option of some determined number of shares at L$1 per share. This number could be connected to the NAV, perhaps the actual per share value multiplied by 1000. The purchase price go directly to the protected account in this model.

The proposed ratio of shares seems to be a good model. When implemented, it would return one-third of profits to growth and the remainder to owners. I'm not sure what model of share-repurchasing would be optimal, but that would need not involve the protected fund as public shares would be covered already. Perhaps the CEO's share purchases beyond the stock options model be made from the market until the public float is 33.33%.

As for the compensation, i think performance related is WAY better.
That's how i do it ;) And i know the pain of working for free, especially, as SL is my main income source, and i often take absolultely 0 for myself.

Then again, we are talking about completely different scales too, i'm aroudn 13-14mil L$ on assets right now (12.5mil L$ last tuesday).

So, maybe it should be done this way:

DGD buys back shares from dividends, then everytime DGD buys back shares, 50% of them are given to Maelstrom. Also Mael should buy back shares with 50-75% of his dividends until goal is reached.

Dividends should be around 50% of weekly/bi-weekly/monthly/bi-monthly profit. I propose bi-weekly or monthly. Rest of the profit would be re-used to increase gains, from that amount i propose 50% (effectively 25% of profits) would be used just to increase fund safety, ie. distributed bank deposits with insurance. Ie. with me, at SL Investor's Bank, you get immediately a depositor insurance bank-wide, and you can also buy personal coverage directly from The Rock Insurance co.

This would achieve multiple goals:
* Share price increase
* Shareholder compensation
* Increased safety for the fund
* Not halting growth, merely, might slowing it down
* Definite plan of profit usage, meaning better shareholder confidence, again better shareprice.
* Mael gets good definite compensation for his efforts
* With shareholder confidence comes also more help from shareholders. Giving is often the shortest & best route to gaining.

As a shareholder, i could argue that this move lowers the share price and/or share price appreciation, but that is incorrect. With this definite plans, and compensations, DGD makes even more lucrative investment.

Mael/DGD could argue that paying divs to shareholders does not benefit the fund in anyway, but then again, funds exists solely for the shareholders! Never underestimate the power of shareholders, shareholders can make or break a company ultimately!

However, as 66% is effectively DGD's/Mael's usage, it also means shareholders do not have voting power ultimately over Mael, which can be a bad thing when DGD grows really big.

However, if several months from now, a secondary could take place, maybe 500,000 shares, maybe 250,000, at the price of NAVPS, or current trading price -5%, or even current trading price +10%, because it directly correlates to increase NAVPS if sold at higher than NAVPS rate, putting more fuel to DGD's growth, better shareholder value, and ultimately after that Mael/DGD wouldn't hold over 50% of shares anymore, and DGD would be more in the position of public company, with actual shareholder power, meaning, yet again, DGD is more lucrative investment for those who wish to get control. This chapter is all hypothetical wondering.

In SL it always ultimately comes down to the CEO what power shareholders possess over the company.

Of course I could just effect this immediately and not pay myself except through dividends for the duration of the near future also and work on the buybacks, in the end it's up to you, my shareholders to let me know how you'd like to do it or if you like the current plan and me actually beginning to take cash payments from the company which would slow growth a little.

This is my ideal ownership structuring for DGD:

33% myself, 33% DGD's fund reserve, 33% public shares.

The reason this structure is ideal lies in the following reasoning:

The one third would compensate me through dividends over time. The one third in the fund's reserves could have its dividends reinvested for corporate development over time. The 33% in public shares would be of course, compensation for the initial capital put in by the investing public as a reward for their trust.

Since I do not like taking raw linden from the fund, but like building ownership, I'd like to instead pay myself in shares from the fund's treasury reserves until it achieves the 33% goal at a rate of 1000 shares per month in addition to whatever I may happen to purchase with dividends or other in world gain. I believe this to be fair compensation for my efforts to make this company successful in world, but I do not run my company as a dictator and your opinions are valuable. Please let me know your thoughts.

By the way, I'd have little motivation to sell the shares, I like owning my stock, which is why I want more of it so I too can profit a little more from my work more as a shared venture.
