I am puzzled of course how anyone could be a day trader when there are so few companies to trade stocks in, virtually never any news as to how those companies are doing and a complete dearth of information on anything resembling competition to buy or sell said stocks?

Even if we knew profit/loss on a monthly basis for all companies that would be something :p

While on the bidside only the 0.01 is "loaded". So we have a high spread and low propability of an ordermatch.

Unless the bidside increases to a few levels (ie: 0.02 and 0.03),
Ithink it would be benefetical to split the shares by a ratio of between 50 to 1 and 100 to 1. (in other words 50 old shares = 1 new share, or 100 old shares = 1 new share)

Back (phonecall in the middle of that)

SO in honesty I can NOT paint a rosey future for PHX but we are working behind the sceens to try and gather some profit together to distribute to the shareholders.

I also envisage in the early year some writedowns and corrections in PHX holdings with the leaving of a few members. It is my thought that we should be able to start wiping off shares like treasury and some old board holdings to reduce the impact on the company. These are not purchased shares by the current owners but ones that have been transfered in the process of board changes members leaving. Nice to have but useless with out the starting price of the IPO.

In the new year you may also notice some purchases of PHX shares. This is once again an attempt to claw back those dead (or very near) shares to reduce the overhead and make the distrubution of a dividend, inthe future, if only one worth while.

OK have fun in the newyear and I hope we come together with a kickarse plan for keping our/the shareholders happy.

At present time I have been paying for expenses from my own SL profits, and not reporting in the balance sheet. This has enabled RIOT to build up equity that can be used to further development of the product.

It is almost ready, just a few touches left to do.

This shop will be including a themed merchants market. SL merchants involved in services and products akin to RP and RIOT Mech will be allowed to come and sell their wares and advertise services. At present time I am paying the tier from my own pocket but am hoping the revenue from our offered services (other than sales) will help offset this. The shop in Borland has no monthly fees as it is on land I own and have businesses on that already cover the tier. Other than some minor setup fees initially and any minor expenses (totalling 5000L) from inception I have managed to keep the doing business costs down.

So far we are only averaging 5000L per month profit, but this should pick up. We are also looking into the creation of new products and services.

That now gives PHX 5 Avatars in large size, and 4 Tinie avatars. Sales have already started but as this is a specialty area its slow. But on a good note word of mouth is getting out and this month should see an improvement in the company funds.

IM also working on a HUD that will suit all the mechs and include weapons.

Also The mechs are available in a few areas 1. Borland Fells, 2. Spinolds FLat, 3. My Place, 4. Numbat
2xI own, 1xSyn owns,and the last (My Place) Im renting on behalf of the group to get extra sales. The income from those sales is passed Syn or the mech alt to add to the coffers. At the moment rent free as I still want this to take off or at least get out there. I have dropped a few copies on friends at INSILICO (yes visit) to spread the word amoungst the better builders. Its slow but just thought should should keep you up to speed on the background work.
Couple of things we don' have. 1.being weapons, 2.being combat huds... these are being looked into as we trial a few types and will off a cut to the winner. (small cut) to enable these to kick arse as an avatar.

Luckily we have very little overhead at present and are able to accumulate capital to use for expansion in the future.

The next board meeting is planned for the 27th, followed immediately by an investors meeting in the conference room. All shareholders are invited.

Not to worried about the comments. I count on you all to keep us on our toes!

The mech avatars are on sale in Borland Fell at the outlet store and within a few days will be on XSL.

WOULD BE REAL NICE IF I COULD PUT THEM ON VPAY NEW SITE (subtle hint there) !

Meantime if anyone has a small shop or place to set a few prims for me to expand our inworld coverage for little or no cost it would be really helpful.

We also have a kiosk at the temproray main store to sign up for the group, wont register on your inworld group list but will allow you to receive product updates and announcements.

We have had a few sales and our overhead is almost nil so we are able to list the revenue as pure profit at this time.

A board meeting is in the works, and should be shortly followed by an investors meeting via the conference room (PHX trade page).

I am checking into setting up a (mostly informational) website at little or no cost. We need to be very savy and cost concious at this stage.

When the two companies merged as you recall there was no capital generated from the merger, as such we are working very hard to position the company in the markets to be self sustaining, grow and reward the faithful.

Updates will be coming in the near future.

I'd first like to thank you all for having patience while we rework how PHX will do business. I'm still in the process of getting all the paperwork and planning out of the way, and we still need to hold a better attended shareholder meeting.

At this moment, priority one is going over the status of the RIOT assets and getting them into a form that we can sell. The current plan is to sell them as regular avatars WITHOUT combat scripting or active weapons. The reasoning behind this is two fold; One, so that we start up a cash flow ASAP that can be used for further development. Two, we can take our time searching out for a good script that can be added on to our product.

In regards to that second point, once we get the AVATARs into production and selling, I plan on putting out an open offer to any weapons scripter out there to design weapons and a combat system that works with our product. I feel this will be more cost effective to form a partnership then trying to develop everything in house.

I have more ideas involving this IP, but right now this must be done as soon as possible or else nothing else will work. I hope to have product moving by the end of the month, preferably by mid April.

Now then, down to business. As you know we haven't made much progress from the meetings we held at the end of last year, namely because of RL time commitments among most of the important players. I plan on changing that as soon as possible.

I currently have three goals on my list of what we need to get done within the next few months:

1. Begin sales of whatever product we currently have public ready.
2. Full registration and Copyrighting of the RIOT IP.
3. Establishment of an outside SL online presence.

As of our last meeting, I am aware that we should have at least working, non armed models of our three original prototype AVATARs (the Stormkite, Valiant Knight, and Mantis), as well as the original proof of concept unit currently being called the Phoenix. I want to run a test on these packages to make sure of their worthiness, but if they are workable I want to get them out to the public as soon as possible. I remember certain members of the board offering to set PHX up with shop space, if they can contact me to confirm this offer is still good I would appreciate it.

At this time, I am not aware of any copyrighting of the RIOT brand name. If this incorrect please contact me so that we might come up with a plan on how to proceed. Now I do not believe a "cyber-corporation" such as ours can register copyrights with the federal government, but I also possess a LLC called Northern Wolf Press current registered in the state of Connecticut, USA. I plan to ask the board to create an agreement that would allow NWP to register the copyright for RIOT will still assuring PHX does not lose control of the IP. It is in everyone's best interest to get this IP protected as soon as possible, so this will be a hot issue till it is finalized.

My final point is to help establish a home for RIOT outside SL, as I feel the IP will grow the fastest if it is not just confined to the Second Life sims. I currently have a website for my LLC that has not seen much use for several reasons which I'm willing to share space for the RIOT project. Any deal for this will probably be tied in with a deal for the copyright rights.

I'd like to have a meeting with all board members and any other investors this Thursday. Best times will be after 5pm SL time since I am on the east coast. If anyone has issues with this time please contact me and we'll work out an arrangement.

Shareholders,

The PHX board of directors would like to make the following announcements:

Lobo Rodriquez has accepted the position of CEO replacing me as temporary CEO. As you know Lobo has been part of the Riot Mech experience from the beginning and is the main creator of the Riot Mech storyline.

Syncere Talon has accepted the position of CFO replacing me in that position. Syncere has also been with Riot and YEP! from the beginning and brings a good sense of both concepts to the position.

Konner McDonnell the Director of Public Relations has tendered his resignation to pursue other interests. Konner was instrumental in helping put PHX together and he will be missed and we wish him good luck.

I am also announcing my resignation as CEO and CFO due to personal RL issues. I cannot honestly devote my time to take PHX to the next level. Also to take it to the next level is not in my area of expertise. I believe that the new board structure made up primarily of Lobo, Syncere and Gumby as President of Riot Mech, will do more to advance PHX than I would have been able to at the helm.

I want to thank Lobo for stepping up to the plate and Syncere as well. I wish all of you good luck.

Finally some stock stuff that has to be publically announced:

Syncere’s alt, Mercado Burner, will become the new Treasury alt for PHX. All stock and cash will be transferred to that alt.

I am transferring 1,250,000 shares of my personal stock to Lobo (1,000,000) and Syncere (250,000) for an undisclosed sum.


Once again I wish everyone luck. It’s been a good ride, I would have liked a slightly different outcome but that’s life. I am optimistic that Lobo and company can move the company forward successfully. I also wish to thank Sando and Ash for their continued support and service to PHX.

What I can say though is that people are working on stuff as they can. With the economy the way it is, everyone is really stretched trying to keep ahead of the game and not become a casualty. With that in mind I think we are making progress, albeit slowly.

We will remain in communication and will announce news as it happens. I guess the best I can say right now is hold tight if you are able and want to do so.

If you look at the financials it will appear that I forgot to add Treasurer Zanzibars transactions for the month. That is not an oversight, there were none. The Mercado alt did have one experimental transaction with the new riot suit. We are still having some problems with permissions and are trying to work that out.

Other than that things are slow. We haven't spent any money so at least we aren't going into debt, but sales are slow. We have been having some troubles getting the products set up in vendors (getting the permissions right, etc.) but hopefully those will be resolved soon so that we can have products other than the statues to sell.

So that's about it. Even if the news isn't that uplifting, we feel that you ought to know what's going on. Things could be worse. We are still hanging in there.

Since the death of a family member in early November, Mateo has not been in-world very often which was understandable. However we have sent many messages to Mateo and also tried to contact him in RL with no results. Since we have to assume that his focus is on RL at this point in time we had no choice but to remove him from the CEO position. We wish him well and good luck in his future endeavors.

This decision was made by the PHX board of directors on Jan 2nd, 2009.

Other happenings in PHX:

We are working with Lobo Rodriquez in a licensing/development agreement with his RL compnay Northren Wolf Press (NWP). We hope to finanlize this arrangement within 30 days.

We are very close to releasing Mech Avatars within the next few days. Keep your eye on the PHX forum for details.

I'm running a bit behind on financials this month, but they will be published by the 10th.

Hiya Sports. You're probably right that LL wouldn't have much difficulty in drawing a definitive conclusion. On the other hand, obtaining those answers from LL wouldn't be easy. That's just the answers. Pursuing any funds would be a whole other battle. Neither would justify the cost of the fight itself. So in the absence of easy answers, I'm inclined to take the dearth of communication following the claim as answer enough. Not a satisfying response I'm afraid, but it's the best one I can give you.

If you have viewed the financials you will see that we made a couple of sales of statues, but are still running at a loss. That is to be expected since we are running on a shoestring budget right now. There are plans to offer treasury shares to the officers of PHX first and then to the public in large blocks at a set price, to be determined, to give us an influx of working capital. Those plans are currently being discussed by the BOD.

Syncere and Gumby are working on our first line of non combat avi's. Hopefully those will be in the vendors soon for sale.

When items are up for sale you will be notified via the forums and also the SL group 'Riot Mech" as well as a new group we have set up that will not count against your SL group list. We will provide more details on where you can join the new group if you are interested, in another posting.

Given that we are in the holiday mode right now, please don't expect a lot of heavy duty action. Schedules are tight for everyone right now. We will do what we can and keep you informed. I am hoping that we can have a shareholder meeting sometime in January 2009 for those interested.

I first invested in MECH when it was in IPO and also had from YEP way back when on that "other" exchange (Remember when Yellow used to hang around the exchange floor and pitch his IPO?).

My hope was to be a part of a success story and *laughs* remember a thread on "long term investors". Well, I'm one of those fool long term investors and am proud of it.

I didn't sell my stocks because I was afraid of losing money, I kept them to continue being a part of MECH and YEP, now Phoenix (love the name btw).

Anyway, this is my long winded way of saying . . . GO PHOENIX!

Two Avatars are packed , and ready to roal. I will release them as is at the moment and continue to work on the combat system.
All the mechs will have a firing capability when released.

They are available in various sizes as statues, as well. A vendor has been set up with those in it and the avatars will be installed this weekend. Due to the current reduced functionality the price has been reduced and as it comes together the combat hud will be added to the package.
Life is very quite on Riot HQ ( yes its still there) I have my fingers crossed it will remain some how but I keep backing up the builds in to inventory as I go.

Well back to number crunching and sticking legs and rockets in the right spot.

For privacy, the Resident Column has been replaced with a notes column to serve as a clarification of each transaction if required. All other information of the LL transaction log will be presented as is.

We will try to update the information here weekly, with Sunday being the due date. If we miss, then please bear with us, our goal is not to be later than 1 day. Even if we are late the transactions posted will be up to date.

For the record, as of Nov 15, 2008 there are two financial alts for PHX. These are:

Treasurer Zanzibar, controlled by Arnaud Villota. This alt is the main alt for PHX and holds all treasury and restricted stock, full perms of all items sold through PHX as backup, and 50% of all sales.

Mercado Burner, controlled by Syncere Talon. This is the financial alt for the Riot Mech division. This alt will hold 50% of all sales as well as full perms for items so that they can be packaged and placed in the vendors.

Both alts hold the HippoVend system which will be used by PHX.

Since this link will only be posted once, the remainder of this topic can be for any discussion, comments, questions, etc. about the transactions. Also you may post audit requests in this topic as well. Audit requests can be posted anywhere in the PHX forums or sent privately to any board member.

If we disagree with you, we will tell you. We expect the same from you. After all you have invested in us. Remember, if you are dissastified with any of us on the board, go to Sando. Send your gripes to Sando, either privately or via this forum. If you state in your post that it is for Sando, we, as a board will back off and make sure that Sando has gotten your message, and she will respond either privately or in the forum. She is your champion and will represent you with fervor and tear the board a new one if we are wrong! Of course I think she will tear you a new one for an unverified complaint or rumour. It goes both ways.

We are not a "politically correct" board nor is Sando a "politically correct" liasion. So beware of your comments. Legitimate bitches are welcome! But not innuendo or slander.

So if you really have nothing to say that is great, but if you're holding back for fear that nothing will come of it, please rest assured that if you perceive a problem, we will do our best to fix it, as long as you tell us! I suspect most of you have never heard of me. That suits me fine. Where my previous exploits are concerned, I will simply tell you that I've been around the block with these virtual exchanges. The rest I shall leave to Google.

Following this meeting, I will begin to undertake those duties assigned to me as public relations director of this company. Beyond attending to the inquiries and subsequent works of my journalistic brethren, the preponderance of my duties will find me communicating with current and prospective shareholders. Those who remain invested with the company or frequent the MECH forums on the SL CAPEX website will be seeing a lot of me.

Though I expect many of my unique and quirky traits will nonetheless shine through in these future interactions, the role of PR director implies that I am speaking for the team and therefore am not in a position to throw around my personal opinion at will.

So I'm going to take the opportunity to do that right now and get it out of my system:

I have my own concerns with these virtual exchanges.

In the couple of years since their emergence, the virtual exchanges have been marred by dubious events perpetrated by shady dealers with golden tongues and dishonorable intentions. Not surprising that such individuals would find themselves in our midst, since the allure of the virtual exchange platform extends from the ease by which anyone can start a company or exchange, obtain funds with very little or no personal risk, and ostensibly, vanish into the proverbial night.

That was especially true in the beginning. It remains true for some exchanges. Others have adopted security measures to reduce the risk, but the risk itself prevails.

Further, There is no guarantee that the well-intended CEO is competent, stable, or acting in the best interests of their shareholders. Even the most competent CEO is still subject to new policies in the virtual environment; many of those changes are imposed with little notice and result in severe consequences.

None of the prominent virtual exchanges may truthfully claim to remain untouched by these problems in some form or another. Each and every virtual exchange has suffered from the stigma.

There are no two people more acutely aware of these issues than Arnaud Villota and Sando Haller. Between them, they hold a staggering $20,000 USD(at IPO price) in MECH stock. Where some of my friends have intervened to prevent the certain delistment of virtual companies, for no reason other than their inherent good-naturedness, these two did so for a much more pragmatic reason-to prevent forfeiting a significant amount of money. It is that kind of motivation that a critical investor can take comfort in- two major shareholders accepted the task of protecting their respective investments.


Similarly, each of the MECH shareholders-turned- board members know something about not having their concerns addressed, and for this reason, a two-tier approach to shareholder communication was devised. Those shareholders left unsatisfied with my answers as a PR director have an ally in their liaison, Sando. If my answers do not satisfy you, I can say with utmost certainty that they will not satisfy Sando, if for no other reason than she has so much to lose if I inspire uncertainty.

Due to my background with these exchanges, I've been approached with some, hm, interesting proposals in current and prospective virtual companies. The handful that I considered were always met with blunt assurance that I would immediately sound the alarm if I caught wind of something foul. When Arnaud contacted me about this position, he made it clear that he wanted me in this role for that very reason.

In turn, I extend that challenge to you. While there are those in the BOD with much to lose, none of us expect that we are above suspicion. We will not ask you to trust us. Quite the contrary, each and all of us hope, beyond anything else, that you will take us to task, hold us to scrutiny, and actively engage with us from the start.

I know that I speak for my colleagues when I say that this hope is well-founded, but I can best explain it through a first-hand account:

This Saturday, I will celebrate my first anniversary in Second Life. In the previous year, I have been witness to some very disturbing acts in these exchanges. The cumulative result is a feeling of helplessness amongst shareholders. When I tally the instances in which shareholders have been forced into unattractive decisions, unjustly deprived of shares or dividends, ignored, betrayed, and ultimately denied the rights inherent to an investor, virtual or otherwise, I am hardly left wondering why there is a dearth of interaction.

I speak for each newly-appointed board member when I state that these trends are unacceptable. More importantly, they have NO place within this company.

For all our good-intentions, this company is new. While I am aware that the products and brand are themselves a year old, if not older, the approach and spirit behind those at the helm are indeed quite recent.

You wouldn't know it by looking at the members of the board:

In Mateo, we boast marketing experience, business sense, and profound sensitivity to the needs of people, shareholder and customer alike.

Through Syncere, we enjoy the forward-thinking, no-nonsense, approach that seems so characteristic of those who spin magic with numbers and spreadsheets.

In Arnauld, we are blessed with an uncommon synthesis of blunt honesty, realism, and unflappable optimism.

Where empathy, patience, and self-restraint are concerned, Sando is peerless.

In Lobo and Gumby we have supremely-talented builders that provide us a technical-edge and artistic prowess.

In Ashleigh Wade, he of the Wickster stock, we are afforded a balance, due in no small part to his diplomatic skill, impressive credentials, and, pardon my crudity, willingness to put foot-to-ass when he spots something fishy.

If Del Demar were a man, I suppose she would be Ashleigh Wade.

Though we will not suffer from a lack of overall experience, we remain, nonetheless, young. All the trappings of new and mostly-untapped talent are present in the board's vitality and eagerness.

Still, in what we are about to undertake, we will need YOUR help. The future of this company is far from certain. We ARE beginning again. You can rest assured that we will not hesitate to ask for your help, but the best input is often unsolicited, freely-given by those who offer it in the knowing that it always welcome and will be graciously accepted.

In that vein, I would ask those negative comments that must be vocalized, to be restrained, relevant, and purposeful. It is absurd to ask anyone to forget the past and naïve to expect YEP shareholders to be satisfied, especially when the current market values of these two entities are compared.

I know that some of you will dissolve your share-interests at the first opportunity. There is nothing that can be said to console you, but please know that the actions of the last month have been painstakingly analyzed, hotly debated and in many cases, begrudgingly accepted as the most viable option in the absence of an ideal solution.

To those of you who stay, if for no other reason than sheer refusal to accept the losses you would sustain through dumping your shares, know that your resistance is well-represented within the new board. After all, it was Arnaud and Sando's refusal that has created an alternative to complete insolvency.

I can only dare to wonder what might be achieved if their attitude and resolve were embraced by our shareholder community as a whole.

Perhaps in the coming months, I will find out.

However, from what I have experienced with our mechs, we are so much more. There is also no mention of their mechs being able to interact anywhere in SL other than their own sims. Our mechs will be more versatile, better quality, and excellent customer service. Once we have been established as a brand, taking us to the next step will have a bigger impact on the company as a whole. Also as far as we know these people are putting all into just one product line and theme. Which insn't necessarily a bad thing, but does promote stagnation and makes LL new policies have a greater impact overall.

Last nights meeting turned out to be very informal. Mateo was unable to attend because of a family emergency. Konner was knocked off his internet 15 minutes before the meeting and I "crashed" for the first 40 minutes. Not an auspicious beginning you would think. However thanks to Sando, Lobo, Ashleigh and Syncere (as well as BO and a handful of shareholders), business did get taken care of. Thanks to all of you.

However work did get done. We did approve the name change from MECH to Phoenix Distribution (PHX). We have a new prospectus and also an opening financial statement. Bo was able to get the new Forum set up and the stock ready for trading starting this morning 6AM SLT.

Note that the 1L Last price on the stock was necessary to set up the stock and that was done by Bo. Which he will get back by the way.

Actually we had a productive after meeting as well. Syncere made a new contact for another possible store for us, Bo has offered us some land on his SIM that we can use as a target practice area and possibly a small battle arena, not to mention a small store. (that's how he gets his dollar back). I want to thank Bo on the behalf of all of us for loaning this to us to get us started.

By the way for those of you who are not aware, the old Riot Combat sim is still around, but I do not know for how long. So if you want, feel free to put on your original Stormkite suit and blow away a few buildings. I don't think anyone will mind. Also if you want to see the mini-mini mechs, they are at the old riot HQ on the conference table. Until it disappears, Gumby is using it as a place for R&D to develop and test the new combat scripts for the mechs.

There is also an area in Panther Valley where the Statues are being sold at this time. I am donating the land to PHX so that we don't have to worry about tier for now. As we get the 4 Different Mech suits packaged, then those will be added to the sales areas as soon as possible. I have already had two or three inquiries in Panther Valley about the wearable Mechs, so I am pretty confident that we will get some sales right away.

When more stores are open you will be notified in the forums and also via the Riot Mech group.

Enough rambling. I hope later today that Konner will post his remarks that he would have made last night if RL had cooperated. And we all hope that things go well for Mateo's family.
