Well it has been an interesting month, with LL proving to be our major obsticle at the moment. We almost reached breakeven for the month but not quite with a loss of $33,665L. This will be the final month in which we have conversion expenses so hopefully we will see a profit soon. I thought we would have been profitable by now but it has proven to be difficult.

We had expected that restructuring would have been finished by now but unfortunately the new homestead policy means we will likely have to restructure once again. However we will get this done before january to avoid any further conversion costs. So hopefully by January we will be able move onto to taking care of our very large debt of $1,089,422L. However we do believe that we will be able to get the company into a profitable state and get this debt to zero even if it will take a while. It shouldn't grow to much more so our next plan will be to figure out how to maximise profitability so we can pay it off as fast as possible.

In the last few months we have been working on recovering our business from near abandonement by the previous management. Our plan involved converting our full regions into open spaces which we have achieved and turned the estate into 1 full sim and 19 open spaces, are due to break even for this month and start profiting again next month.

Unfortuanately, this new announcement has ruined all our good work. We will have to examine our business once again and will most probably have to restructure again to accomadate this new policy, which will probably involve converting open spaces into full sims, the opposite of what we have been doing.

Hopefully demand for Full Prim sims will pick up now as our experience suggested that Full Prim sims were a dead market, otherwise the future for HOT is looking grim.

Well it was another tough month for HOT because although we are managing to do well with open sims full prim sims have been going teribly. We were hoping to be profitable this month but we will be converting either 1 or 2 full prims into open space sims so this may not be the case. Currently we have 11 open space sims and 3 full prim sims but next month we will probably be looking at just 1 full sim and hopefully if all goes well 19 open space sims.

Debts with Rockwell Ginsberg and Clintovius Trotter are now completely settled. Leaving Vitall Beck as the only remaining debtor of HOT, we will decide how to deal with this once restructuring is finished.

Hopefully by the end of the month restucturing will be complete and we can start moving in a more positive direction.

Well it wasn't a very good month finanicially for HOT as lots of costs were incurred due to sim transfers which also scared remaining residents so that they just stopped to pay tier.
So we are practically starting all over again in regards to our in-world reputation. However several initiatives have been taken to improve the financial health of HOT and hopefully we will return to postive cashflow status within the next two months.

We settled our debt of L$275000 with Rockwell Ginsberg in exchange for a full sim and a similar deal is in progress with Clintovius Trotter to settle debt owed to him. This means our only outstanding debt will be the cash injection provided by Vitall Beck, however this is quite large at L$807,587 so will take a while to pay off.

We also converted another one of our non performing full sims into open space sims but this has only just occured so hopefully we can fill these fast. If this is successful we will do it with another full sim otherwise we will have to sell another full sim in order to minimise our expenses.

So next month we expect to have downsized our estate to three full sims and 8-12 open space sims amd will hopefully be profitable again, although this could take longer than expected.

Once we have reached break-even status we will then formulate a plan to increase profitability and service our debt to Vitall Beck.

On a final note, I had emailed scanned copies of my ID to slcapex but received an email stating that a noterized copy is actually required. I will find out how to obtain these as soon as I can and get them sent to slcapex so hopefully trading we be able to resume soon.

I would like to place my 11.9% shares firmly behind Vitall Beck and Itchy Gamba. I fully support the resolution(s) they have proposed.

My inclination is to reduce our holdings to a manageable size and fill that up as quickly as possible.
Landscaping and terraform permissions are nice - however, in my experience, the bulk of prospective buyers always seems to want to change things to reflect their personal vision. I think there is value in themed or planned landscaping/terraforming -perhaps with negotiable permissions.

First I would like to say thank you to Vitall for keeping the company alive, without her assistance we would be completly bankrupt.

Presently HOT is in a very poor financial position so our first plan will be to turn this around as soon as possible. To achieve this we need to either find renters or downsize the estate so that monthly costs can be covered. Obviously finding renters is the preferred method.

Once we have returned to a profitable state we will then need to address our liabilities and start building a reasonable cash reserve so that this cannot happen again in the future.

When we reach this point we will reaccess what direction to take from there.

Urgent shareholders meeting happened today, , August 23rd, 9:00AM SLT. 4 shareholders were present representing 47.7% of HOT shares ownership.

Following question was put to shareholders voting: Appointment of the following HOT Officers and Directors -
CEO - Itchy Gamba
COO - Vitall Beck
Chairman of the Board - Tomac Sewell
Director - Clintovius Trotter
Director - Rockwell Ginsberg

So far, 47.7% of HOT shareholders voted in favor of this nominations. Shareholders who were not present at the meeting can vote by either sending me a notecard or expressing their vote through this forum. Once we've got more than 50% of shareholders votes, the appointment of the Officers/Directors will be approved.

Granted, Kush landowners have to pay tier fees just like everyone else in Second Life, if they don't fulfill this obligation the land will be reclaimed and resold.

So, currently lots of quality plots in Kush Islands are ON SALE, meaning the price to purchase the land and become Kush landowner is below 1L$/sqm. BTW, tier fees for landowners has been decreased as well, so this is a perfect opportunity to buy a personal ISLAND - smallest "standalone" FULL PRIM islands go for just L$1999.

And BTW, any HOT shareholder referring a new land buyer will get 50% commission of initial land purchase amount. ;)

First of all, I would like to thank Clintovius Trotter for the efforts he put so far in order to keep the company afloat. Given the current gloomy situation with SL economy in general, and land market in particular, he definitely had to fight a tough uphill battle...

Following is a short update on the situation the company is currently in. All HOT sims has been transferred to my account and tiers to Lindens paid, so there is no immediate threat of losing the company assets. However, HOT currently has no working capital, and occupancy rate is extremely low - below 40%. Effective occupancy rate is lower still, as about half of the residents are not paying their tiers... So, according to my estimate on-going tiers revenue is barely covering 1/3 of HOT estate fees. So, the company continues to lose money, and it does lose money fast.

In order to turn around the situation, a very immediate task is to increase the land occupancy to a more healthy level allowing the company at least to break even on tiers.

So, we started a "fire-sale": for a limited time, all unoccupied land on Kush islands is on sale for 1L$/sqm and even below. A wide selection of plots (ranging from 2048 to full sim); is currently available, including such unique offering as Opensim plots with FULL PRIM allocation.

As you must be aware by now, our population is dwindling and sales are very slow. This can

be attributed to many things. But, the most common complaint is the RL economy. The SL

economy has been suffering as well.

Indeed, as CEO of Kush Islands and the party responsible for the company's tier payments to

Linden Labs I am finding it increasingly difficult to maintain my role here.

As a result, I am forced by the requirements and economy of my own RL to step down

immediately.

While I informed the company's shareholders of my imminent departure some time ago, no one

has stepped up to either buy, sell, merge or take over as CEO. For the last two months I

have covered tier short fall out of my own pocket. The consequence of this is that I am

forced to abandon all Kush Islands sims before the next payment is due to Linden Labs. That

date is 8/9.

The unfortunate consequence of this will be that any resident whose objects have not been

taken into inventory will lose those objects.

There is a possible solution:

Some resident(s) or interested party(s) may want to purchase one, some or all of the Kush

Islands. A very cheap price can be negotiated quickly. The transer would take 5 - 7 days and

would require the purchaser to cover the next 2 payments to Linden Labs (due 8/9 & 8/10 and

totaling $1180 u.s.)

Whatever the case, any interested or concerned parties have until 8/8 12 a.m. EST (8/7 9

p.m. SLT) to inform me of their intentions. If nothing has changed, I will abandon all Kush

Islands sims as soon as possible. This might give concerned residents a few hours while I

sleep to clean up their objects. No guarantees. I may be able to save some of your objects

by returning them ... if I have time.

It has been my pleasure to meet all of you. I regret this unfortunate turn of events. I hope

that my history of willingness to be flexible, understanding, and accomodating will speak

for itself. I only hope you will grant me the same consideration.

First - Kush Islands owns 7 full sims and 4 open space sims.

Second - I am not paying all of the tier out of my own pocket.
Tier payments to Linden Labs come due in separate installments, based on the date that a particular sim was acquired.

I am covering shortfalls in these payments to Linden Labs at times when the tier payments of our residents don't add up on a given due date. I have sometimes reimbursed myself and sometimes not - depending on our readiness to make the next payment.

Kush Islands is NOT bankrupt or insolvent.
Kush Islands needs to sell land.

Third - and perhaps most important - Rockwell Ginsberg sold the bulk of his shares as a means of raising capitol for his $275K loan to Kush Islands. He had no absolutely no unfair advantage to motivate his sale of shares.

You will note that the major shareholders are firmly in place and have not panicked.

Uninformed speculation by small time investors is not helpful.

first nice to see another one interested in that case, seems like most of the HOT shareholders not really care at all about whats happening here which in really not understand because it´s their invested money (and company)

I asked about the current assets and got no answer so i looked in the last financial report.

Their Tier expense was based on 5 full sims and 4 openspace sims so i think that are the current assets of the company.
Divide the Assets / outstanding shares minus the 275K L$ what HOT owes Rockwell Ginsberg then you have the liquidation dividend.Maybe i´m wrong but i think so.

(Two of the SIM´s are nearly completly empty how the CEO posted above and it seems like he is paying most of the tier from his own pocket, so HOT (Kush Islands) is technically bankrupt imaho because a Land company can only exist and work profitable when Land is rented and their manager has more time than 2-3 hours a week to manage daily business).


Was a little bit unfair that Rockwell Ginsberg knowed about the current situation before all other shareholders so he was able to sell at higher prize.I was little bit wondering why he sold suddenly all of his shares as a former HOT-CEO but i thought he just needed money so i bought some.Not many just 5k shares.I sold most of them with a loss :(

I personally feel sad for the major shareholders/investors of this company that it has come to this situation of a former blue-ship stock and hope someone who has time and knowleguage about land business takes over but a liquidation seems likely possible.

As I see it, the company is technically in default of its debt obligations to me. However since I would rather not see the company liquidated, I was hoping a secondary offering is still possible. I think shareholders need to come to some kind of decision (and quick):

1. Secondary offering and change of management
2. Liquidation (and liquidation dividend)
3. Buyout (we do trade at a discount to other land companies, and have a good base of residents - making us potentially attractive to buyers)

I hope we can figure this out ASAP, Clint doesn't need this hanging over his head.

The 2 new sims sit mostly empty.
The older sims are at about 86% occupancy.

We continue to collect tier - But, we have lost some of our larger long term residents to the RL economy.

My own responsibilities make it impossible for me to be online long enough to continue as a one man show. My attempts to hire in sales and operational help have not gone well, because I am not inworld enough.

I have made this clear to Rockwell Ginsberg, since we owe him $L275,000.

There will be no further dividend payments so long as I remain personally responsible for the payments due to Linden Labs. At least until our occupancy gets back up to supportable levels.

We had planned to set up a secondary to supply cash for debt payment and to cover Linden Lab dues. Even that takes more time than I have at the moment.

If anybody wants to step up and make an offer - whether to take over as CEO, or to run Marketing and Operations - contact me. Inworld IMs go to my email.

i think (and hope;) the shareprize drop has more to do because Rockwell Ginsberg is selling off some of his shares rather than the Company itself has any problems.

Was a stable company until now with a healthy dividend/shareprize history.

When do the mgmt/CEO expect to be able to pay dividends in future?

Raising one or two million for expandation no problem, but looking for public investors in form of a SPO just to be more liquid sounds somehow strange.

Faced with an uncertain land market, we want to raise equity to ensure our continued liquidity. We do not have liquidity issues at the moment, but want to be proactive in raising capital so as to be in a better position to weather any potential turbulence going forward. Given our high fixed costs (island tier), we believe that maintaining a strong cash reserve is necessary in the current environment.

We are looking to raise about L$500,000 and think we will price the offering between L$1.40-1.60. Funds will be used to retire debt and bolster cash reserves, as well as invest opportunistically as market conditions permit.

We expect to make the offering available in the coming weeks.

But since this tight lip strategy may have contributed to the price decline, I will tell you now that the sales were primarily driven by my need to raise capital to help fund Kush Islands' growth.

We are looking to add TWO new islands to the estate in the coming days. These plans have been delayed because Clintovius needed to get his Lindex limit raised, but now we are all set as of this afternoon.

If you've followed really closely, you've seen that I have most recently BOUGHT shares, because the price was simply TOO LOW in the low 1s.

When I look at other land companies traded on SLCX (they shall remain nameless), I am stunned by their valuations. Companies with 2 islands trading with a higher market cap than Kush Islands. Does not make sense to me, but I guess SLCX is not a perfectly efficient market (are any markets perfectly efficient... debate for another time).

The price decline may also be a reflection of the current state of the land market. But it is important to keep in mind that we do not rent land, we sell land to residents, so we are more insulated from land value declines than other companies out there.

Bottom line: we're not going anywhere, we've been around for over a year as a publicly traded virtual company, we have great occupancy rates, and we're going to announce the month's financials and dividend in the coming days. Stay tuned.

joking... just boring only to see just a prospectus-topic in the forum of a great SL- company, just a new topic ;)

But remembers me someone was telling me TNW would be worth 1US$/Share (hello enky!) because the make a new virtual grid Linden Labs and Second Life should be aware of!
(Shareprize TNW was 4.40L one share at the moment the rumors even more underlined with a 40.000euro injection from a french investor..;)

How funny the sl-finance world can be, i laughing my ass of every day following the news,blogs and shareholder meetings.

Gambling ban, banking ban and the next thorn in the eye is maybe the stock exchanges itself (one major reason i think why luke want seperate it from Second Life, just use the ATM to deposit and let CEO´s pay dividend.When any trouble accours just remove the ATMs inworld and just let the hope capital museum left.;)

Fact: Anshe Chung still a major shareholder with 13.1%, funny that other exchanges not have to name she "Third Party" again because her appeariance could affekt the market to much...
