From his last email, once the financials are to his taste for a now defunct company, and that he's put his hands in our money to pay himself, he will delist the company.

So I guess we do not need him anymore to settle everything.

I will take the shareholders list and pay back everyone inworld at 1.25L/share, rounded up to the highest whole number. I won't give you half lindens like CapEx does.

Payment will start tomorrow morning, or monday if Beck changes is mind and start acting like a businessmen. I'm in eastern Canada (SLT +3).

If you have any comments, griefs, questions, please post them now.

I think if you asked the majority of the investors what was gaap you would get a blank stare.

There is a wide variation of posting of financials as well as apparent liberal definitions of assests, income and one would wonder in some cases if not a movement of funds between families of funds for paper purposes........

If transparency and standardization for consistency and accuracy is the true goal then everyone here should operate on the same definitions of capital equipment, intellectual etc assets as well as standard reporting formats. Perhpas even a level set of independent accountancy or a neutral party defining the terms, and the format.

If PAR values are to be used i'd set them at IPO price so the "capital surplus" can be a measure of development since ipo for investors.

But honestly, when i valuate an sl company i don't care about balancesheets except for: cash & liquid assets, current months liabilities, and the consistency & size of dividends.

What Are Assets, Liabilities, and Owners' Equity?

Assets, liabilities and owners' equity are the three components that make up a company's balance sheet. The balance sheet, which shows a business's financial condition at any point, is based on this equation:

Assets = Liabilities + Owners' Equity

This equation is also the framework for keeping track of money as it flows in and out of your company. Starting with the first penny you earn, you'll record in a general ledger each and every transaction using a double-entry system of debits and credits. Assets get recorded on the top or the left side of the balance sheet; liabilities and owners' equity are recorded on the bottom or the right side of the balance sheet.

The information on each company's general ledger is unique to that business; however, all companies classify their general ledger accounts as assets, liabilities or owners' equity. Businesses use more specific accounts within each classification, for example, "current assets" or "long-term liabilities" to organize and track their finances.

Assets

An asset is anything of value that your company owns — including cash. Assets get recorded on the balance sheet in terms of their dollar values. Remember, even if you used credit to purchase an asset, you still own it. Its full dollar value gets recorded on one side of the balance sheet as an asset, and the amount you owe gets recorded on the other side of the balance sheet as a liability. There are several types of assets:

Current assets. These are assets with dollar amounts that continually change, for example, cash, accounts receivable, inventory or raw materials your company uses to make a product. They are listed on the balance sheet in order of their liquidity, or how fast they can be converted into cash.

Investments. Companies, like individuals, can own securities such as stocks and bonds. Investments, like cash or property, are considered assets.

Capital assets. Think of capital assets, also called plant assets, as permanent things your company owns. Land, buildings, equipment and vehicles are common capital assets. So are things like computers, furniture and appliances, as long as they remain for use within your business and are not items you sell.

Intangible assets. Patents, copyrights and other nonmaterial assets that have value are referred to as intangible.

Liabilities

Anything a company owes to people or businesses other than its owners is considered a liability. There are two types of liabilities:

Current liabilities. In general, if a liability must be paid within a year, it is considered current. This includes bills, money you owe to your vendors and suppliers, employee payroll and short-term loans.

Long-term liabilities. A long-term liability is any debt that extends beyond one year, such as a mortgage.

Owners' Equity
Owners' equity, also called capital, is any debt owed to the business owners. For example, if you invested $50,000 of your savings to start a business, that amount is recorded in a capital account, also referred to as an owners'-equity account. In publicly traded companies, outstanding preferred and common stock also represents owners' equity.

Your business's revenues and expenses are also recorded in capital accounts because they relate to how much money your company makes over a period of time. At the end of each accounting cycle, a businesses profits get transferred to a capital account.

Par value is a nominal value of a security which is determined by an issuer company at a minimum price. Par value of an equity (a stock) is a somewhat archaic concept. The par value of a stock was the share price upon initial offering; the issuing company promised not to issue further shares below par value, so investors could be confident that no one else was receiving a more favorable issue price. This was far more important in unregulated equity markets than in the regulated markets that exist today.

Most common stocks issued today do not have par values; those that do (usually only in jurisdictions where par values are required by law) have extremely low par values (often the smallest unit of currency commonly used), for example a penny par value on a stock issued at USD$25/share. Most states do not allow a company to issue stock below par value.

No-par stocks have no par value printed on its certificates. Instead of par value, some U.S. states allow no-par stocks to have a stated value, set by the board of directors of the corporation, which serves the same purpose as par value in setting the minimum legal capital that the corporation must have after paying any dividends or buying back its stock.

Preferred stock par value remains relevant, and tends to reflect issue price. Dividends on preferred stocks are calculated as a percentage of par value.

Also, par value still matters for a callable common stock: the call price is usually either par value or a small fixed percentage over par value.

In the United States, it is legal for a corporation to issue "watered" shares below par value. However, the purchasers of "watered" shares incur an accounting liability to the corporation for the difference between the par value and the price they paid. Today, in many jurisdictions, par values are no longer required for common stocks.

Using what you stated, the shareholders equity would be zero, or negative.

there are 96k in liabilities (Chairmans load to DCTY)
No retained profit.

there are no treasury shares.

Bogart stated that there had to be shareholder equity.

I know the fun, it is none with finaicals they should just be there,but seriously you should keep your financials in order not because of bogart or iv but because it lets you keep track of your own numbers.

One note on the 0.01 x 1000000 shares who the hell told you that (bogart ? iventures ?), either way thats complete enronness, sharesholder equity should be equal the remainder after liabilities + retainedprofits (the 0.01 PAR value should only be used in case of treasury NEVER in case of actual shareholder stock).

As i said earlier i'm availbable 12 hours a day if you need help to sort out your financials at rates of 10k for 30mins.

I believe the GAAP template can be simplified alot for both DCTY and NIC.

BTW. QB format is GAAP compliant, so use that, but fix it, i checked both your QB financials and the GAAP both have errors.

As an accountant I suck...I admit it. In RL I have 3 and here in SL I have one.

I have always done DCTY's financials in quickbooks only because it's what I knew and it was easiest.

Bogart asked us, after I posted the DCTY fins to change formats and I failed.

Assets Must = Liabilities + Shareholder Equity

I am still racking my brain on this one.

DCTY owes it's current Chairman 96k, if the standard .01 x 1,000,000 shares is the shareholders equity then assets equals -86k

Does that make sense to anyone?

I gave up last night and sent the data to iVentures and his SLFR group. IV has told me this morning that he will have them corrected in acceptable format on Saturday.

On a side note, yes my fins are delayed time and time again....but I do produce either profits or increased assets for my companies and when the delays happen and the fines are to be paid, I never take the money from the company that was effected.

SLW, SLCX and NIC are some of the most traded stocks here at CapEx.

Andy, why don't you IPO a company and see the fun.

DCTY has come a long way since it started about a year ago. Different CEOs and management teams have all put lots of energy, time, and money in the project. We've gone through ups and downs, surfing on LL's change of policies, and trying different approaches to make it profit and expand. We obviously didn't quite achieve what we were hoping for. The recent rules on Openspace sims will require us to remodel our estate (again). This will have a direct impact on profit, and will delay furthermore the day that a dividend can be issued.

Another expense for us is the current decision about financials non-conformity, strangely applied on my account by Bogart Beck. The financials posted by Scott Nestler, have been done the same way they always have been, and they suddenly became not acceptable. I wish to note here that none of the management team holds treasury shares, and that all shares we own were bought with our personal money, at market value.

After lots of pondering and discussion, the management team of DCTY has decided to take the company private. It doesn't make sense to spend more time providing Mr. Beck financials, paying fines when they are not to his taste, and having to figure out what new twist to the CapEx ToS he will play on us the next month, when we keep engulfing tons of money in tier to LL to runs the 2 sims DCTY owns.

Let me be very clear here: WE ARE NOT GOING BANKRUPT ON YOU!

We will be buying up all shares before de-listing from CapEx. We will not re-list the company elsewhere. We do sincerely hope that CapEx will cooperate and facilitate the transition.

Current management's shares will be excluded, and not bought back. They are our shares, and we are buying the company. People from the management team are: Kaffe McMahon, Sarwat Miles, Lalwende Leaky, and myself, Yanik Lytton. All other shareholders will be paid for their shares.

In order to protect the shareholders, ourselves, and to make sure that everything is done according to the basic rules of transparency, we have hired iVentures Group to verify the shareholders list, and make sure that every shareholders are accounted for and compensated. Posts will be made on the DCTY forum as it progress. The buying of shares should be done in a very short time frame. We have the money, and we will pay you (if CapEx un-halts my account, of course).

+ A trading halt will be executed on DCTY by CapEx.
+ A shareholders list will be pulled out by us, and iVentures Volitant.
+ All non-management shares will be bought back at 1.25L/shares.
+ After all shares are compensated for, DCTY will de-list from CapEx.

Both Yanik and I are working owners and stock holders there on the land every day.

We are looking for people to buy property on the estate build to suit and have great traffic and shopping space. The Tower of Terror event I built at my own expense and time, delivered over 50 unique AV a day and generated positive press and interest on going.

We have a new Dj Roofus Rosollini who is taking over entertainment at the Scarlet Queen events forthcoming.

In addition we participate in the Treasure Quest multi sim wide event every two weeks. This is time intensive and delivers traffic to our merchants, We have grown that mall space to 10 + merchants in the last month and half.


We are not looking for a bail out. Just for tenents, please come visit us.

With Scott now as an Officer of SL CapEx we can no longer justify making exceptions for his non-conforming report submissions.

The companies controlled by CapEx Officers can be held to no less a standard than other co's.

Yesterday, I had to sell my 5% of DCTY shares. As a result of my act, I have no longer the right of being a member of the BoD and I must step down as Director of DCTY.

Good luck to DCTY and it's Chairman/BoD. I hope they will have a bright future as they are experienced leaders.

We are all painfully aware of the impact on our 401k's, and portfolios as well as slow downs and soft land sales in SL.

However, I think that managed estates, with services and added value offer a competitive position in the SL marketplace.

People want to be entertained and while they may put off that trip overseas or defer on other spending a trip to SL is much more affordable and entertaining.

At DCTY we are still working to turn the ship around to a "sea of black ink" but we are poised to capture more mind share in world with what we are doing.

The Treasure Quest starts anew for end of month tonight at midnight SLT. We are once again a destination on their hunt circuit. Last hunt brought in over 500+ and counting unique visitors to the estate over the week the hunt was in place.

In conjunction with this there will be a Halloween Party this Sunday for Pulse Skins. This is a 1000 plus member group and should drive traffic for shopping and potential live aboard on the estate.

Over the Halloween Weekend we are having 3 major events, starting with the Costume Party at the Scarlet Queen, on Friday, 10/31, a Masked Ball at the Scarlet Queen on 11/1 an on 11/2, Sunday a scavenger hunt by boat.

We have sailable and navigatble waters and a FREE rez a boat system. Please come one and all and have fun as you tour the estate.

As we all know the RL economy is in dire straits and land sales have been challenging in Second Life. DCTY has reworked and reinvented the land holdings to ride the winds of change in Second Life. Water and related activities are extremely popular and we now offer sailing, boating, swimming and strong water attractions, more to come.

We participate in a major sim wide treasure quest every two weeks which delivers solid traffic to Shipwreck of close to 700 unique visitors per week and growing. This has had a positive impact on rentals for shopping, to grow shopping area and deliver customers to our customers the merchants.

A Directors meeting took place last evening, with 4 of the 5 directors present. Note that Lyne Mayflower was present on behalf of Cadmann Waechter, and had full accountability for his shares.

A new direction team was elected as follows:

This is a transition team put in place to insure that the company pursues its operations with the least possible disadvantages. Some adjustments may be done in the future as we evaluate our current position and goals.

Well things not ended up good for HOT also and went bankrupt, good i saw the insider trading sells (believe me he knowed about the situation of HOT as a former CEO very well) from Rockwell Ginsberg and jumped ship at the right time.

DCTY finnally hits his real value around 0.50L$(check this forum , i told its 5-10 times overvalued...and it was)

Little bit odd since that slcapex Bogart/Nestler deal the market knowing just one direction- down with lots of trading halts every day. Volume nearly just from slw stock flippers.

Seems like Arb made a good deal and things won´t get any better..

The sim is reopening and now someone wants to dump the stock?

This is definatly not DCTY related, the ATM issue is a factor.

Dividends: it is not a news thay do not pay dividends since march.

You even can look who sold the shares because 10k must be a major shareholder.Make a screenshot of the list or copy it in a spreadsheet and check it after big sales then you know who was selling.
For the quick drop, hm think nothing big happend with the their company (their SIM stil there i bet), , just someone needs some liquidty OR someone thinks 5L $ for one DCTY shares is overvalued and wants get out.
Well, it surely is, maybe even 12times overvalued when i lookat the dividend history and Finacial statements and assets.

BUT...BUT a share is worth people are willing to pay for and there is not much freefloat&liquidty.
With 4k shares you can drive the prize down to 40cents.When some of the other top shareholders gets nervous and sells (before trying to get in contact with the CEO/Company/"The one who sold"/or other major shareholders and asks questions to maybe avoid such a drop..) ..it drops.

When it`s constantly trading around 4.50/5.00 for weeks and selling for 2.20 is not clever, why not try sell for 3.20 or 2.75 or even better make other people a private offer to buy those 10k ,which is a huge block considering the total outstanding shares without hurting the shareprize and (maybe) get a much better prize.It´s easy to get in contact within SL.

Buy 1 share then make screenshot of your portfolio value for your virtual SL posie album value before it´s history lol.
(i had a screenhot of mine when RDX was trading for 1000.00L and had a few thousand, was a share at world-stock-exchange.IPO´d at 1L buy went down lookin` :(

Since that happened I was heavily medicated and unable to have any intelligent conversations, let alone generate financial reporting on time.

As soon as the accident occurred I informed CapEx Management and asked for an extension on posting the data, as I didn’t think it was possible to complete on time.

I am no longer debilitated and am able to sit up for short periods of time, the pain killers are now at normal levels and physical therapy has been completed as much as possible.

DCTY’s financials have been posted, www.nestlerinvestments.com/dcty

NIC’s financials have been sent to iVentures for generation/certification as I promised during the IPO, all NIC financials will be generated outside of NIC management.

If there was a way, like in RL for me to have had this done completely outside of myself, I would have done so.

As a thank you to NIC investors for understanding there will be a special “bonus” dividend on top of the one allocated for May.

Also, June data to date has also been sent to iVentures. We will be posting those on Monday and issuing any dividend the same day.

Having received confirmation that the May 2008 Financials for DCTY have been posted SL CapEx Management has lifted the HALT effective 06:30PM SLT today. We will continue to monitor DCTY while Mr. Nestler is under physicians care.

At this point we have not made a determination regarding waiving the fines that DCTY has accrued for non-conformance - I expect a final ddecision will be made this weekend after SL CapEx management and DCTY management has had an opportunity to confer.

Due to non-compliance with Capex's financial reporting policies, DCTY trading has been halted for not posting financials and the Company has been fined pursuant to our posted continued listing requirements.

While we understand that CEO Scott Nestler has sustained a recent injury, ten additional days of latitude should have been more than sufficient to produce a document that takes less than an hour to complete. I would say he is mending a fractured tail bone which is quit painfull and just like he mentioned probably cant sit at a computer..but then again ..please I hope he is ok and has not flown the coop. Unfortunately the side effect was a aggravation of a old injury to my Coccyx bone, or tail bone. The result was a fracture in 2 separate segments.

I have been on some REALLY GOOD painkillers for the last few days, I have also been in Physical therapy the last 2 days.

I should be at a tolerable level within a day or 2, I will have financials posted then along with the dividends. My ability to sit in front of a PC for an extended period is limited.

Scott, when I keep that share of 1L$ for 4 months and received 0.2 in dividends and then sell it for 1L then I still have 20% profit. No one says you have to keep it 2 years, but if you sell it after 2 years for 1L you still get your 1L$ back.
Personally I don't care about dividends at all, usually they are couple of hundred Lindens even when you own 100.000 shares. I don't think it's worth the risk anyways, average lifetime of companies/startups is just too short, some companies could qualify though. I agree, let companies focus on growth more to raise the value of shares.

Dividend should not devaluate a companies sharevalue. It should be paid when there is space for this but shareprice should stay up as much possible. Also I do not believe in secundaries. If a company cannot make the money needed for expansion, hey they already got through an IPO with a lot of money. Let them first work their ways up and then expand. This is really possible in SL and people who cannot do this do not earn the credits to go through a secundary and control more money from other people.

There has been a large quantity of CEO's that ran away with IPO money or simply did not care about the company nomore after they had been given the IPO funds. This is a sad fact which is hard for exchanges to handle and it gives exchanges a bad name and actually such can be a reason for Linden Lab to 'delist' or ban all exchanges. Wonder if they can as exchanges can work rather independantly from SL if need to.

Price of the stock is by far more important than NAVPS, dividend, PE and such for the investor.

I'm actually prety impressed that investors see it the other way around.

Btw. i may sound like an extrimist with this, but by beeing fixated i don't mean just maintaining the price i mean exponentialy increasing it with all ways that are available, for example bribing sl-media, so be it, get it up, as long as you get it up i care not how you do it.

There's a reason why 99% of sl stocks trade well below their nav and with a "strange" pe, the reason is simple most ceos dont give a damn (either because they don't give a damn, or because they don't know they should).

Let me say it again, most CEO's don't give a damn, perhaps because investors dont realize that dividends are instant devalutation of the company, while stockprice growth = nondevaluating growth.

It shouldn't take a genious to realize that 99% of sl listed companies can't grow neither in size nor in revenues because they keep paying too high dividends (often as a request from investors who know nothing about investments).

Assuming that what you say is true, from a shareholder perspective tell me, what is better?

Drive the price of a stock up, and when a company needs a "injection" of capital for a new sim or project sell some of the shares at the higher price and use that profit to fund the venture or keep the share price at or below IPO value, offer little in dividends and when a new project is needed make a secondary offering and dilute the asset/share ratio?

To state a fact, neither is happening a DCTY but since you brought it up, I feeel that this is a time to ask others opinion.

And as a side note, is there anyone here trading in CapEx that is simply buying stocks and holding them to collect a dividend?

A simple 1L per share company that offers a .05 dividend every month would take almost 2 years to show a profit on the purchase, but a company that maintains a share value and when you purchase at below that maintained share value will get you a immediate return.

So tell me what is better, a CEO that doesn't maintain the share value at a high value or a CEO that lets the stock drop to sub 1L value and when things get tough walks away, and we all know who I am refering to on that.

I don't think there is a problem with a high shareprice so I would agree with Ivan. The problem is that once a few 1000s of shares are sold for 6L then the company will claim to have 1.000.000 x 6L is 6 million company value.

On the other side, if the company manages to wager all million shares at such high prices it really will grow towards that level if the money wasn't to be pocketed for personal use.

Easy calculations can show. If someone IPO's 1 million shares for 1L$ and buys them all, then sells them for 6L, profit will be a whopping 5 million or if money stays in business, investments etc. value truely will be 6L. Who needs land and assets if the share is backed by hard (L$) currencies.

Im not sure who said 'It is the CEO's job just to run the company' but they could not be more wrong. The job of a CEO is to create shareholder value and do everything they can to give shareholders a good return. Therefore if they can excert their influence to keep share price steady it is their duty to do this. A healthy steady shareprice here represents alot of happy shareholders - there is nothing wrong with that.

Yes, I know the MV does not equal the intrinsic value of the company. But the greater the discrepancy, the larger the arbitrage opportunity. In this case, the market is way above the fair value of this stock, hence my sell recommendation.

I don't see how you can justify this valuation, nor do I think you understand the difference between share price and shareholder value.

The CEO's job is to manage everything, period.

The share price and the market value do not have to be equal, you see this all the time in RL.

This is economics 101, supply and demand, simple. As CEO I personnaly own over 40% of the shares and I can buy and sell those at my choosing. The 100k treasury shares in DCTY have not been touched since the company was formed.

Name another company currently trading that IPO'd 6 months ago that is trading 600% higher today?

just 11000 shares are not in major shareholders hands, that`s why the prize is so high (and stable).
"Investing" in that stock at 6 L$ a share is stupid imaho because it´s about 10-12 times overprized at this level.( i bought some just for fun, and still own 1 share)
But...a share is worth people are willing to pay for ;)

Most companies WANT their company trading at some MULTIPLE of their actual liquidation value or NAV.

#1 It helps keep DayTraders AWAY from the stock as it is less volatile than some of the bottom feeder stocks.

#2 By keeping a tight reign on the free float of DCTY it minimizes the opportunity for swing players or large shareholders to manipulate the shareprice for personal advantage.

#2 The liquidity that Scott does provide as the CEO and Market Maker for DCTY allows our shareholders to rotate out of DCTY at a profit at almost any time.

As the Chairman of the Board of DCTY I personally think Scott is doing EXACTLY what I as a shareholder would expect and want him to do. Good question though.

Between IPO and Jan 10th there were like more then half a million of shares traded on 1L. Now volumes are just a couple of thousand per day.

IPO brought in 1L per share. Are you trying to make people believe you made 700% with the money? Impossible cause I know it's in land and it will bring only slowly decent revenue. But I'm sure the sell of your stock on these levels bring insiders some nice pocketmoney while buyers might just be a handfull of daytraders who believe it can phantomgrow even higher, loool.
Anyway people can do their own research and take their own conclusions. A company with 2 sims is worth about 2K US$ nowadays. That is if tiers are covered each month which isnt' too hard, you can make about 45K in tier each month per sim if well organised.

True value of assets of 2 sims, 2K USD is about 0.55L per share plus or minus revenue/costs from tier.

Anything else in assets or value to add? That's my question.

I think I'm gonna sell air in future instead of land cause its just limitless.

Next, when Capex converted to SWallet, lots of people decided to buy whatever they could to empty their account balances. If you are part of the management of one company, i guess that is where you would put your money, no? DCTY price went up.

Cadence stated to my post on MNM forum that she has no control on the stock price. False. Management of DCTY owns a very large part of the shares, while MNM management holds just above 50%. This leaves a lot of oppotunities for investors to crash the price. Which they are obviously doing right now. (note: she manipulated the price of GIIF to have it over 30$L if not 40$L at times). Now that would be a good comparison to make... MNM vs GIIF. Same owner :)

With owners of companies holding more than 80% of the shares, the price can stay wherever they chose, even if no profit, no dividends are paid, etc. I could give you some company names giving a 0.01 dividend each month, almost never posting anything, financials always 3 weeks late, and the price is as stable as the Lindex.

I don't think MNM is a scam like someone said, but it sure could need a better PR team. Sorry Cadence. Or maybe keeping a low profile for a while would be better.

That's a few things differencing both companies. I'm sure they are many others. Maybe Bo or Scott could add to it.

However here is DCTY which IPO'd at 1 Linden if I remember right, please correct me if I am wrong, and is now selling for almot 5 Lindens. However the finacials posted show a negative balance for 2 or 3 months!

I have always maintained that I am not a financial guru (I slept alot in my Investments class in college), but I don't understand how a company who is showing a negative Income statement (DCTY) can be valued 5 times higher than it's original IPO value, whereas a startup company is so undervalued based on one income statement showing a positive balance can be valued well below its IPO price. Aside from where we feel the IPO price should have been based on number of shares,I still don't understand the negative "press" that this stock is receiving. I would put it at a "HOLD" at best. Wait for the dividend I would think.

As iVentures pointed out in another forum, the SL Exchange is a game for us to learn in and for us to measure our tolerance to risk. I agree with that. My tolerance for risk for this stock was fairly high, but at a 3.50 to 4.50 level, not at what it is trading for now. That is why I would like to understand the thinking behind the valuations between this stock and DCTY for example. The comparison between DCTY and MNM offers a learning opportunity.

Someone please "learn" me! :)
