<![CDATA[ So it begins....]]> http://slcapex.com/forums/topic/MECH/2367
Greetings to all,

I have spoke with Arnaud Villota today, and we are declaring voting as officially closed on the proposals of the transition team, as originally indicated in the timeline. As of member of Transition Team, I can say a lot of work has been put into trying to build something out of nothing. Arnaud put it well, we were mostly investors who refused to see our investments just disappear into the void. While there have not been many outside comments here on the forums, what we have seen has been almost all good support.

Ladies and gentlemen there is still much to be done, but as Arnaud has pointed out in his "FINAL NOTICE" announcement to shareholders http://www.slcapex.com/forums/topic/YEP/2362 we do have a plan, and at least some tangible product being finalized and made ready to market. We have several prospective products being researched, and things have really been coming together.

I believe we have a great team moving forward. As you know I have been nominated and ratified by the Transition Team, and Temporary Board of Directors to serve you as the Chief Executive Officer (CEO) of the new company once the MECH/YEP merger is complete. I am however, just one piece to this team, and if it wasn't for the great team working behind the scenes to make this all come together I would not have accepted the nomination. Nor did I set out with plans to become the CEO when I first volunteered to be a part of the transition team. I am however, honored and ready to serve.

SLCapEx is preparing to complete the merger of YEP/MECH on their side this week. We are preparing a re-launching event open to all for Monday Night, with stock resuming trade on the floor Tuesday. The venue is still To Be Determined however, we are planning the event for 8PM SLT. I apologize in advance to some of our international folks who may not be able to attend. In the future, we will attempt to arrange for more suitable times, or hold more then one function in a day to better serve all.

While we have several choices already on the slate, we are currently seeking potential names for the new company from our shareholders. If you have a suggestion please post a reply to this thread, and name your recommended choice. Please take an opportunity to voice your idea in this unprecedented opportunity. We only have a day or two, too make a decision, so please don't wait.

Hope to see many of you Monday Night.

G'day all
After a weekend of building, scrpting, rescripting more rescripting , this is the current state of play with the stormkite /mech build.
1 working combat damage system,( just need to increase the hit area as you are still required to hit the main avatar(... like HL online( early days)
2. Working weapons again, both the rockets and the plasma bolts. ( unlimited firepower, but fire too many rockets and they will travel slower).
3. particles effects on fly, shoot, rocketfire, block/shield.
4. death will occur when your avatar is reduced to 0% .

It works , I still want to make some tweeks, But will perm up a set of the black stormkite for trial by the BOD.
Im needing a small rest as this was demanding, in both learning and using a hammer to make it work.

But overall a good weekends work and I'm a little chuffed I got so far in such a short time... coffee is your friend.

LOBO I am thinking of using the tiny avatars as the sales box/ packaging as they are temp rez .. Let me know if you want to keep them foer something special and I will think of a different package

Please desiminate the guts of this to the share holders so they know we have a future.

<![CDATA[ FINAL NOTICE]]> http://slcapex.com/forums/topic/MECH/2361
Finally what you have all been patiently waiting for, the terms of merger and the nominations for board of directors going forward..

These items are presented for your comments and your votes. Voting will be closed at 12:01 Nov 4, 2008 SLT.

Item 1. The merger terms. Given the assets that YEP! has (0), and given that MECH has some IP going forward, MECH is offering a 1 for 1 share swap for all of YEP!'s shares less those of DanielZ Shackles which will be destroyed. In other words for every share of YEP! that you have, you will get 1 share of MECH..

Item 2. Board Of Directors. The following names are being put forward as the new board of directors going forward. Please note that according to SLCAPEX rules; only 3 officers are required for ratification, the CEO, COO, and an External Director (one who does not have a significant monetary interest in either company). The transition team however is putting forward 8 names for ratification. We feel that there is a lot of work ahead for the new company and it will take many hours of coordination and work to move the new company forward. We also feel that since 5 out of 8 members would serve as a quorum for voting and given the time differences and schedules, getting 5 out of 8 together some of the time to do the work has better odds than getting 3 out of 3 together 100% of the time.

The board nominees are:

CEO: Mateo Infinity
COO: Lobo Rodriquez
External Director: Ashleigh Wade
CFO: Arnaud Villota (Treasury Alt: Treasurer Zanzibar)
Shareholder Liaison: Sando Haller
Director of Marketing: Syncere Talon
Director of Public Relations: Konner McDonnell
R.I.O.T. MECH Division President: Gumby Roffo

A brief biography of each candidate follows:

CEO: Mateo Infinity. Mateo was one of the first volunteers for the transition team and I don't think he figured it would lead to this (I don’t think any of us believed it would lead to this). Mateo owns his own company in SL and has also headed up 2 RL companies. Mateo offered many insights during the transition period and demonstrated that he had the strength and the will for the job. He is very qualified for the job and brings us a different way of looking at things and a strong vision to move us forward. Also he is a fresh face on SLCAPEX which will coincide with a new company rising from the ashes of two companies that have crashed and burned. If Mateo were to adopt a Mech Avatar, it would definitely be the Phoenix.

COO: Lobo Rodriguez. Lobo has been with MECH from the beginning and is also a talented builder and author in his own right (check out the stories he has written about the Mechs and their world in the MECH forum). Lobo’s own LLC company NWP will also offer the new company opportunities that we would other wise not have. Lobo’s nomination for COO was in place before we began discussing his LLC company’s involvement (NWP). If SLCAPEX later determines that there will be a conflict of interest with Lobo being COO and his company acquiring the new corporation, then a new name will be offered up to the shareholders by the board of directors if that happens. But for now, Lobo is the best qualified for this job.

External Director: Ashleigh Wade. Ash has been involved in SL for quite some time now. He heads up his own Media and real estate company Wickster Worldwide and has also been voted in as CEO of ZEN. Ashleigh's expertise will be welcome in the new company.

CFO: Arnaud Villota. I won't talk about myself in the 3rd person. I am not that much of a Roman. :) I am not an accountant in the strict sense of the word, but I know where to turn too if I run into trouble. I currently serve as CFO for ZEN and am basically following the prior work laid out by Guardian Market and iVentures. I have automated it a bit to make it easier for me. I am a big proponent of automation! I firmly believe though in separation of duties and I think that they can work in SL as well as RL. The transition board was supportive of the ideas that Syncere and I had about alts to handle the financials, so we are going to try it. If it doesn't work, then we will return to the traditional methods.

Shareholder Liaison: Sando Haller. We all know Sando. Sando has volunteered for this position and basically it is the watchdog position for the shareholders, not for the board. Sando is perfect for this position because she has demonstrated time and again in the past that she is not afraid to speak up for what is right and she is not afraid of anyone and will hold the board accountable for any promises that it makes or attempts to make. So if there are things that don't seem right or you have a beef about, Sando will be your advocate to the board.

Director of Marketing: Syncere Talon. SynCere has made many succinct observations in the forums and has offered a lot of good ideas to move MECH forward through effective marketing, branding, etc. Syncere will work closely with Gumby to help move the MECH division forward and also help to market the overall message of the new company. She started out with 200 USD and has built it up to over 2k USD, not including slcapex. Just her personal businesses, that is without investing more into the game. She owns 38k m sq in Borland Fell, Village de la Garra and while many places were going under during the SL crunch , Village has remained at 90 - 95% occupancy and actually has even expanded some. She also owns Tiny Eclectic Co, and Talon Designs all of which are getting ready for another growth spurt; and lastly, she is also an official adopted aussie by ABC, which obviously makes her more than qualified for the job. Syncere will also control the financial alt, Mercado Burner, for the MECH Division sales.

Director of Public Relations: Konner McDonnell. Konner has had a lot of experience as a writer via Your2ndPlace.com as a blogger and has a lot of insight into SL finance as many of his posts on Y2P and SLCAPEX forums have shown. Konner's expertise with the "press" puts him in a unique position to deal diplomatically and honestly with questions from both external sources and shareholders. Please don’t confuse Konner’s position with Sando’s. It is Konner’s job to answer all questions straightforwardly and honestly (and bluntly if necessary). It is Sando’s job to represent the shareholder if they don’t like the answers.

Last but not least:
President of R.I.O.T. MECH division: Gumby Roffo. Gumby has also been with MECH from the beginning. Not only is he a talented and prolific builder but he also knows where to get the scripts needed to do a job and to modify them to make them perform better. Under Gumby's direction the MECH division should move forward at a good and profitable pace.

That's the board and the merger terms. Please be frank in your comments. If you find offense in the biographies, please blame me. Sometimes I convey the wrong idea with the words that I chose. It is not a reflection of the candidates.

Also, feel free to ask direct questions to the candidates. Please make sure that you ask the question directly to a candidate, otherwise if it is not clear who you are asking, then any of us on the transition team will feel free to answer.

Thanks for your patience during this difficult time, I personally hope that things will work out for the better in the long run. Good Luck to us all.

What you propose seems at first sight a good way forward. A bit of a turnaround proposing that MECH takes over YEP.... but I can see the logic for this. Will look forward to the nitty gritty detail in due course. I guess that the relative values of YEP and MECH may need revising in the light of the info concerning their relative 'assets'!

Again, thanks for your efforts in trying to rescue something.

<![CDATA[ Friends, Romans, Countrymen, Lend me your ears]]> http://slcapex.com/forums/topic/MECH/2348 From: Arnaud Villota, on behalf of the Transition team
Subject: What has happened and what will happen

Such an ominous title.

We are getting close to closing out a sad chapter in the history of YEP and MECH and opening what will hopefully be a better future for both companies. First some “hard to take” facts, especially for YEP shareholders.

Bottom line, YEP has no assets! Never had those from the beginning didn’t have any in the end. The “non tangible assets” claimed on the balance sheet are either for scripts owned by danielZ, which we obviously can’t retrieve, or references to the furniture line built by Xenius, which YEP or danielZ didn’t own. I rather doubt that it was the Xenius line because I’m pretty sure iVentures would have made a note of that in the financial statements.

The deal between Xenius Revere (the furniture guy) and danielZ, was exactly that. It was an agreement between two Avatars, not between an Avatar and an SL corporation. Once danielZ disappeared from the scene, there was no reason for Xenius to continue any agreement with YEP!. Xenius does not recognize YEP! and will not do business with YEP! directly because it is a non entity as far as he is concerned. Before you get too incensed by this statement, Xenius is right. His agreement was with danielZ and not with YEP! LL will back him up on that, so there is no need for abuse reports, legal action, etc., etc. An agreement between two Avatars is sacrosanct as far as LL is concerned, so no sense spending precious time going down a dead end. It is time to move on.

Xenius and danielZ shared an alt account that belonged to danielZ by the name of Xen Heinrichs (which has now been locked by LL). All of Xenius sales went to this alt and the rent was paid for Lutz Island out of this alt (to the tune of $400USD/month). What was left over from the rent, was split 50/50 between Xenius and danielZ. DanielZ used his portion of the 50% to pay dividends to the YEP shareholders. That was the setup and it worked well for everyone involved as long as things didn’t go “south”. Eventually though, they did.

Furniture sales for Xenius dropped dramatically within the last couple of months. Xenius figures it was because it was an old product line. Xenius and danielZ were working on a new product line to enhance the furniture line, but then MECH appeared. All efforts went to MECH thus sacrificing new builds, new scripts, new ideas, etc. As we all know, MECH didn’t quite reach it to the finish line and that not only affected MECH’s future, but it mortally wounded YEP!’s future. As you know Xenius created all of the MECHS, danielZ created the scripts. We cannot recover the scripts obviously, or the first combat MECH (the Jap White MECH), because Xenius assigned all IP of that to ImA and danielZ, but we have recovered some of the new MECHS from Xenius. Read on.

So as it stands now, MECH owns some saleable IP, because Gumby Roffo has spent a lot of hours making something out of nothing from what Xenius gave us and Lobo is working on it as well for a small game concept, while YEP holds nothing but the brand name of YEP, which is worth something; it is a recognizable brand name for furniture.

So what can we do with this? This has been the question that we on the transition team have been struggling with over the last couple of weeks. We think we have a solution that will be beneficial to all shareholders as follows:

1) MECH will buy out YEP at a rate to be determined
2) Once the merger is done, then the new company (NewCorp for brevity) will be acquired by an RL Limited Liability Company owned by Lobo Rodriguez. (Northern Wolf Press, Inc.) which will purchase the MECH IP and license it back to the new company. (Terms to be favorable to NewCorp)
3) The SL company will be independent of the RL company, and will form it’s own business model. Profits will be funneled to the RL Company via dividends in Lindens, not USD. Any tax burden will belong to the LLC not to NewCorp.
4) NewCorp will become a distribution company, similar to the YEP model but with some differences. In the short term, several stores on several SIMS are being set up to sell the MECH merchandise. At this time all stores are rent free thus giving us a break on overhead. In the long term we hope to adopt a wholesale model where people will buy a package of 10 or more items, at wholesale prices and then sell it as they see fit in their own stores. They would then take on the burden of marketing, rental, etc. expense. A precedent for this type of model is Vindi Vindaloo for her fashions and it has been quite successful for her.
5) Lobo’s LLC will offer NewCorp distribution possibilities that were not previously available to us or to others in SL. So that would put NewCorp in a very competitive position in SL. In the long run it will probably give us a better and safer advantage than the original YEP, since we can negotiate License agreements with the LLC that will not leave NewCorp coming up short as YEP is currently with the Xenius agreement with danielZ.

NewCorp will have divisions to spread out the work and the risk. The first division of the new company will be R.I.O.T. MECH which will be headed up by Gumby Roffo. The responsibility of the division is to market and distribute MECH statues and AVIs. We do have furniture possibilities in the process of negotiations, one of which is Xenius’s new lines. This product type would fall under a YEP division which would have its own president and support staff.

With this model we are hoping to spread not only the amount of work involved, but also the risk. Let me explain.

At the board level there will be a “master” avatar for financial purposes that all financial info will roll up to. The master avatar will also own the Treasury and Restricted stock for the corporation. This master avatar would be an Alt of the CFO, not the CEO. Why the CFO? Because the CFO is not an elected position and thus the avatar should be more easily transferred from one CFO alt to the other. Also there will be a clear separation of duties between the CEO and CFO. The CEO will not have the license to withdraw money without oversight. (Note for those of you who are questioning this, this is a whole ‘nother discussion. Feel free to IM me, or start a new topic about this.) Each division would hold it’s own financial alt where all sales of items would go to. On a weekly basis, all alts (including the “master” alt) would report its transaction and account activity log, on either the SLCAPEX forums or another venue. The CFO would then get a final transaction and account log from all division alts in order to complete the monthly financials. The beauty of this model is that all of the company cash is not held by one alt but is spread out over several. Also by using an alt, non business related transactions can be more easily spotted and dealt with quickly. Also an audit can be asked for one or all of the alts by any shareholder at anytime no matter how many shares they hold. We will go into the details of such an audit later, and how it would be carried out.

Sorry for all the details, but we want to assure you that a lot of thinking has gone into the future because all of us on the transition team has as much to lose as anyone else in this venture of MECH and YEP. Our goal is to make this work one way or the other.

So that is where we are right now. Our goal is to have this all finalized and in place by Nov 10, 2008, the date due for financials. Personally we would like to see it finalized a lot earlier so that we can open up trading once again for NewCorp and that those of you who wish to bail can do so, and those of you who want to stick it out can buy at a bargain.

We are not offering guarantees or any promises. We are offering a way forward that may or may not work for two wounded companies. If you wish to participate that would be great, if you wish to bail then that is ok as well, we only wish you good luck in the future no matter what you decide.

Bottom line, MECH and YEP are dead. To continue the quote from Shakespeare for a moment “I come to bury Caesar, not to praise him.”, but unlike Marc Antony, I am here to really bury Caesar. Those of you who are familiar with the speech where that quote came from, will understand. I, personally, do not believe that Ima or DanielZ purposely set out to screw anyone. I truly believe that they had a vision that they felt could be accomplished until reality hit. When reality hit, they felt that they couldn’t face the humiliation of defeat. That is a normal human emotion. Who among us can face that kind of humiliation. So rather than think of either DanielZ or ImA in negative terms, think of them as visionaries who had a great idea, but fell short. We will try to carry out the vision as best we can even though the principals have abandoned us. It is our vision now! We need to make the best that we can of it. Thank you DanielZ and Ima for the start, but we will take it from here!

They can live on in our memories as “those with a great idea”, but…we who are left need to make it work, for our own survival!

I and the transition team look forward to your feedback.

This message is repeated on both the YEP and MECH forums.

In that case, if no one minds, I would like to call a meeting of the temporary board elect for sometime this weekend to discuss and vote on the two issues that we must deal with which are:

1) Removal of ImA as CEO of MECH
2) Destroy all MECH shares of ImA Janitor, and DanielZ Schakle.

I will offer this up for comments by the shareholders as well, even those these two items are up to the board, I would invite comments from the MECH community.

If the board elect could email arnaudvillota@yahoo.com with their vote of the best possible times to meet then we can get back to the shareholders within a reasonable amount of time after the polls close:

1. Friday, Oct 24, 11PM SLT
2. Saturday, Oct 25, 10AM SLT
3. Saturday, Oct 25, 4PM SLT

Because of the bad English I will probably not be able to help actively. Which I can do however, is the following.
I tarpaulin my shares on long time. Possibly if a transformation of the shares should find instead of, then I these not overhastyly to sell, but further long times to hold.

We hope to hear from all shareholders from both companies. This decision is not being made by one company or the other it is being made by people from both companies.

Our goal is to present a plan of action for the future of both companies to the shareholders within the next couple of weeks, hopefully sooner, for ratification and approval. At this point we are coordinating schedules and working out details.

Thanks.

<![CDATA[ Re: Shareholders Meeting]]> http://slcapex.com/forums/topic/MECH/2289
And please don't get me wrong I just try to understand ...

Why dont all the shareholders of both companies voice their concern? That s one of the questions i made to myself. (They all can not be ALT's with one AV i presume)

In short since the beginning of this drama (break-in and theft of YEP's and also prior to that the non paiement of the dividends) I personaly didn't believe one single word of that crime story. HE (Danielz) could have provided here on the forum the, i dont know the exact term, casenumber of his complaint made to the police about the theft and break-in. I presume that the US law agencies use a similar system as in Belgium where you get a case-number wich can be given to all concerned parties afterwards in case of communication)

At that point an inner voice warned me to get out as fast as i could. But i didn't ... Still having confidence .. But that latter one is gone now and for good.

Now my question, WHEN will there be a solution? Merger of companies, or both on their own? Up to the smart boys and girls to decide. I just hope that it will not be, like we have a dutch expression "met St Juttemis" what means never.

I just hope that the Smart boys and girls will have soon a solution so we can go on with our business...

As it stands now, I think that the shares owned by IMA and DANIELZ will be converted to treasury stock and then either retired or used. These are the things that the transition team are working on and once we have a solid plan then we will bring that to the shareholders.

As I said in my message above, if you would like to participate on this team or even to sit down and discuss ideas then send me a message at the e-mail address that I gave above.

<![CDATA[ Re: Shareholders Meeting]]> http://slcapex.com/forums/topic/MECH/2289
By the way, this list is NOT a list of board members, it is only a list af a transitional team to come up with the best way to get YEP and MECH back on track. The merger was an idea that may have merit because it would expand YEP's product base. However it is up to the transition team to put that proposal together, along with nominees for new board members and then put that in front of the shareholders for comments and a vote.

As far as the phone calls go, I have tried several times to call danielZ, as has Sando 0and Bogart in his capacity as exchange head. We used the same number that he had given to iVentures back in Jan while iVentures was helping with the financials. No joy. The phone number for Ryan seems to be missing, and it is unlisted in the phone book.

Se we have tried for the last 2 or 3 weeks.

Once again I apologize if I misunderstood you. You are more than welcome to join us, please send me an e-mail and I will begin including you on the correspondence. The more hard facts we can gather, the better of we will be.

<![CDATA[ Re: Shareholders Meeting]]> http://slcapex.com/forums/topic/MECH/2289 Have anyone done any calculation about how much money we would need to raise in the diffrent situations, and how it would be with the current shares that was owned by Ima?
will a precentage of this be put out for sale as a second IPO?
how much will be obtained for treasury shares?
also, how much will a new CEO of the company get in shares for taking over the company?

Maybe its a little early to ask these questions. but they are questions that needs to be answered shortly if mech is gona have any progress at all.

<![CDATA[ Re: Shareholders Meeting]]> http://slcapex.com/forums/topic/MECH/2289 (http://www.altassets.com/casefor/countries/2001/nz3547.php)

I would like to see a written and signed contract between the creator and ryan (Ima) for the IP rights to the builds.
Ima represented the company, and the IP rights itself belongs to the company and its owners (us the shareholders) and not Ima
him self.
If he signed the contract witch said that the IP rights belongs to him self, and not the company, he could be brought to court for the miss use of the shareholders money for his own personal agenda.
If you look at the current situation, you wont find a judge that would rule in favor of Ima if he would decide to bring this to court.
I would advise some of you shareholders that lives in USA to check with your lawyer about this, as they would be more specific to the IP rights and the US law on this situation.

Regarding the trademark Riot Mech, what would the price to register it as a trademark in US? and what is the situation on this? im a little unsure here as I have had no time to check it up, but since the name was founded by Ima, and he just sold a precentage of "his" company, we may need to change the name as the tm may be with him.

<![CDATA[ Re: Shareholders Meeting]]> http://slcapex.com/forums/topic/MECH/2289 I see I have been dropped off the list , so congratulations to the new board members, Im happy that the shares are selling.
BO welcome to the Mech board evantually, now share the pain.

OK so merger is what you are after. Im disapointed that most of the direction seems to be based on conjecture and guess work.
Hard facts are available if a few partys would bother to ring (sorry if that is not in your interest) but for the benefit of the shareholders.
hell I was in the US last month and could have visited any of the partys, so a phone call is not real hard.
but dont bother if you really are not interested.
I will always hold 2000K of shares in Mech, and have been chatting with Xen about the IP of the models.
still working on that but the IP belongs to MECH, not Ima/danz as it was the company that purchased the product.( albiet via an avatar)

I will continue to investergate in my own way to sort the problem as Im a tad pissed about it.

If nothing is heard from them by midnight (SLT) Thursday 10/16/2008, then all of their shares in MECH and YEP will be seized and redistributed as part of any restructuring plan approved by the shareholders of both MECH and YEP.

<![CDATA[ Re: Shareholders Meeting]]> http://slcapex.com/forums/topic/MECH/2289
To all concerned, here is the background information refered to in the minutes:

A brief review of events:

1. ImA Janitor (Ryan Gordon) has not posted in SLCAPEX Forum since August 10,2008.
2. Danielz Shackle (CEO of YEP and principle scripter for MECH and YEP) allegedly had his computer stolen and his SL account hacked which contained approximately $5000USD. He reported this to Linden Lab and immediately his SL account was locked.
3. ImA Janitor’s second life account disappeared sometime after Danielz account was locked.
4. To quote DanielZ in one of his last posts (Sept 10):
Sep 10th, 18:54
Danielz Shackle Riot Mechs » Issues with LL
Issues with LL
http://www.slcapex.com/forums/topic/YEP/2235

That is what happened to me this month, and unfortunately ImA was caught in it since we had done some transactions recently. I am going to meet with him again tonight in RL, but it appears that when they froze his account to investigate the theft of my funds, he was forced to miss his tier date which froze his account even longer. I am sure he is working on a way to get his AV back into SL ASAP so that he can better explain what happened from his end and how he is proceeding. I wanted to post this now that I can finally post in capex again to help you understand what is going on as best as I can until he can get back on also.

Daniel

5. Although ImA and danielZ’s SL accounts were locked, their SLCAPEX accounts were not locked. There was plenty of opportunity to communicate, but they have chosen not to for whatever reason.
6. I have spoken with Bogart Beck and neither SLCAPEX accounts contain any significant amounts of money. He has been monitoring their accounts for some time now for suspicious activity, and there has been none.
7. Many efforts have been made to communicate with both ImA and Danielz. No success.

Conclusions: For whatever reason, it appears that ImA and DanielZ do not want to participate any longer in MECH, so we as the remaining shareholders must decide on a course of action that will do the least possible damage to our investment.

What we know:

1. Xenius Revere is the principle designer of the MECHS and of all of the builds on the MECH COMBAT SIM.
2. Xenius still holds the ownership of all of the builds, but he surrendered the IP for the MECHs to ImA. He can no longer duplicate his work because it would be a violation of the SL TOS regarding IP.
3. danielZ was the principal scripter for both the MECHS and the builds on Riot Combat.
4. Lobo Rodriquez is the author of the MECH story and RETAINS Intellectual Property rights to the story.
5. The website riotmechs.com is no longer active. It shows up on whois.com as not available to buy, but when you do an actual whois search it reports that “it is not found in the registrar database”, which implies to me that it is in a 90 day suspended state for non-payment of the renewal fee.
6. No past financial history is available since the financials were posted on riotmechs.com
7. The Mech Sims still exist. Mech HQ has been stripped to prepare it for sale, the Combat Sim is still intact. (See point 1 of “What we don’t know”)
8. The MECH Sims are group owned by Riot Mech, however the Riot Mech group is owned by ImA Janitor.
9. There is a pretty good chance that MECH as a corporate entity is broke, and since it’s CEO has ownership of all Intellectual Property, then by LL TOS we can’t do anything with that intellectual property unless ImA Janitor assigns it back to the corporation.

What we don’t know

1. The SIMS exist, but we do not know the status of the tier. There are theories and speculation that since they are still there, that tier is somehow getting paid and that ImA’s account can’t be permanently deleted because deleted accounts can’t own land. I am unfamiliar with LL policies on this matter. I am only reporting what I have been told.
2. The financial state of MECH (We do know that the MECH account is at or near empty so there would be no assets to seize)
3. The actual status or intentions of ImA Janitor.

So that’s about all I know at this point. Most of this has been in the forums or speculated about in the forums.

So where do we go from here?

Let us assume the following for the sake of argument:

1. MECH is broke.
2. MECH has no workable IP. MECH has a claim to the IP owned by ImA, however getting it is a whole ‘nother matter. So let’s assume we would need to redesign all MECHS.
3. The SIMS are lost to MECH. Once again, the SIMS are owned by ImA, he assigned them to Riot Mech group, which he also owns. We cannot get the group or the SIMS without ImA assigning them to a new avatar.

So I think that is what we have to realistically look at. The questions are:

Do we continue with MECH with a restructured board of directors and build new MECH units?
If that is the decision, then we must answer these questions: Where do we get the money to pay Xenius Revere for the new builds and MECH units? We also need a scripter to make things “work”, etc.

Do we liquidate MECH? Not much to liquidate. Assuming we could get control of the sims and sell them, that would make break up value around .05/share.

Other alternatives?

[19:15] Bogart Beck: Well... MOST good CEO's know how to Make Markets in their stock... I think you actually SHOULD manage the Bid and ask at some level... thats part of the job. If you DON'T the morons will just bid you into the toilet
[19:15] Arnaud Villota: she did?
[19:15] You: yes
[19:15] Arnaud Villota: I didn;t see it.
[19:15] Bogart Beck: GMAil

[19:20] Arnaud Villota: Okey dokey
[19:21] Arnaud Villota: Give me another couple. I am seeing if Gumby and Lobo are around
[19:21] Arnaud Villota: smoke em if you got em!
[19:21] Bogart Beck: Bo straightens his tie and shuffles papers attempting to look official like... clears his throat and...

[19:24] Arnaud Villota: Since I will be out of Jack Daniels by then.....
[19:24] Arnaud Villota clears throat...
[19:24] IM: SkyRanger Hammerer: tp please
[19:24] SynCere Talon: SL new viewer has given me a spongy keyboard, excuse teh typos
[19:24] Bogart Beck: Do we have ANY MECH or YEP Officers present?

[19:25] IM: Cash Yiyuan: click the link for location
[19:25] SynCere Talon: good question
[19:25] Arnaud Villota: Well, me and you I think since we are the #3 and #4 shareholder.
[19:25] Arnaud Villota: I think that was ImA's definition of an "officer"
[19:25] Bogart Beck: and Sandy is #2
[19:25] Reina Ferraris: Hello sending for thx
[19:25] Arnaud Villota: Yes. Sandy is #2.
[19:25] Bogart Beck: Okies
[19:26] Arnaud Villota: Hi Reina, welcome. Please click on the box for background info.
[19:26] Bogart Beck: Cash, you'll need to scribe for CapEx then...
[19:26] Reina Ferraris: hello arnaud
[19:26] You: yes

[19:26] SynCere Talon: welcome all
[19:26] Reina Ferraris: Hello Cash
[19:27] Reina Ferraris: Bogart
[19:27] Reina Ferraris: Dezmond
[19:27] Reina Ferraris: gosh it is sure nice to see all of you
[19:27] Bogart Beck: ;-)... lovely 2 c u 2
[19:27] Reina Ferraris: SynCere
[19:27] SynCere Talon: yes
[19:27] You: Hello Mateo
[19:27] SynCere Talon: thanks
[19:27] Mateo Infinity: Greetings
[19:27] Arnaud Villota: Hi mateo. Thanks for coming!
[19:27] Reina Ferraris: Hello Mateo didn't see you over there
[19:28] SynCere Talon: Looks like I am the mascot
[19:28] Arnaud Villota: The cube on the desk contains a notecard with background info for tonights meeting.
[19:28] Reina Ferraris: LOL
[19:28] Arnaud Villota: lol!
[19:28] Bogart Beck: Token Equine.
[19:28] You: hehe
[19:28] SynCere Talon: *~giggles~* no different then people running around in robo avatars
[19:28] Bogart Beck: Mech the Equal Opportunity abdicator
[19:29] Arnaud Villota: I do have another alternative which has just been confirmed that I will share after our discussion.
[19:29] SynCere Talon: cool
[19:29] Bogart Beck: Call to Order at will Arnaud...
[19:29] SynCere Talon: I am ready
[19:29] Bogart Beck: I think you have a quorum of likely interested parties
[19:29] Arnaud Villota: Ok. Since it looks like all the kool people are here, I now call the meeting officially to order.
[19:29] IM: SkyRanger Hammerer: This isn't working
[19:29] IM: SkyRanger Hammerer: TP please
[19:30] Arnaud Villota: skyranger just popped in.
[19:30] SkyRanger Hammerer: Sorry I am late, TP issues
[19:30] SynCere Talon: hello skyranger just in time
[19:30] Arnaud Villota: np. We are just starting.
[19:30] Arnaud Villota: Please click on the cube to ge tthe background info for this meeting.
[19:30] thx1138 Vanbeeck: hey sky, don't kiss bo on the lips, we know your affection towards him, lol
[19:30] SynCere Talon: 2 seats left
[19:31] Arnaud Villota: I think I have lost control already! lol!
[19:31] Bogart Beck: we kissed earlier
[19:31] SynCere Talon: hehe
[19:31] SkyRanger Hammerer: any other seats available? Too close to Bo for comfort
[19:31] You: now now...
[19:31] thx1138 Vanbeeck: does he have BO? lol
[19:31] Bogart Beck: I'll keep me cattle prod holstered for now
[19:31] Arnaud Villota: ok. Has everyone had a chance to read the background info?
[19:31] SynCere Talon: he you missed the opportunity to sit by the unicorn
[19:32] You: yes
[19:32] SynCere Talon: yes
[19:32] Bogart Beck: si
[19:32] Reina Ferraris: I read it
[19:32] SkyRanger Hammerer: I see a seat next to Cash, I am on it.. still not across from Bo, but there is a whole body between us
[19:32] SkyRanger Hammerer: not that cash could hold bo..
[19:32] SynCere Talon: *~giggles~*
[19:32] Bogart Beck: Cash longs to hold Bo... tightly
[19:32] Arnaud Villota coughs silently stifling a laugh
[19:32] You: LMAO
[19:32] SkyRanger Hammerer: lol
[19:33] Bogart Beck: Bald is beautiful
[19:33] SynCere Talon: now now boys and their toys
[19:33] Arnaud Villota: ok ok ok while there is still some semblance of order....
[19:33] Bogart Beck: Can I get fries with mine?
[19:33] Bogart Beck: l-)
[19:33] Arnaud Villota: are there any questions, comments, additions or whatever to the background?
[19:33] Arnaud Villota: no.
[19:34] Reina Ferraris: thx is asking
[19:34] Bogart Beck: Ahem... seriously. Arnaud I think it's an accurate synopsis of the recent chain of events
[19:34] SynCere Talon: yes pretty dead on the penny
[19:34] Arnaud Villota: thx?
[19:34] thx1138 Vanbeeck: look to cut through the bullsh**t, mech was a non-starter because of the way sl works
[19:34] SynCere Talon: nothing I havent voiced
[19:34] Arnaud Villota: ok.
[19:34] SynCere Talon: i am not sure about that
[19:34] Arnaud Villota: noted and valid.
[19:34] Bogart Beck: Definately process intensive
[19:35] thx1138 Vanbeeck: yes run lots of stuff on one server
[19:35] SynCere Talon: I have seen a few very successful busines with a similar business model
[19:35] Bogart Beck: but that part is really immaterial to the current state of affairs
[19:35] Arnaud Villota: I think there was too much on the Plate. I like Dezmonds approach of starting small and building rather than the other way around.
[19:35] You: correct
[19:35] Arnaud Villota: agreed.
[19:35] Mateo Infinity: Indeed
[19:35] SynCere Talon: most successful SL business start that way
[19:36] SynCere Talon: merchandise should have come before the sims
[19:36] thx1138 Vanbeeck: case in point even if mnm was on the up and up should have started small and grown
[19:36] You: lets keep to the issues at hand
[19:36] Reina Ferraris: he is just giving an example Cash
[19:37] Bogart Beck: you mean changing strategies 10 nanoseconds after completing your IPO isn't kosher?
[19:37] Arnaud Villota: true. So from the comments thus far I think we are all agreed that it was a flawed business model.
[19:37] SynCere Talon: main issue is where do we go from here and how do we get there
[19:37] Arnaud Villota: excatly.
[19:37] You: yes SynCere
[19:37] Arnaud Villota: Let's stick with what is in the background
[19:37] thx1138 Vanbeeck: not just business model, from tech perspective too
[19:37] Arnaud Villota: Are there comments on the first two alternatives?
[19:37] SynCere Talon: and as a side note do we get there with or without Ima
[19:38] Arnaud Villota: That is, start over again, small or just say "the hell with it"
[19:38] Bogart Beck: IMO, with Ima completely AWOL it is clear that he has abdicated his obligations to his shareholders.
[19:38] Arnaud Villota: We get there without ImA. I think we can agree that he is now out of the picture.
[19:38] SynCere Talon: that is definitely the message he is sending
[19:38] thx1138 Vanbeeck: only the yep guys said they could make it work, nobody can right now
[19:39] Bogart Beck: Fundamentally, two questions arise... deferring to THX and Syncere's technical expertise is there any portion of the MECH IP that is salvageable and eminently USEABLE?
[19:39] Arnaud Villota: Ok. Let me offer a third alternative
[19:39] Arnaud Villota: then we can discuss this "holistically" as it were.
[19:39] Mateo Infinity: I would have been nice even if he felt he could not make things work, he could have turned things over to others to pick up the pieces. There obviously have been plenty offering to help.
[19:39] Bogart Beck: Hang tight Arnaud... let's nail the coffin first
[19:39] thx1138 Vanbeeck: selling plush transformer dolls to japanese infants? lol
[19:39] Arnaud Villota: ok. go for it. I will follow your lead for now.
[19:39] SynCere Talon: how did Xenius surrender the IP
[19:40] Arnaud Villota: not a bad idea! lol!
[19:40] Bogart Beck: Lets focus FIRST on MECH exclusively
[19:40] Arnaud Villota: Xenius assigned rights to the MECHS to ImA and gave ownership to danielZ for the scripts.
[19:40] Bogart Beck: any IP that has MARKET VALUE?
[19:40] SynCere Talon: yes but then we come into copyright laws
[19:40] Arnaud Villota: not that we own. except for Lobo's stories.
[19:41] Bogart Beck: (lets forget PERMS for the moment)...
[19:41] Arnaud Villota: We own those indirectly because Lobo was paid in stock for the stories.
[19:41] Arnaud Villota: He is willing to work with MECH on that.
[19:41] Bogart Beck: SO all the bakeware is USELESS (notwithstanding perms)?
[19:41] SynCere Talon: If xenius still has the full perm builds he still holds the copyrights
[19:41] Arnaud Villota: only for the builds on Riot Combat.
[19:41] SynCere Talon: what about the robos
[19:42] Arnaud Villota: He doesn;t feel he has those rigths anymore.
[19:42] Arnaud Villota: *rights.
[19:42] SynCere Talon: copyrights cant be just given away
[19:42] Bogart Beck: They CAN be ASSIGNED
[19:42] Arnaud Villota: no. But they can be assigned.
[19:42] Bogart Beck: ;-)
[19:42] Arnaud Villota: lol!
[19:42] Arnaud Villota: elctrons passing in the sea.
[19:42] Arnaud Villota: *electrons
[19:43] SynCere Talon: assigned doesnt delete the copright though especially if Ima is gone
[19:43] Bogart Beck: So his opinion is he was compensated for the effort and therefore there was consideration for the assignment... that makes sense
[19:43] thx1138 Vanbeeck: oh, we need positrons to cancel them out then, lol
[19:43] Bogart Beck: Yes it does Syncere
[19:43] Arnaud Villota: exactly.
[19:43] Arnaud Villota: (Bo)
[19:43] Arnaud Villota: lol!
[19:43] thx1138 Vanbeeck: but then you would have all that nasty gamma radiation, lol
[19:44] Arnaud Villota: I think that refers to LL?
[19:44] Arnaud Villota: The gamma stuff.
[19:44] SynCere Talon: ok so as it stands the robos would have to be built from scratch?
[19:44] Arnaud Villota: yes and slightly differently.
[19:44] Arnaud Villota: so as to avoid copyright stuff.
[19:44] Bogart Beck: OK... second, *IF* someone WERE able to secure the IP (regardless of who is in possession of them NOW) do we have a party willing/able to carry forward SOME effort to maket them (Bots))?
[19:44] Arnaud Villota: good question.
[19:45] SkyRanger Hammerer: don't we/
[19:45] Bogart Beck: going once...
[19:45] Bogart Beck: going twice...
[19:45] Arnaud Villota thinking about that sort of
[19:45] Bogart Beck: ... option A sounds like a non sequitor
[19:45] Dezmond Martinek: marketing bots isnt a difficult task really
[19:46] SynCere Talon: no and actually Gumby would be best for it
[19:46] Bogart Beck: Seqquiter
[19:46] SynCere Talon: that is right up his ally
[19:46] Arnaud Villota: I agree. Gumby would be a good candidate for that.
[19:46] Reina Ferraris: where is sando Haller?
[19:46] SkyRanger Hammerer: Good question
[19:46] Arnaud Villota: on the road I think.
[19:46] thx1138 Vanbeeck: making them work in a multi-player combat scenario is the problem
[19:46] Davey Hullabaloo is Offline
[19:46] You: RL busy
[19:46] Bogart Beck: OK... so... lets ASSUME that we HAVE a party to champion the BOTS... and a market for them
[19:46] Bogart Beck: Understood THX
[19:46] SynCere Talon: if he agreed to it, Gumby has a successful business in that area already
[19:47] Dezmond Martinek: share holders can be appealed to donate tier to the mech group, and land can be purchased
[19:47] Dezmond Martinek: with zero monthly expense
[19:47] Bogart Beck: do we have a viable business unit in MECH - in its current structure - to carry that concept forward?
[19:47] Arnaud Villota: I would think we would need to restructure completely.
[19:48] SynCere Talon: wel the zero tier expense only works on mainland
[19:48] Dezmond Martinek: its more viable than what you had before -150k a month to 0 with a potential
[19:48] Cezare Blanco is Online
[19:48] Dezmond Martinek: yes thats true but we can assume we wont be getting the sims
[19:48] Arnaud Villota: and the "charity" from shareholders is suspect.
[19:48] Bogart Beck: Shhh... yer too realistic!
[19:48] Dezmond Martinek: its not charity
[19:48] Dezmond Martinek: they arent using it
[19:48] Arnaud Villota: We could retire all but 2Million of ImA's shares and offer a secondary IPO.
[19:48] Dezmond Martinek: doesnt cost them a dime
[19:49] Bogart Beck: is THAT the BEST idea? (Keep Bot entity as its OWN co?\
[19:49] Dezmond Martinek: it can grow, but its a better idea than paying out huge sums of money every month
[19:49] Bogart Beck: Officers, facilities, costs, etc... all are open issues there
[19:49] Mateo Infinity: True
[19:49] thx1138 Vanbeeck: does the company have any asset beside a sim?
[19:49] SynCere Talon: Yes merchandising should be a separate subsidiary
[19:50] Arnaud Villota: Who wil carry the vision? Sando won't and I won't. I don;t know enough about that to do it. Lobo or Gumby would be good candidates.
[19:50] SynCere Talon: there are plenty of mainland sims very cheap right now
[19:50] Dezmond Martinek: they can be free
[19:50] Arnaud Villota: I don;t think the company even has the SIMs as assets.
[19:50] Dezmond Martinek: you dont have 295 a month
[19:50] Dezmond Martinek: to pay for them
[19:50] SynCere Talon: no 295 is island, 195 is mainland
[19:51] Dezmond Martinek: either way why do you need a sim
[19:51] Bogart Beck: What is the REAL value of a SEPERATE co beyond perhaps Branding ??
[19:51] Dezmond Martinek: its what caused this problem in the first place
[19:51] Arnaud Villota: Mainland would be better if we did this, but what about LAG?
[19:51] SynCere Talon: and if there were a group of owners then there would be no tier
[19:51] Arnaud Villota: That is a real issue with this stuff.
[19:51] Arnaud Villota: ?
[19:51] SynCere Talon: lag is caused the same on mainland as estates
[19:51] You: the reality is that Mech is still just an idea after 12 mths.... will it take another 12mths to see something happen?
[19:51] Dezmond Martinek: you dont have a combat system
[19:51] thx1138 Vanbeeck: true bo, is listed company could do secondary ipo with new business model
[19:51] Dezmond Martinek: so who cares
[19:51] SynCere Talon: there really isnt any difference
[19:52] Arnaud Villota: What if we market Xenius's skills at building to other combat SIMS
[19:52] thx1138 Vanbeeck: and not leave original investors in a lurch
[19:52] Bogart Beck: OK... if everyone will yield the floor to Arnaud for a few moments I think there is a BETTER idea...
[19:52] SynCere Talon: ok
[19:52] Bogart Beck: Arnaud... Plan B
[19:53] Arnaud Villota: Ok. Here is another thought. While I think trying to continue MECH in it's current form or a variation thereof is exciting
[19:53] Arnaud Villota: I don't think it is realistic
[19:53] Arnaud Villota: in terms of funding, finding the right visionary, etc.
[19:54] Arnaud Villota: I think that there are a number of good people in MECH who could carry it forward but there are a lot of insurmountable obstacles even for the "Julius Caesars" among us.
[19:54] Arnaud Villota: So an alternative proposal is a merger.
[19:55] SynCere Talon: merger with?
[19:55] Arnaud Villota: Xenius Revere is the key to all of this. He is the principal designer behind YEP and MECH. He is the visionary.
[19:56] Arnaud Villota: If we retire all of ImA's shares in MECH and retire a litlle over 200K shares of danielZ holdings in YEP, we could use danielZ remaing shares to buy out MECH at a 1 to 1 stock swap.
[19:57] Arnaud Villota: THis will not decrease YEP's earnings per share at all. In fact it would increase it.
[19:57] Arnaud Villota: It would also raise MECH shares from .08 to .73/share at the storke of a pen.
[19:58] Bogart Beck: IMO I would NOT retire the 200K of Danielz shares - they should be given over to the new management team as Treasury shares - (rainy day $).
[19:58] Bogart Beck: it will also keep the Issued shares even
[19:58] Arnaud Villota: Given YEPS history in dividends, it would give all of us a source of revenue probably within two to three months.
[19:58] Arnaud Villota: I agree Bo. That would probably be the safest thing to do.
[19:59] SynCere Talon: i have been watching the Yep forums too
[19:59] Mateo Infinity: Do we have control / or gain control over YEP!'s product line?
[19:59] Bogart Beck: Xen ALREADY controls the YEP IP
[19:59] SynCere Talon: shareholders stil believe Yep to be one of the most reliable companies so far
[19:59] Arnaud Villota: I would suggest that we offer Xenius the CEO position of the new YEP with the promise that he will not have to participate in the day to day Exchnage stuff.
[19:59] Arnaud Villota: We would have others do that for him.
[20:00] Arnaud Villota: Currently the deal is
[20:00] Bogart Beck: Right Synce... it has a long standing history... the longest in SL ... and until recently a very good reputation amongst most shareholders
[20:00] Arnaud Villota: Xenius shares an alt Avatar with XEN Heinrichs.
[20:00] SynCere Talon: well yes he should have a place on the hierarchy as compensation and vested interest
[20:00] Arnaud Villota: Which is a female alt of danielZ.
[20:01] Mateo Infinity: Interesting
[20:01] Bogart Beck: ... and i believe its the payee ALT for all of YEPs prims
[20:01] Strider Messmer is Offline
[20:01] Arnaud Villota: There is a split btween Xenius and danielZ through that alt. Xenius pays tier on the SIM that YEP is on, danielZ (and Yellow before him) paind dividends to the YEP shareholders.
[20:02] IM: Bogart Beck: Okie
[20:02] Arnaud Villota: When I talked with Xenius and told him what was going on, he immediately changed passwords on the XEN account so that danileZ would no longer have access to it.
[20:02] Arnaud Villota: As far as Xenius is concerned, the alt looks intact,
[20:03] Bogart Beck: Who's primary AV does the ALT belong to?
[20:03] SynCere Talon: he willl have to change the profile e-mail account too
[20:03] Arnaud Villota: So I don;t think there is any fraud going on here, I think it is just a couple of guys who got in over their head and don;t want to face up to it.
[20:03] Arnaud Villota: danielZ
[20:03] Bogart Beck: Then Xen needs to CHANGE it to an ALT he controls
[20:03] Arnaud Villota: Well if we did this, I think the best thing to do is to create a new alt and drop the XEN alt.
[20:03] SynCere Talon: actually would be better if he transfered all over to a different alt, not assocated with ima or banz
[20:04] SynCere Talon: danz
[20:04] Arnaud Villota: correct.
[20:04] Bogart Beck: agreed
[20:04] Mateo Infinity: Definately
[20:04] Arnaud Villota: So aside form the details. What is the overall thought about this idea?
[20:04] Dezmond Martinek: works for me
[20:04] SynCere Talon: it does sound like a resonable plan
[20:04] Bogart Beck: Cash stepped away for a moment... et me talk briefly about CapEx precedent.
[20:05] SkyRanger Hammerer: okay
[20:05] Mateo Infinity: YEP an MECHS are definately two different product lines, but if we look at this from a development perspective. RIOT (or a new name) could simply be a marketing brand name under the YEP umbrella.
[20:05] Bogart Beck: We have (3) prior incidences that have similar intricacies...
[20:05] SynCere Talon: yes
[20:06] Bogart Beck: the 1st and 2nd we actually have someone here that was a party to... to wit the Skyranger - POW - Sully transition
[20:06] SynCere Talon: ahh yes
[20:06] Reina Ferraris: oh do I have to talk
[20:07] Bogart Beck: Notwithstanding the actual chain of events and history, CapEx itself HAS previously allowed an orderly transition of assets from one party to another WITH shareholder consent.
[20:07] SynCere Talon: well we would have too call an official shareholder meeting
[20:08] Bogart Beck: Yes Synce you'd need to do that ANYWAY regardless of any recommendation that comes out of this session...
[20:08] SynCere Talon: both for mech and yep
[20:08] Bogart Beck: exactly
[20:08] Reina Ferraris: and sando isn't here
[20:08] Reina Ferraris: the largest shareholder in both companies
[20:08] Reina Ferraris: what does she want
[20:09] SynCere Talon: has she voices an opinion so far?
[20:09] Bogart Beck: That's one of the reasons Reina... the other is for the benefit of others not able to attend, and ostensibly to allow both Danielz and Ima a final opportunity to be heard.
[20:09] You: yes
[20:09] Reina Ferraris: don't know
[20:09] Bogart Beck: Yes, she is supporting Arnaud's proposal at the moment
[20:09] Reina Ferraris: ok
[20:10] Reina Ferraris: well if that is what Sando wants
[20:10] Bogart Beck: She stands to lose the most beyond Ima and Danielz
[20:10] Bogart Beck: I think Arnaud is 3rd in line on MECH
[20:10] Bogart Beck: I'm probably 4th or 5th
[20:11] Reina Ferraris: yes that is true
[20:11] Reina Ferraris: just looked
[20:11] Arnaud Villota: sorry. RL stuff came up for a momnet. I am back.

[20:12] Reina Ferraris: and Franko Fonda has been with Yep since they were on WSE
[20:12] Bogart Beck: Yes he has... although rarely active it seems recently
[20:12] Arnaud Villota: Also Franko Fonda has offered his support for MECH, however he does not know yet about this merger idea.
[20:12] Reina Ferraris: I have seen him on in the last 2 months
[20:13] Arnaud Villota: I just got an e-mail form him today.
[20:13] Arnaud Villota: *from
[20:14] SynCere Talon: I dont usually like mergers but this does sound liek a viable solution
[20:14] Bogart Beck: It would appear that if we sequestor the Founders shares (Ima & Mech) that the remaining sharehoders should be able to theoretically achieve a majority vote within just a couple of days
[20:16] Arnaud Villota: SLCAPEX has no interest in any stock except SLCX. (Which I will hold my opinion on since it is irrelevant)
[20:17] Dezmond Martinek: I doubt its an issue, you have to companies with no ceo and at risk for delistment, who is going to vote against it anyway
[20:17] Bogart Beck: Actually it DOES Arnaud... we regularly invest Treasury surplus in short term investments
[20:17] Bogart Beck: ... and report them n the SLCX Income Statement and Balance sheet ;-)
[20:19] Bogart Beck: ... the SLCX shares would be reported under MY name... which I advised Arnaud yesterday that 300K of the 400K under my name are actually SLCX custodial shares.

[20:22] You: yes...
[20:22] You: ;)
[20:22] Arnaud Villota: So I can assume that there is support for a merger form this gorup?
[20:22] SynCere Talon: this could go on for hours but I think it is a good start
[20:22] Arnaud Villota: *from this group.
[20:22] Arnaud Villota: sorry.
[20:22] You: yes
[20:22] SynCere Talon: yes
[20:23] Mateo Infinity: I do believe it is a sensible course of action.
[20:23] Bogart Beck: assuming you and Sando can compel XEN to continue to tender his IP rights to YEP, and you and a quorum of shareholders can nominate amd elect a new slate of Directors for YEP.... and THEN can put forward a proposal for MECH shareholders to review and approve (Merger)... then I think I can get Scott and Cash and Chan and Arb (still an SLCX boardmember at the moment) to approve this unconventional but reasonable proposal
[20:23] Arnaud Villota: Ok. I will post the background and the meeting chat log on the MECH forum.
[20:23] Arnaud Villota: And then start the process of what Bo has outlined.
[20:24] You: we are trying to look after all investors here
[20:24] SynCere Talon: sounds like a good plan

[20:25] Mateo Infinity: It's a very nice little setup.
[20:26] SynCere Talon: we could ven use this place for all the mech meetings
[20:26] You: well I must be off if we are finished?
[20:26] Arnaud Villota: I agree, until LL rips it out
[20:26] Arnaud Villota: Yes we are finished.
[20:26] SynCere Talon: yes, but in teh mean time is is pretty lag free
[20:26] Bogart Beck: Yes, it came out of left field but I think Arnaud really has a great idea... good for YEP, good for MECH, good for shareholders
[20:26] You: Thank you everyone for you time
[20:26] Arnaud Villota: yes it is. I say let's take advantage of it while we can.
[20:27] Arnaud Villota: Thanks Cash
[20:27] You: excellent work Arnaud
[20:27] Arnaud Villota: Thank you.
[20:27] Mateo Infinity: Absolutely
[20:27] Bogart Beck: Balls in your court Arnaud... we're supporting you
[20:27] SynCere Talon: yes good work
[20:27] Arnaud Villota: Ok. Bo. I will get in touch with Sando and others and we will hammer out the details
[20:27] Arnaud Villota: and get back to you.

Land is group owned and the estate is owned by Ima. However there is no group owner. According to the date of purchase it is looking like the tier must have been paid for October or Ima has worked something out with the Lindens as the tier date passed days ago.

This leaves speculation that Ima is around somewhere, even if it is in an alt capacity. Ima's account has not been permanently deleted as of yet, deleted accounts cannot own land.

Ima and Danz are friends in RL and do see each other periodically so find one and you find the other.

My suggestion is to try to contact both of them. Don't leave just "Call me back" messages. Leave messages about what the situation is right now and make sure he is aware there is a meeting tonight. There is no reason why, he can't attend the meeting in some form. Even if it is via phone with another meeting attendee.

If he has payed the tier then he is keeping an eye on things and needs to communicate with us, in whatever way shape or form he can.

I don't believe Riot is dead, there is still time to recover however the clock is ticking down and we have come to a point where time is of the essence.

Heck send me both their numbers and I will call them.

You've mentioned some things to communicate. I realize that this meeting isn't a "plan what to do and how to respond", nor is it likely to be a Question and Answer session -- just sharing what info you have (presumably what's been in these forums).

But if/when there is a time for questions, in addition to those that have been discussed above (Where are Ima and Danziel, will they get back in SL, will they continue MECH, etc.), I'd like to say that I want MECH to continue long-term. That is, assess it's current state and seek what it would take to make it work (as opposed to "how do we liquidate it and close it and part out fractions of a L$ per share, etc.)

My questions are "who controlls the assets in SL - including the MECH designs, scripts, sim, and group [2 members can keep a group going, but that doesn't mean anyone can manage/post-group-notices, etc.], etc.]

Most of all, I'd like to see MECH succeed in bringing what I think is a great idea to fruition. If Ima can't, then I'm willing to see how far along it is and if someone else can manage the effort needed to finish it up (web programming interface, etc. I believe was the last major task). I didn't buy into MECH thinking that this was a stock to "daytrade up and up" (ok, I did snap up some more cheap shares though from time to time!); I mostly got in at the IPO both as a long-term position and because I thought (and still do) that this is a good idea to fund and see completed, and I know "real money" was necessary to create it and I'm glad Ryan offered for investors to share in the expenses since it was a lot for he alone to do.

I'm dissappointed, but still willing to give MECH a chance under the current leadership (assuming Ryan is still available and can give the ability/authorities to another avatar, etc. if "Ima" is forever locked out.)

The CEO of Riot Mechs , Ima Janitor, has failed to respond to inquirees and requests of MECH shareholders for (60) days effective today. Mr. Janitors last direct post on SL CapEx was August 12, 2008 - appended below for historical context.

Additionally, MECH Financials for the month of September 2008 have not been posted as required by SL CapEx policy. As such (MECH) has been HALTED this morning effective at 12:30 AM. Additionally, Mr. Janitors account has been suspended indefinately.

Respectfully,

Bogart Beck
SL CapEx CEO

Ima Janitor Riot Mechs » Turning things around.
Turning things around.
Ok. The title says it all.

First, I would prefer if we keep this thread positive, and instead of focusing on what has went wrong or slowed us down (We are all to blame for the delays, most or all of the developers, capex for the freeze/halt that kept us from having funds to hire developers for a few months, and yes even myself since the last few week delay was my fault.) the best way to turn MECH around is to focus on the positives and on the various ways that we can bring mech into the black.

There are several items that I have been working with some of our board members with (Arnaud Villota has been very helpful with advice), with various investors with, and along with several ideas that I have worked out on my own that can all benefit mech both long and short term.

There are threes areas that we need to focus on.

1) Stop the bleeding of money / treasury stocks until everything is full blown ready.

2) Get everything developed asap.

3) Get the word out about what we are doing to a broader range of areas / people to speed up the first two.

-

So heres the plans so far. Please remember that while these are what we have come up with so far, I am always open to new ideas. So if any of you have some good ideas or feedback to add please feel free to do so on this thread.

1) To stop the bleeding I will be selling one of the sims.

Some of you have already noticed that the HQ sim was cleared off. When we first planned for both sims we had assumed that we would have 8+ mechs selling and tourneys rolling to take advantages of both sims. We had also planned to do a secondary to launch a second phase which would have filled the last half of the hq and brought in more fighters / traffic.

Due to all the delays, we have been bleeding 600us a month for 2 sims that were not being used even 5% of the time.

This will cost us a small loss since we paid about 1200 for the sim and will only get 900-1000 now, but this will cut our immediate monthly costs by 300us a month, paying off the loss after the 1st month, and making it easier for us to get into the black (and avoid the red) every month until things are fully rolling.

Once this phase turns a profit and is completed then we can still do the secondary and buy back the sim at that time.

2) Getting everything devoloped.

It looks as if all of the various developers are finally on the same page and now that I am back to move the info between them faster the plan is to have them finish as fast as possible.

However, I will be having a RL lawyer work out some contracts, and in the future anything on a larger scale such as web developments, sim builds, etc will be done in paper and legally binding ahead of time to prevent the issues that all SL companies face when trying to hire masked people from across the world. Once again I am not blaming any one person for this, simply stating that doing business in SL on this large of a scale will require doing business out of SL to protect everyone.

3) Getting the mech word out.

Much of what I had planned for advertising depended on first getting stuff built. I know from RL experience that advertising to soon before a product launches builds a bubble up that bursts before you have much to sell. However limited our product line is though, we should at this point do more to build the brand and image around what we have, which is a great combat sim and the start of some great mechs to launch.

I will be forming a team especially for this task. While at first many might be doing it for free to help a product they like, the plan will be to pay them in shares of MECH once the prices go back up enough to make it worthwhile to use.

We will be recruiting people to do PR in all formats, from scouting other combat groups to hosting tourneys, to hitting the blogs and forums.

I have had several people approach me about helping in this area, and what I will be looking for over the next few weeks is people to help me in all areas of this as well as at least one individual (if not more) who would in essences be a team leader or manager and help run this area. The more time they help me here the more time I can watch over the developers shoulders and assit / make sure the other things get done as fast as possible.

-

Thats it. I know some people might have wanted more info, and for some this was more then they had expected.

But this is what needs to be done and what I will be focusing all my energy on this month so that we can all start making money.

Once again I welcome any feedback you have on other ways that we can improve things.

Ryan

I also want to say, since I have stuck my neck out this far, that I am on the road on a business trip from 10/5 thru 10/12. I hope to have internet access in order to monitor what's going on, at least on SLCAPEX, but I may have limited access to SL, so my efforts to get the Top 10 shareholders together may be delayed until I get back on 10/13. If any or all of the top 10 shareholders (or any other shareholder who wants to put in their 2 Lindens worth!) are monitoring this post, and if you feel comfortable, please send your e-mail address to arnaudvillota@yahoo.com. I will be in contact on or a day after Oct 10th.
