The restructuring of Verballis Translation Services continued in September with 25% of total shares retired. In due course this will add significant benefit to all of our shareholders. VBL has only 300,000 issued shares, this is one of the smallest on all exchanges.

There was also a buy back of 5453 shares, which cost L$10,906. This ultimately contributed to the 100,000 shares that were retired. In addition to this expenditure we made a loss of L$2,058 from our translation services, this was due to a late payment of L$17,050, which was paid at the beginning of October. This will now be reflected in October's income.

In the last quarter Verballis Translation Services translated roughly 75,000 words and we are pleased to announce that we continue to expand our customer base and are delighted that see customers returning regularly with additional translation requests.

It is our intention that during the next quarter to increase our customer base, focusing on quality companies and to attract suitable partnerships.

This purchase was made as a result of the sale of 10,000 shares, which brought he share price down temporarily to L$2.

VBL still has a considerable buy order at L$2, if there is another sell off then VBL will pick up additional shares, these will then be placed back on the market.

The retirement occurred because the VBL is financially stable and there is no likely requirement to raise additional funds. The reduction in share price will hopefully allow for a continued stable share price and a healthy dividend per share.

On the 29th September Verballis re purchased 5453 shares at L$2, these along with an additional 80,034 treasury shares and 14,513 shares held by Cayman Beaumont have been retired. VBL will continue to re purchase shares at L$2, this will assist investors wishing to cash out and if/when purchased will immediately be placed for sale.

Milos is currently working on the returns for September and when completed it is anticipated that a dividend will be paid. The amount has yet to be determined.

It has been agreed that 100,000 shares will be retired leaving the total shares issued at 400,000. This will increase all shareholders percentage in the company and will hopefully have a positive effect for shareholders.

Verballis would like to thank Taiichi Tiger who is becoming a strong supporter of Verballis Translation Services. He has kindly offered a number of empty lots in Bay City that we are using to advertise our services. This is still a high profile and popular location and the exposure this produces is welcomed.

In relation to marketing our services Verballis is still in the research stage, we are still experimenting to discover the best forms of advertising that suits our requirements. This will involve advertising in a variety of mediums until we establish the most appropriate and cost effective method for our business model. We have just commissioned banner advertising on SL Exchange and we will need to judge its effectiveness in due course.

We are still in discussions with SL Reports regarding offering our translation services on a regular basis so that they can expand their customer base. Verballis believes that this will be mutually beneficial as SL Reports attempts to attract a larger readership. Many of the languages offered by VBL have little or no competition within the SL newspaper marketplace and Verballis is eager to partner SL Reports in driving their business and ours forward.

So what is in store for the coming months, or objective is to increase our languages offered and to steadily increase the volume of work translated whilst maintaining our high standards. We are seeing repeat business from satisfied customers and increasing this customer base will be a priority. We are particularly interested in developing business relationships with other SL companies to work on projects which may be mutually beneficial.

During July we have seen a positive reaction to our strong marketing methods and after our first full Month under the new stretegies and objectives we are very happy with the progress we are making. The board has had several discussions relating to the issue of a dividend paid to our shareholders this month. We have decided to pay a dividend based on liquid gross profit minus cost of sales but not deducting the marketing costs for this month. This works out at L$13,054.94 being paid to shareholders for the month of July. We feel that providing shareholders with a dividend will help to reinforce how much we value the support of our investors. After the month of July we have secured a logo and several start up costs which will not be incurred within the coming months. We also hope to provide investors with a stable dividend in the coming months that will not hinder our growth potential. We hope that investors understand our intentions and if there are any suggestions or opinions then I am happy for you to discuss them and we will definately take them into consideration.

"Verballis Translation Services has recently taken the decision to place 10,000 shares at L$6 in order to maintain a realistic share price for VBL. This is having the desired effect and has stimulated trading just below L$6.

In order to inform potential/current investors and in an attempt to stimulate further trading activity VBL, Verballis would like to announce that within the next 6 months VBL will not place any additional shares on the market below L$6.50. However Verballis will if necessary continue to protect the share price from unrealistic highs.

Then a recent series of buys by a new investor shot a large hole through our attempt to maintain stability for the VBL share price. Verballis will not allow VBL to trade at L$12 plus. Verballis Translation Services continues to grow with new orders for our translation services received on almost a daily basis, for those interested in our development I suggest that in addition to reading the Capex forums you should consider reading http://www.verballis-translation-services.blogspot.com/

This is our first month of actively seeking customers for Verballis, this is going well and is certainly meeting our expectations. This will need to be maintained and developed further over the coming months. Verballis is currently building a solid client base of SL merchants and service providers, some of whom are already returning with repeat business.

It is pleasing to see that most merchants acknowledge the need for actively pursue marketing in a variety of languages, although there is still the occasional merchant who bizarrely believes that this advertising could be produced by translation software. To communicate with others - it does the job and for this I would recommend, to get the sense of a sentence on a website - it works ok, but to sell your products or services – don't do it!

Mark Lock continues to develop a second potential revenue strand, some of his creations are currently for sale on SL Exchange. Mark is also developing new products which we are hopeful will contribute to the profitability of Verballis.

There are no guarantees of success and we will need to show agility and perseverance to achieve our objective to become immediately recognised within Second Life as a quality provider of translation services. Our progress and future prospects are looking positive, however I will again caution our current and potential investors. Our objectives are long term, do not expect miracles in the short term. This is a long term business plan with long terms intentions.

Verballis Translation Services continues to progress as we had envisaged. This is one step at a time, ensuring that at all stages we do not over commit and can deliver. It is our intention to become recognised as a quality provider of translation services within Second Life. It is our mission to meet this objective, to develop the brand name and in the process deliver value to our shareholders. Investors should be under no illusion, we are here for the long game, however achieving our objective will take considerable time and effort.

Recent developments have been the successful sale of 35,000 shares which raised L$171,869.35 in 9 days. The shares were sold between L$4.40 and L$6 per share. The purpose of releasing the shares was to introduce new VBL shareholders and thereby hopefully increase liquidity, a by product is raising funds on behalf of Verballis.

Cayman Beaumont also intended taking advantage of the share sale by increasing his shareholding to 50%. he purchased 15,890 shares from the treasury and a further 3,432 from others selling, Cayman now own 234,441 shares which is 46.9% of VBL.

The share sale succeeded in increasing funds held by VBL and raising Cayman Beaumont's personal shareholding. It however failed to increase liquidity as most of the shares were purchased by three investors. The share price is still trading at L$6 and the lowest sell order is currently at L$7.75. There is also little protection up to L$12.50. This is an unacceptable level and needs addressing again. There are a number of options that the Board will be considering.

Do nothing
Introduce additional shares to the market
Share split

NEW LOGO

A new company logo and banner ad has been introduced.

SL EXCHANGE

Verballis has now expanded its translation services for purchase on SL Exchange, we have also commenced selling translation related products. This is an activity which we will continue to expand in the coming weeks/months.

STEADY STREAM OF WORK

There is a steady stream of work being undertaken by Verballis and I am pleased that we are attracting significant contracts from high profile SL merchants. At this stage these are not high value contracts but certainly high value contacts. Verballis will continue to expand and offer reliable and professional service to its customers.

DEVELOPING WEBSITE

Our next goal is to develop a dedicated website for Verballis. This falls in line with our declared strategy. There are a number of possibilities which are currently being considered. Verballis believes that a professional looking website is required in order to convey the ambitions and professionalism of its officials and translators. The current blog is serving its purpose, but will soon out live our requirements.

Mark speaks three languages fluently including French, English and Italian. He is a very capable builder, scriptor, project manager and can manage sims in his sleep. Mark is very pleased that he has become a member of the Verballis Board of Directors and has already started using his talents for the benefit of Verballis. I'm convinced that his hard work and dedication will be an important factor in helping Verballis grow over the coming months.


Mark also enjoys football and he is currently the manager of the Swiss SL national football team and runs his own team the “asaf Monthey”.

Milos acknowledges that he is young, however his enthusiasm is compelling. The shareholders meeting on Sunday will be discussing regaining control of treasury shares currently held by Sully Okelly. If this occurs the Board of Directors will then consider the release of 35,000 shares (7% of the company) into the market. The shares will NOT be dumped, they will be priced sympathetic to current shareholders.

As advance notice, if this motion is passed it is my intention to purchase as many of these shares as possible at what I consider a fair price. I currently hold 43% of the company and the sale would release a further 7% on to the market.

Agenda Items

1 - Appointment of new CEO.

The only nominee at present is Cayman Beaumont, all other nominees MUST declare their interest 24 hours prior to the shareholders meeting. This is to allow shareholders to notified in advance of the meeting and to allow sufficient time to consider their choice.

2 - Re allocation of CEO Shares (Held by Sully Okelly)

Sully Okelly held company 250,035 company shares, the dividend payments was to be used to compensate Sully for work undertaken as CEO. He is no longer active in VBL and it is proposed that these shares are returned to the treasury.

3 - Announcement of Board of Directors

If Cayman Beaumont is elected as CEO then the new Board of Directors will be announced. This will include roles and responsibilities.

4 - Re Allocation of Shares to Company Directors

With 50% of company shares held by VBL. The Board of Directors will discuss:

Re allocation of some shares to newly appointed Directors as compensation
Possible Share split
Release of 35,000 shares into market

5 - Arrange Board meeting for July.

6 - Any other Business

Incoming text is firstly subjected to a manual word count (or a computer word count if electronic format is available), it is assessed for clarity, content and complexity and a written quotation is issued to the client. Once instructions to proceed have been received, we will take into account the client’s preferred delivery schedule, which we aim to meet whenever possible, whilst ensuring the quality of the work is not jeopardised.

The most suitably qualified translator is selected and the text forwarded to them for translation. The role of the translator includes completion of the first draft translation. We may ask for co-operation from our client at this stage, should the translator have any queries.

Once we have received the completed translation, it is cross-referenced with the original document. The translated document is checked to ensure that all names, dates, figures and layout are correct and that there are no omissions. The translation is then sent to the client in the previously agreed manner.

We endeavour to secure the same translator(s) as far as is practical (according to subject and language) on an ongoing basis for each client so that linguistic continuity and consistency of style is maintained. We also keep an archive record of all completed work and, where appropriate, will build glossaries of the client’s preferred terminology.

Verballis Translation Services Update

Progress is being made in relation to the appointment of a new Director for Verballis. There are currently three interested parties and negotiations continue although slowly due to technical problems and my inability to enter SL. This will be resolved within a week with the purchase of a new PC.

As soon as I am able to access SL once more I shall arrange a shareholders meeting, the purpose being to elect a permanent CEO. I shall be nominating myself for this post, if others wish to be considered please notify me in advance of the meeting so that an announcement can be made so that shareholders will have an opportunity to contact and question the candidate. In reality it is likely that I will be voted as the permanent CEO due to my majority shareholding. If this decision is agreed then shareholders will be introduced to the new Management/Board of Directors and their areas of responsibility.

The meeting will also discuss the re allocation of 250,000 shares held by Sully Okelly. These shares are Treasury shares which were given to Sully whilst acting as CEO in order that he be compensated for work undertaken. I would propose that these shares are returned to the Treasury and disbursed as agreed by the Board of Directors. I welcome other suggestions in advance of the meeting so that they may be considered diligently. Suggestions made during the meeting will be considered but will be at a disadvantage as Board members will already be familiar with the other proposed options.

At present the VBL share price is artificially high due to the lack of VBL shares on the market. The meeting will discuss options regarding this situation and whether the status quo should remain or whether there should be a share split. This may be a mute point as senior positions within VBL will be allocated shares over the coming months which may increase the supply to the market. My view at the moment is to leave as is.

The shareholders meeting will not discuss the business model adopted by Verballis. This will will be managed within the Board and various strands announced when appropriate. Shareholders are encouraged to engage directly with the board with business proposals or ideas to promote Verballis Translation Services.

I thank shareholders for their patience, I have been working consistently behind the scenes in order to press ahead with various plans once the CEO position is decided. This should also free IPO funds which are still available. A number of options are being considered for the funds including an advertising campaign and permanent home for Verballis. I believe it is time for Verballis to become far more aggressive within the market place and the Board is being identified with this in mind.

My plan is to announce developments on the Verballis Translation Services blog/website. I am happy to post this 2-3 days later on the Capex forums so that there is a historical reference here.

I believe that the VBL blog/website is where this information should be viewed, because my primary responsibility is to Verballis, it's shareholders, employees and customers. My secondary responsibility is reporting on Capex.

My reasoning is that this is where I need to direct traffic and not to the Capex announcement pages or forums. This doesn't mean that I will ignore Capex, on the contrary but the information will be available first at Verballis.

Thank you for clarity on the the reallocation of the CEO shares.

I read your blogpost this afternoon - looks like you are making good progress and have a sound plan underway to resucitate this jewel. If I can make a recommendation; it might be beneficial for you to repost the content of your Blog here (SL CapEx VBL Forum) so that folks don't have to search elsewhere for valuable information.

Just to be clear, there are exactly 250,035 shares held by Sully Okelly that are indisputably VBL Treasury shares. We are prepared to transfer those shares to the custody of whomever the VBL Board of Directors names as its CEO.

Sully holds an additional 260 VBL shares in his own (personal?) portfolio which I believe should be maintained there in the event Sully does indeed return to SL.

In due course, although probably never word for word. Some languages this could be achieved for free others there will be costs incurred. I prefer to spend VBL funds on other projects at this stage. When there's a steady income a more formal website in a number of languages will be desirable.

Would you like to get involved? I'm always looking for those wishing to actively participate.

In order to better promote Verballis Translation Services, it is our intention to acquire and design a flagship website in order to direct and thus attract potential clients. This avenue is being pursued and will be available in the coming weeks/months. As a stop gap and to ensure we can walk before attempting a run the following blog will be used http://verballis-translation-services.blogspot.com/. The blog's contents will be similar to those announcements and posts made on CAPEX.

The blog/website will be directed at the Second Life community who are unaware, uninterested or plainly cynical of the benefit of the SL financial markets. Further developments are being planned in order to demonstrate that Verballis Translation Services is a company able to deliver on its promises.

I still do not have access to company funds which are frozen by CAPEX, I am content with this course of action until a permanent CEO is appointed at the end of June. I am currently spending my time recruiting senior positions, translators and laying the foundations for the company. These funds are presently not required, if any funds are urgently required I will provide an interest free loan.

No income was generated for VBL in May and since taking over this has not been a priority and I have not actively sought commissioned work. This will be one of the major objectives for the second half of June. A number of potential markets have been identified, one of these will be targeted.

In May there has been one small expenditure for L$100, which was for setting up a new group called Verballis Translation Services. I have paid this out of my personal funds and this will be recorded as a debt until VBL are able to reimburse.

As requested VBL is now trading with the share price holding steady. Sully Okellly remains absent from SL and it is proposed that a re allocation of the CEO shares will be discussed at the shareholders meeting at the end of June. There's no need to wait for that meeting if you have other comments or suggestions please feel free to make them known.

I am negotiating the appointment of a new Director/COO of Verballis Translation Services. This individual is committed to SL and has many skills to assist VBL progress to profitability. It is a bonus that this person is also fluent in three languages. More to follow when this is confirmed.

I'm also looking for additional translators, if your interested just leave a message here or IM me in world and I'll get in touch. Recruiting translators has progressed better than expected with resilience in most languages, some are as yet untested so there may be teething problems.

All of the pieces are coming together, I am not rushing into this preferring to lay the foundations to promote a solid future. There's much more news to come over the coming month.

Verballis Translation Services is currently in transition and are looking for an individual with the right credentials who believes that there are opportunities to drive VBL forward and make it a successful enterprise.

VBL are looking to identify someone to become a partner in VBL, they would have to be driven and offer unique skills not currently possessed by the team. This skill set could vary but fluency in one or two languages other than English would be considered positively. For those Monoglot's out there, there are opportunities for you but you'd need to bring something special to the table, do you have that something special?

This is the first weekly VBL update for a while. Today I requested that the freeze on VBL trading be removed. I believe that CAPEX is in agreement and hopefully trading should resume within 24 hours.

I am also in discussions with CAPEX relating to VBL CEO shares and cash which are currently held by Sully Okelly in a VBL sub account. These discussions are at an early stage and it is anticipated that these shares will be allocated to VBL as Treasury Shares and to be distributed at the discretion of the CEO/Board of Directors.

I will be re branding Verballis as Verballis Translation Services, a minor change but one that will simply highlight the core business of VBL. When the reallocation of shares is performed I will ask that CAPEX renames VBL.

New Non Executive Director Appointed
It is with great pleasure that I can announce that Il0n Papp has accepted the post of Non Executive Director of Verballis. Il0n was the founder and original CEO of Verballis leaving in early 2008 when he was unable to dedicate sufficient SL time because of increased RL commitments due to a change of jobs.

Il0n will help out when possible and the position of Non Executive Director is perfect to allow Il0n to judge the business and offer advice from a distance. Il0n will bring invaluable experience to the team and offers RL translation professionalism in both French and Dutch.

There are further developments and they will be posted here in the coming days and weeks. There will be no miracle solution, just dedication to turning Verballis around.
