I would like to present a potential merger & aquisition of a business in SL. I am requesting the use of capital funds held by Verballis, which currently stand at L$310,000 in cash.

The business is for sale for L$2million. The breakdown is 750k initially. A further 250k coming from 50% of sales per month. and the remaining L$1million from 25% of sales per month.

The business generates sales of between 50-180k with costs calculated at being 15k.

I have always had a relatively good amount capital that is not generally put to good use. Where I do see the benefits of having this capital to hand, the reasons that I prefer this are for situations like these. A possible merger & acquisition.

What I am interested in from you is to take this opportunity to buy some more shares from a sell order that I will be putting up at L$7.00 per share. VBL currently has L$310,000 in cash. I am putting L$90,000 of my own money into this acquisition. This leaves L$350,000 needing to be raised. MLS has L$345,000 of capital for use. As VBL is not generating what I would like it to be generating I would rather VBL take on the majority of this venture, to provide some cash generation. Therefore I will be placing a number of shares for sale @ L$7.00 per share.

February has seen a slow-down in development. I have recently secured a full time finance position that is taking up quite a bit of time. February did show a gain, mainly from the sale of some remaining stock, as well as a small return from currency trading.

December has still shown interest in translations but none have been processed as of yet. An agreed figure has been set aside for rental and advertising and this will be apportioned over a 6 month period. Myself and Peperi are discussing in January about our strategy for generating business.

Last month I highlighted 3 options with where to take VBL.

1) Continue to run VBL for the forseable future, learning how this market is run along the way.

2) Continue as chairman, and look to find a manager to run VBL.

3) Look to liquidate VBL assets and return the liquid form of these assets to its existing shareholders.

At present I am looking to liquidate the shares held by VBL. The cash generated from the sale of these shares will be used for currency trading. I aim to increase the capital that is used by as much as is possible.

With regards to the future of Verballis the following will outline my intended path that I will be taking.

Peperi Franizzi will be managing translations. He has setup a cheap store location, and a small amount of L$ from the sale of the shares will be used to fund this relatively cheap location.

I will be focusing on currency trading. After analysing the past financials of VBL, it can clearly be seen that currency trading has taken up a large chunk of revenue, regardless of the translations services business plan. Even a small amount of capital can produce a relatively stable and consistent return. Currently I am using L$150,000 for currency trading. I aim to raise this number to L$500,000.

Peperi is very enthusiastic about running the translations side of things, and I hope all goes well.

During October I have bought back 15,169 shares of VBL. L$93113.48 worth of VBL holdings has been liquidated into cash. This cash will be used in currency trading. A proposed deal to sell VBL's 2.4% holding of CAPX to Scott Nestler has been set to take place on November 15th.

I would like to applaud and thank you for this action. If anyone were to ever expect an Executive to simply hand over his amassed wealth when that Executive left the company; then they have got their head in the wrong tree.

New Leadership
I am no longer in a position to devote sufficient time to Verballis and SL. I have therefore decided to hand over the reins of VBL to someone who is able to continue to drive VBL forward. As part of this process I am transferring all my personal assets within SL to VBL for the benefit of its shareholders.

I have instructed Capex to transfer the following assets to VBL.

Cash
L$93,722.12

Shares
CAPX - 229,049
KDC - 1628
MLS - 97,000
SLR - 27319
VPAY - 46951

I have then instructed Capex to transfer all my VBL shares (234,565) to Firstdesigns Milos. The shares will actually be transferred to his alt Bobbi Katscher. When the transfers are complete please accept this as notification of my resignation as CEO of VBL.

I am also transferring ownership of VBL assets to Milos (Bobbi Katsher), this includes L$251,200.81 in cash. I wish Milos well with his new venture and I hope that both VBL and Capex go from strength to strength.

I would like to start my tenure as CEO of Verballis by explaining the affrairs taking place during September.

I was emailed by Cayman who informed me of his intentions to step down. This was of considerable concern to me as Cayman truly knows how to run VBL, and during September Cayman has provided me with countless emails on how VBL is run.

I am basically going to be blunt and honest with my decision making. I have 3 options with where to take VBL.

1) Continue to run VBL for the forseable future, learning how this market is run along the way.

2) Continue as chairman, and look to find a manager to run VBL.

3) Look to liquidate VBL assets and return the liquid form of these assets to its existing shareholders.

I do think operating this area of business is time consuming, however I am prepared to give it a go, but with consideration that I do have other duties to tend to.

I apologise for the late reporting of August's financials as I was on holiday for 4 weeks. There is an important announcement that I will be making in the next few days and should be posted by no later than Tuesday 22nd.

With regards to the financials the month of August saw a continued positive performance with a net profit of L$12,768.

This months dividend will be L$9,000 with the remaining profit going to retained earnings. The dividend will be paid in the coming days.

The month of June saw a start in revenue streams from the Hippo project. Graphic design work was implemented and continued business is in place. This project is carrying on which will be shown in continual expenditure for the months to come. The current plans are effective and VBL shows strong stability for the future.

Investment income is considerably aiding in buffering any material expenses and will continue to provide a strong margin of safety.

2 cents per share will be paid for June, still keeping a small amount as retained earnings. This amount will be paid shortly.

Congratulations on being the 8th largest shareholder (957 shares), however it appears the only reason you’ve invested in VBL is provide yourself a platform to offer constant criticism. You have never offered any constructive advice just constant snipping when you contrive an opportunity. Your motives are clear for all to see and making posts of this nature displays desperation.

You are incorrect once again by stating that I chose to publically list this company, just another example of your ignorance and an attempt at another snipe. Please research your facts.

You keep reiterating your dealings with Hippo, I’m not interested, it is irrelevant and you should try and move on.

I would truly hope that Hippo Tech are winners in this agreement and together we both prosper from the partnership. In the end only time will tell if the business model succeeds, there are no guarantees although it appears significant enough a coup for you to become so flustered.

You describe my behaviour as unprofessional; my professional advice to you is SELL your small holding. There is currently a buy order that will provide you with a handsome profit and you will no longer need to concern yourself with VBL.

I have been in contact with Andy Enfield on and off during the past year, not only because of translations but regarding other projects as well. I can back up my comment they were not interested in translations with written statements. I can also back up my statement they were afraid of the huge support issues coming along with that with written statements.

The companies I am involved in frequently use Hippo products, and while it is true that simple cases barely run into support issues, a more complex setup requires support frequently. Even with my own usage of Hippo I had to contact their support twice.

I am concerned that the winner in this agreement is Hippo because they have little to no cost, get more exposure, and can at least avoid the first level support.

I fear the loser in this agreement is Verballis, as the full support-risk and the initial work/cost is on them.

You did not manage to take these concerns away from me.

In relation to the questions you’ve posed, I’m not prepared to divulge sensitive contractual agreements of this nature. I appreciate that as a minor shareholder and competitor you have an interest in establishing this information, however this will not happen.

Hippo Technologies have always wanted their products translated, I can’t comment on why they told you they didn't.

In relation to support, yes this will be provided by Verballis with additional assistance from Hippo Technologies if required. This will not significantly impinge on revenue streams and is easily managed within the business model adopted.

1) Will the client actually PAY for the translations, or will the revenue only come from affiliate product sales? In case of commissions only, will the translators be paid full, or will their fees come from commissions only as well?

2) Will the client actively promote the translated products on their website and in-world location, or will promotion and marketing be solely Verbaliis' duty? If promotion is Verballis' duty, is there a marketing budget for it?

3) Do I understand it correctly that Verballis has to provide FULL product support of the translate products, and that the client will provide NO support for these? If yes, this bears the risk of huge time and ressources tied up with support issues. How will this be handled and how will it impact revenue, since the people doing support need to be paid for it as well?

Good question and very difficult to accurately predict. I am hopeful it will slowly but surely produce a very strong income stream.

I believe it will be relatively slow to begin with as there will only be one product, however as more come on line, there will be increased exposure, word of mouth referrals and cross advertising, which can only benefit all hippo products sold by VBL.

Sorry I can't be more precise at present, however you must remember this is an exclusive arrangement whereby Verballis receives a percentage of each sale. There will be no other competitor selling these tools.

The month of May saw continued progress in the development of the future of VBL, which explains the translation charges being higher than those received from translation payments.

Investment Income from currency trading went well this month (L$22,612) thus helping to reduce the loss this month to only L$2,975.

It is anticipated that these expenses will continue for the next 3 – 6 months and that an additional revenue stream will commence later this month or in early in June. I apologise for the lack of disclosure which is necessary until the launch. This is a significant development for Verballis which is pleased to have secured a partnership agreement with one of the largest and most successful companies trading in Second Life.

Verballis has grown consistently over the last year, producing a 14 cent dividend payment last quarter. The goal for this time next year will be consistently paying a monthly dividend payment of 15 cents. Only time will tell if we are successful in our endeavour and I am conscious of restraining unnecessary hype and providing wild forecasts, however I am optimistic for the future growth of VBL. If our enhanced business model succeeds then this growth will be achieved or even surpassed.

Verballis is pleased to announce that in Q1 dividend payments increased to 14 cents per share with the share price floating between L$5 and L$8. It is anticipated that the share price will continue to rise through 2009.

The cash position at VBL remains strong, if/when an opportunity presents itself this cash will be used to enhance VBL’s revenue generating streams. During Q2 Verballis will continue to seek out partnerships with SL businesses.

The annual shareholders meeting will be held in June and a Board of Directors elected. Candidates wishing to be considered should declare their interest during April. Mark Lock resigned as the CTO in Q1 due to RL commitments. There are no immediate plans to replace Mark unless an exceptional candidate is forthcoming.

Linden Labs continues to develop its “international” viewer and Verballis sees an increasing recognition by serious SL businesses that localisation is a key factor in their future business plans.

The month of March saw the confirmation of translations income that was forecasted in the previous month. Along with a continued income from currency trading the net profit for the month was L$19,261.

VBL will be paying 0.05L$ per share for the month of March to its shareholders and L$4,261 becoming retained profit. All dividend related adjustments have been made an a dividend will shortly be paid.

Localized Viewers:

As promised, the viewer is now available in ten languages. It has been translated into German, French, Japanese, Korean, Brazilian Portuguese, Hungarian, Simplified Chinese and Polish. It is still partially translated into Spanish and Danish. Next version (1.23) will feature fully revamped Spanish, further improved Brazilian Portuguese, Simplified Chinese and Danish. We will also add the following languages: Italian, Dutch, Russian, and Ukrainian. We may be able to squeeze one more (fingers crossed).

Over the past months, the localized French, German and Japanese Viewers have all been improved through collaborative glossary compiling, translations, internationalization and localization testing completed by Resident volunteers.

A similar effort is now under way for Spanish, Brazilian Portuguese, Italian, Dutch and Danish where our residents have collaboratively developed glossaries, determining style and register guidelines. They are now collaboratively translating and editing viewer strings.

In the meantime, our Engineering Team is working hard to fix the internationalization issues that prevent full localization of the viewer.

The report for February saw a reduction in translation services which can be attributable to Cayman being absent from SL for a two week period. A supportive amount of income was earned from currency trading, which results in a net profit of L$6519.57 applicable to shareholders.

I would like to make VBL shareholders aware of an alteration to the Balance Sheet. Whereas we feel that the VBL products can be stated at its valued amount we also feel that it would be prudent to withhold this valuation form the Balance Sheet. VBL is interested in providing a view of its financial position that does not mislead or misstate.

It was agreed that VBL was interested in providing consistent dividends to its shareholders and would like to pay 0.04L$ per share for the month of February. The previous 3 months retained earnings will be incorporated into paying this months dividend. A L$12,000 dividend for February is included within the financials and this dividend will be paid shortly.

The report for the month of January saw an increase in operations with an additional extension in revenue from currency arbitrage. This increase ensures that VBL brings sustainable dividends and a L$15,000 dividend for January is included within the financials. This dividend will be paid shortly.

Translation services continues to grow, this is likely to be slow but steady progress. It is pleasing that within 6 months Verballis Translation Services has grown to be probably the largest translation services provider within SL. Verballis has translated almost 135,000 words since July 08 and continues to attract some of the largest and most successful businesses within SL.

In October, Linden Labs announced the introduction of the SL viewer in 10 languages, this can only benefit translation services companies as businesses seriously wishing to keep a competitive advantage will require a multilingual solution and marketing to maintain their edge over competitors

Verballis will continue to trade on the currency exchanges in order to use L$ held in reserves for the benefit of shareholders. This is likely to be produce a significant portion of forthcoming VBL dividend payments.

There will be a conservative approach to trading and there is no intention to invest in other companies where the risk would be significantly higher. It is anticipated that this will increase dividends between 1-3 cents per month.

It is our intention to continue providing quality translation as our primary objective, however this is an opportunity to reward shareholders with only little risk and not effecting VBL growth.

The restructuring of Verballis Translation Services continued in September with 25% of total shares retired. In due course this will add significant benefit to all of our shareholders. VBL has only 300,000 issued shares, this is one of the smallest on all exchanges.

There was also a buy back of 5453 shares, which cost L$10,906. This ultimately contributed to the 100,000 shares that were retired. In addition to this expenditure we made a loss of L$2,058 from our translation services, this was due to a late payment of L$17,050, which was paid at the beginning of October. This will now be reflected in October's income.

In the last quarter Verballis Translation Services translated roughly 75,000 words and we are pleased to announce that we continue to expand our customer base and are delighted that see customers returning regularly with additional translation requests.

It is our intention that during the next quarter to increase our customer base, focusing on quality companies and to attract suitable partnerships.

I am pleased you are still paying attention, you are correct to point this out. The date of the transaction was 29/9/08.

2008-09-29 07:09:32 Stock purchase 10,906.00

This purchase was made as a result of the sale of 10,000 shares, which brought he share price down temporarily to L$2.

VBL still has a considerable buy order at L$2, if there is another sell off then VBL will pick up additional shares, these will then be placed back on the market.

The retirement occurred because the VBL is financially stable and there is no likely requirement to raise additional funds. The reduction in share price will hopefully allow for a continued stable share price and a healthy dividend per share.

On the 29th September Verballis re purchased 5453 shares at L$2, these along with an additional 80,034 treasury shares and 14,513 shares held by Cayman Beaumont have been retired. VBL will continue to re purchase shares at L$2, this will assist investors wishing to cash out and if/when purchased will immediately be placed for sale.

Milos is currently working on the returns for September and when completed it is anticipated that a dividend will be paid. The amount has yet to be determined.

It has been agreed that 100,000 shares will be retired leaving the total shares issued at 400,000. This will increase all shareholders percentage in the company and will hopefully have a positive effect for shareholders.

VBL has also allocated 5,000 shares to Firstdesigns Milos and Mark Lock for August 2008.

They were translated to 10 different languages and our customers have been extremely complimentary with the service and quality of translation undertaken. It is good to see that the translations varied considerably and included the following:

Verballis would like to thank Taiichi Tiger who is becoming a strong supporter of Verballis Translation Services. He has kindly offered a number of empty lots in Bay City that we are using to advertise our services. This is still a high profile and popular location and the exposure this produces is welcomed.

In relation to marketing our services Verballis is still in the research stage, we are still experimenting to discover the best forms of advertising that suits our requirements. This will involve advertising in a variety of mediums until we establish the most appropriate and cost effective method for our business model. We have just commissioned banner advertising on SL Exchange and we will need to judge its effectiveness in due course.

We are still in discussions with SL Reports regarding offering our translation services on a regular basis so that they can expand their customer base. Verballis believes that this will be mutually beneficial as SL Reports attempts to attract a larger readership. Many of the languages offered by VBL have little or no competition within the SL newspaper marketplace and Verballis is eager to partner SL Reports in driving their business and ours forward.

So what is in store for the coming months, or objective is to increase our languages offered and to steadily increase the volume of work translated whilst maintaining our high standards. We are seeing repeat business from satisfied customers and increasing this customer base will be a priority. We are particularly interested in developing business relationships with other SL companies to work on projects which may be mutually beneficial.

We are still considering a dedicated website to replace the blog that we are currently using, please get in touch if you can assist with this project.

During July we have seen a positive reaction to our strong marketing methods and after our first full Month under the new stretegies and objectives we are very happy with the progress we are making. The board has had several discussions relating to the issue of a dividend paid to our shareholders this month. We have decided to pay a dividend based on liquid gross profit minus cost of sales but not deducting the marketing costs for this month. This works out at L$13,054.94 being paid to shareholders for the month of July. We feel that providing shareholders with a dividend will help to reinforce how much we value the support of our investors. After the month of July we have secured a logo and several start up costs which will not be incurred within the coming months. We also hope to provide investors with a stable dividend in the coming months that will not hinder our growth potential. We hope that investors understand our intentions and if there are any suggestions or opinions then I am happy for you to discuss them and we will definately take them into consideration.

"Verballis Translation Services has recently taken the decision to place 10,000 shares at L$6 in order to maintain a realistic share price for VBL. This is having the desired effect and has stimulated trading just below L$6.

In order to inform potential/current investors and in an attempt to stimulate further trading activity VBL, Verballis would like to announce that within the next 6 months VBL will not place any additional shares on the market below L$6.50. However Verballis will if necessary continue to protect the share price from unrealistic highs.

This strategy will hopefully generate stability and allow investors/traders the confidence that profitable trading is possible at these levels."

Then a recent series of buys by a new investor shot a large hole through our attempt to maintain stability for the VBL share price. Verballis will not allow VBL to trade at L$12 plus. A decision has been made that 10,000 shares will be made available at L$6.50, and we guarantee that within the next 6 months Verballis will not place on offer any shares below L$7.
