Greetings to all,

I have spoke with Arnaud Villota today, and we are declaring voting as officially closed on the proposals of the transition team, as originally indicated in the timeline. As of member of Transition Team, I can say a lot of work has been put into trying to build something out of nothing. Arnaud put it well, we were mostly investors who refused to see our investments just disappear into the void. While there have not been many outside comments here on the forums, what we have seen has been almost all good support.

Ladies and gentlemen there is still much to be done, but as Arnaud has pointed out in his "FINAL NOTICE" announcement to shareholders http://www.slcapex.com/forums/topic/YEP/2362 we do have a plan, and at least some tangible product being finalized and made ready to market. We have several prospective products being researched, and things have really been coming together.

I believe we have a great team moving forward. As you know I have been nominated and ratified by the Transition Team, and Temporary Board of Directors to serve you as the Chief Executive Officer (CEO) of the new company once the MECH/YEP merger is complete. I am however, just one piece to this team, and if it wasn't for the great team working behind the scenes to make this all come together I would not have accepted the nomination. Nor did I set out with plans to become the CEO when I first volunteered to be a part of the transition team. I am however, honored and ready to serve.

SLCapEx is preparing to complete the merger of YEP/MECH on their side this week. We are preparing a re-launching event open to all for Monday Night, with stock resuming trade on the floor Tuesday. The venue is still To Be Determined however, we are planning the event for 8PM SLT. I apologize in advance to some of our international folks who may not be able to attend. In the future, we will attempt to arrange for more suitable times, or hold more then one function in a day to better serve all.

While we have several choices already on the slate, we are currently seeking potential names for the new company from our shareholders. If you have a suggestion please post a reply to this thread, and name your recommended choice. Please take an opportunity to voice your idea in this unprecedented opportunity. We only have a day or two, too make a decision, so please don't wait.

Just received this e-mail from Gumby Roffo and I am posting it here at his request.

G'day all
After a weekend of building, scrpting, rescripting more rescripting , this is the current state of play with the stormkite /mech build.
1 working combat damage system,( just need to increase the hit area as you are still required to hit the main avatar(... like HL online( early days)
2. Working weapons again, both the rockets and the plasma bolts. ( unlimited firepower, but fire too many rockets and they will travel slower).
3. particles effects on fly, shoot, rocketfire, block/shield.
4. death will occur when your avatar is reduced to 0% .

It works , I still want to make some tweeks, But will perm up a set of the black stormkite for trial by the BOD.
Im needing a small rest as this was demanding, in both learning and using a hammer to make it work.

But overall a good weekends work and I'm a little chuffed I got so far in such a short time... coffee is your friend.


LOBO I am thinking of using the tiny avatars as the sales box/ packaging as they are temp rez .. Let me know if you want to keep them foer something special and I will think of a different package

Please desiminate the guts of this to the share holders so they know we have a future.

Finally what you have all been patiently waiting for, the terms of merger and the nominations for board of directors going forward..

These items are presented for your comments and your votes. Voting will be closed at 12:01 Nov 4, 2008 SLT.


Item 1. The merger terms. Given the assets that YEP! has (0), and given that MECH has some IP going forward, MECH is offering a 1 for 1 share swap for all of YEP!'s shares less those of DanielZ Shackles which will be destroyed. In other words for every share of YEP! that you have, you will get 1 share of MECH..

Item 2. Board Of Directors. The following names are being put forward as the new board of directors going forward. Please note that according to SLCAPEX rules; only 3 officers are required for ratification, the CEO, COO, and an External Director (one who does not have a significant monetary interest in either company). The transition team however is putting forward 8 names for ratification. We feel that there is a lot of work ahead for the new company and it will take many hours of coordination and work to move the new company forward. We also feel that since 5 out of 8 members would serve as a quorum for voting and given the time differences and schedules, getting 5 out of 8 together some of the time to do the work has better odds than getting 3 out of 3 together 100% of the time.

The board nominees are:


CEO: Mateo Infinity
COO: Lobo Rodriquez
External Director: Ashleigh Wade
CFO: Arnaud Villota (Treasury Alt: Treasurer Zanzibar)
Shareholder Liaison: Sando Haller
Director of Marketing: Syncere Talon
Director of Public Relations: Konner McDonnell
R.I.O.T. MECH Division President: Gumby Roffo

A brief biography of each candidate follows:

CEO: Mateo Infinity. Mateo was one of the first volunteers for the transition team and I don't think he figured it would lead to this (I don’t think any of us believed it would lead to this). Mateo owns his own company in SL and has also headed up 2 RL companies. Mateo offered many insights during the transition period and demonstrated that he had the strength and the will for the job. He is very qualified for the job and brings us a different way of looking at things and a strong vision to move us forward. Also he is a fresh face on SLCAPEX which will coincide with a new company rising from the ashes of two companies that have crashed and burned. If Mateo were to adopt a Mech Avatar, it would definitely be the Phoenix.

COO: Lobo Rodriguez. Lobo has been with MECH from the beginning and is also a talented builder and author in his own right (check out the stories he has written about the Mechs and their world in the MECH forum). Lobo’s own LLC company NWP will also offer the new company opportunities that we would other wise not have. Lobo’s nomination for COO was in place before we began discussing his LLC company’s involvement (NWP). If SLCAPEX later determines that there will be a conflict of interest with Lobo being COO and his company acquiring the new corporation, then a new name will be offered up to the shareholders by the board of directors if that happens. But for now, Lobo is the best qualified for this job.

External Director: Ashleigh Wade. Ash has been involved in SL for quite some time now. He heads up his own Media and real estate company Wickster Worldwide and has also been voted in as CEO of ZEN. Ashleigh's expertise will be welcome in the new company.

CFO: Arnaud Villota. I won't talk about myself in the 3rd person. I am not that much of a Roman. :) I am not an accountant in the strict sense of the word, but I know where to turn too if I run into trouble. I currently serve as CFO for ZEN and am basically following the prior work laid out by Guardian Market and iVentures. I have automated it a bit to make it easier for me. I am a big proponent of automation! I firmly believe though in separation of duties and I think that they can work in SL as well as RL. The transition board was supportive of the ideas that Syncere and I had about alts to handle the financials, so we are going to try it. If it doesn't work, then we will return to the traditional methods.

Shareholder Liaison: Sando Haller. We all know Sando. Sando has volunteered for this position and basically it is the watchdog position for the shareholders, not for the board. Sando is perfect for this position because she has demonstrated time and again in the past that she is not afraid to speak up for what is right and she is not afraid of anyone and will hold the board accountable for any promises that it makes or attempts to make. So if there are things that don't seem right or you have a beef about, Sando will be your advocate to the board.

Director of Marketing: Syncere Talon. SynCere has made many succinct observations in the forums and has offered a lot of good ideas to move MECH forward through effective marketing, branding, etc. Syncere will work closely with Gumby to help move the MECH division forward and also help to market the overall message of the new company. She started out with 200 USD and has built it up to over 2k USD, not including slcapex. Just her personal businesses, that is without investing more into the game. She owns 38k m sq in Borland Fell, Village de la Garra and while many places were going under during the SL crunch , Village has remained at 90 - 95% occupancy and actually has even expanded some. She also owns Tiny Eclectic Co, and Talon Designs all of which are getting ready for another growth spurt; and lastly, she is also an official adopted aussie by ABC, which obviously makes her more than qualified for the job. Syncere will also control the financial alt, Mercado Burner, for the MECH Division sales.

Director of Public Relations: Konner McDonnell. Konner has had a lot of experience as a writer via Your2ndPlace.com as a blogger and has a lot of insight into SL finance as many of his posts on Y2P and SLCAPEX forums have shown. Konner's expertise with the "press" puts him in a unique position to deal diplomatically and honestly with questions from both external sources and shareholders. Please don’t confuse Konner’s position with Sando’s. It is Konner’s job to answer all questions straightforwardly and honestly (and bluntly if necessary). It is Sando’s job to represent the shareholder if they don’t like the answers.

Last but not least:
President of R.I.O.T. MECH division: Gumby Roffo. Gumby has also been with MECH from the beginning. Not only is he a talented and prolific builder but he also knows where to get the scripts needed to do a job and to modify them to make them perform better. Under Gumby's direction the MECH division should move forward at a good and profitable pace.


That's the board and the merger terms. Please be frank in your comments. If you find offense in the biographies, please blame me. Sometimes I convey the wrong idea with the words that I chose. It is not a reflection of the candidates.

Also, feel free to ask direct questions to the candidates. Please make sure that you ask the question directly to a candidate, otherwise if it is not clear who you are asking, then any of us on the transition team will feel free to answer.

I am hoping that within the next couple of days (or sooner), the board nominees and merger details will be posted on both forums for comments and ratification. Once that is done then we can put this behind us and move forward.

... BUT .. still ... my hair is rising when i read the use of so many ALTS ...

Not that I distrust any of them ... but in the long run mother cat wouldn't be able anymore to find her kittens (speaking as outsider). Unless for each company there would be a genealogy of the prime AV and all linked ALTS ... so that anyone who owns shares can see clearly who is who ... (Can even only be disclosed to the shareholders)

Great idea that request for audits by any shareholder ... (As long as the requests are justified)

And maybe also in the long run ... to initiate a spokesperson to whom all shareholders can voice their concerns, ideas and so on ...

I know I am rambling on ... But happy to see that the end of the tunnel is coming nearer and nearer ... thanks to the efforts of the Transition Team ... And lets hope that once the NewCorp will be running we all ... will have a smooth ride ... not only to richness but also to very interesting possibilities within it...

Subject: What has happened and what will happen


Such an ominous title.

We are getting close to closing out a sad chapter in the history of YEP and MECH and opening what will hopefully be a better future for both companies. First some “hard to take” facts, especially for YEP shareholders.

Bottom line, YEP has no assets! Never had those from the beginning didn’t have any in the end. The “non tangible assets” claimed on the balance sheet are either for scripts owned by danielZ, which we obviously can’t retrieve, or references to the furniture line built by Xenius, which YEP or danielZ didn’t own. I rather doubt that it was the Xenius line because I’m pretty sure iVentures would have made a note of that in the financial statements.

The deal between Xenius Revere (the furniture guy) and danielZ, was exactly that. It was an agreement between two Avatars, not between an Avatar and an SL corporation. Once danielZ disappeared from the scene, there was no reason for Xenius to continue any agreement with YEP!. Xenius does not recognize YEP! and will not do business with YEP! directly because it is a non entity as far as he is concerned. Before you get too incensed by this statement, Xenius is right. His agreement was with danielZ and not with YEP! LL will back him up on that, so there is no need for abuse reports, legal action, etc., etc. An agreement between two Avatars is sacrosanct as far as LL is concerned, so no sense spending precious time going down a dead end. It is time to move on.

Xenius and danielZ shared an alt account that belonged to danielZ by the name of Xen Heinrichs (which has now been locked by LL). All of Xenius sales went to this alt and the rent was paid for Lutz Island out of this alt (to the tune of $400USD/month). What was left over from the rent, was split 50/50 between Xenius and danielZ. DanielZ used his portion of the 50% to pay dividends to the YEP shareholders. That was the setup and it worked well for everyone involved as long as things didn’t go “south”. Eventually though, they did.

Furniture sales for Xenius dropped dramatically within the last couple of months. Xenius figures it was because it was an old product line. Xenius and danielZ were working on a new product line to enhance the furniture line, but then MECH appeared. All efforts went to MECH thus sacrificing new builds, new scripts, new ideas, etc. As we all know, MECH didn’t quite reach it to the finish line and that not only affected MECH’s future, but it mortally wounded YEP!’s future. As you know Xenius created all of the MECHS, danielZ created the scripts. We cannot recover the scripts obviously, or the first combat MECH (the Jap White MECH), because Xenius assigned all IP of that to ImA and danielZ, but we have recovered some of the new MECHS from Xenius. Read on.

So as it stands now, MECH owns some saleable IP, because Gumby Roffo has spent a lot of hours making something out of nothing from what Xenius gave us and Lobo is working on it as well for a small game concept, while YEP holds nothing but the brand name of YEP, which is worth something; it is a recognizable brand name for furniture.

So what can we do with this? This has been the question that we on the transition team have been struggling with over the last couple of weeks. We think we have a solution that will be beneficial to all shareholders as follows:

1) MECH will buy out YEP at a rate to be determined
2) Once the merger is done, then the new company (NewCorp for brevity) will be acquired by an RL Limited Liability Company owned by Lobo Rodriguez. (Northern Wolf Press, Inc.) which will purchase the MECH IP and license it back to the new company. (Terms to be favorable to NewCorp)
3) The SL company will be independent of the RL company, and will form it’s own business model. Profits will be funneled to the RL Company via dividends in Lindens, not USD. Any tax burden will belong to the LLC not to NewCorp.
4) NewCorp will become a distribution company, similar to the YEP model but with some differences. In the short term, several stores on several SIMS are being set up to sell the MECH merchandise. At this time all stores are rent free thus giving us a break on overhead. In the long term we hope to adopt a wholesale model where people will buy a package of 10 or more items, at wholesale prices and then sell it as they see fit in their own stores. They would then take on the burden of marketing, rental, etc. expense. A precedent for this type of model is Vindi Vindaloo for her fashions and it has been quite successful for her.
5) Lobo’s LLC will offer NewCorp distribution possibilities that were not previously available to us or to others in SL. So that would put NewCorp in a very competitive position in SL. In the long run it will probably give us a better and safer advantage than the original YEP, since we can negotiate License agreements with the LLC that will not leave NewCorp coming up short as YEP is currently with the Xenius agreement with danielZ.


NewCorp will have divisions to spread out the work and the risk. The first division of the new company will be R.I.O.T. MECH which will be headed up by Gumby Roffo. The responsibility of the division is to market and distribute MECH statues and AVIs. We do have furniture possibilities in the process of negotiations, one of which is Xenius’s new lines. This product type would fall under a YEP division which would have its own president and support staff.

With this model we are hoping to spread not only the amount of work involved, but also the risk. Let me explain.

At the board level there will be a “master” avatar for financial purposes that all financial info will roll up to. The master avatar will also own the Treasury and Restricted stock for the corporation. This master avatar would be an Alt of the CFO, not the CEO. Why the CFO? Because the CFO is not an elected position and thus the avatar should be more easily transferred from one CFO alt to the other. Also there will be a clear separation of duties between the CEO and CFO. The CEO will not have the license to withdraw money without oversight. (Note for those of you who are questioning this, this is a whole ‘nother discussion. Feel free to IM me, or start a new topic about this.) Each division would hold it’s own financial alt where all sales of items would go to. On a weekly basis, all alts (including the “master” alt) would report its transaction and account activity log, on either the SLCAPEX forums or another venue. The CFO would then get a final transaction and account log from all division alts in order to complete the monthly financials. The beauty of this model is that all of the company cash is not held by one alt but is spread out over several. Also by using an alt, non business related transactions can be more easily spotted and dealt with quickly. Also an audit can be asked for one or all of the alts by any shareholder at anytime no matter how many shares they hold. We will go into the details of such an audit later, and how it would be carried out.

Sorry for all the details, but we want to assure you that a lot of thinking has gone into the future because all of us on the transition team has as much to lose as anyone else in this venture of MECH and YEP. Our goal is to make this work one way or the other.

So that is where we are right now. Our goal is to have this all finalized and in place by Nov 10, 2008, the date due for financials. Personally we would like to see it finalized a lot earlier so that we can open up trading once again for NewCorp and that those of you who wish to bail can do so, and those of you who want to stick it out can buy at a bargain.

We are not offering guarantees or any promises. We are offering a way forward that may or may not work for two wounded companies. If you wish to participate that would be great, if you wish to bail then that is ok as well, we only wish you good luck in the future no matter what you decide.

Bottom line, MECH and YEP are dead. To continue the quote from Shakespeare for a moment “I come to bury Caesar, not to praise him.”, but unlike Marc Antony, I am here to really bury Caesar. Those of you who are familiar with the speech where that quote came from, will understand. I, personally, do not believe that Ima or DanielZ purposely set out to screw anyone. I truly believe that they had a vision that they felt could be accomplished until reality hit. When reality hit, they felt that they couldn’t face the humiliation of defeat. That is a normal human emotion. Who among us can face that kind of humiliation. So rather than think of either DanielZ or ImA in negative terms, think of them as visionaries who had a great idea, but fell short. We will try to carry out the vision as best we can even though the principals have abandoned us. It is our vision now! We need to make the best that we can of it. Thank you DanielZ and Ima for the start, but we will take it from here!

They can live on in our memories as “those with a great idea”, but…we who are left need to make it work, for our own survival!

The transition team has meetings set up every night this week, except Friday, and as memebers can make it these items will be discussed. We made some good progress over the weekend, even with limited schedules, but we have a lot more work to do. We will keep all sharehloders informed as things get solidified.

As a shareholder (small) in both YEP and MECH i am generally in favour of buying out MECH. But before giving my approval I would like to know how this valuation will work? Are MECH shares going to be valued at L$0.08 for this purpose? Or are MECHs going to be replaced by YEP shares or......???

Till now I am thinking to get out of it as soon as possible (Meaning as soon as i can sell "legaly" my YEP shares. ) Just because the confidence I had in a strong Company is gone and far below the absolute Zero Temperature.

1) Removal of DanielZ as CEO of YEP
2) Elected temporary CFO of YEP create a new alt account for YEP
3) Transfer all of DanielZ's shares to the new Alt which will server as treasury shares.
4) Transfer any other holdings of DanielZ to the treasury account (the new alt).

As CFO of the temporary board, I request that danielZ shares and any other holdings of danielZ be posted to the new YEP alt, Treasurer Zanzibar, as soon as you receive the RL verification for the Alt.

Yes a merger would be beneficial for all of MECH shareholders, however YEP shareholders will not be affected at all because we would use danielZ shares for the buy out. Once ImA's shares are eliminated from MECH there are plenty of danielZ shares to buy out MECH with a little left over for the treasury. We are not increasing the total shares held by YEP, which is 10Million and will remain 10Million after the deal is done. The only difference will be a change in the power structure. The top 10 list may change a little but not really by that much, some positions may be shifted. The biggest change will be that a merger will take a majority vote out of the hands of one person. A new majority will take a minimum of 3 people. A shareholder vote will be a true shareholder vote especially if the top 3 shareholders happen to disagree on a partcular direction. I see that as a positive sign that will make for a more viable and stronger company.

In reality, both companies are in a weak position. The founders who were also the chief income providers (danielZ, Yellow Paperclip) and architect(ImA), are gone. Little to no assets left behind puts a strain on how to proceed. The general feeling is that if we can combine the strengths of the two companies into one, then we may have a chance to rebuild the remaining company back up to where YEP used to be, and where we had hoped MECH would go, that is, a dividend generator.

Will we make YEP weaker in the long run if we do this merger? The risk is there, but I think it would be riskier not to do the merger because then we are more likely to lose both companies. Notice that YEP and MECH share the most important asset in SL. People. The majority of people who are sharholders in YEP are also shareholders in MECH. It doesn't make sense to split their energies between two faltering companies. A merger will allow everyone to focus on the rebuilding of just one company instead of struggling to keep two barely afloat.

Thanks again for the comments. I think this is exactly the kind of discussion we need right now. No matter how many shares we hold, we are all in this together and it will take a lot of work by everyone to get back on track.

Those who gain advantage through such a merger is major shareholder in Mech who so far havent got any ROI yet but after a merger they at least will have some divident from YEP in future.
And those who havent invest in Mech, just Yep, will have less.

Regarding good business, i believe such a merger isnt good for either Mech or Yep. You will solve the short term problems but might also drag YEP down in the long time.

Well being verified is one thing, since if the stock exchange is the only ones with the info it lowers the risk to just one person, its when our info was out for everyone in open forums, the tens of thousands of random users around the sl financial world that I would think tempted someone, but honestly I do not know for sure, and LL hasnt given me any feedback as far as what was done with it once it was transfered from my av.

These posts werent meant to point any fingers, simply to let people know what happened and that I will be working on getting the funds back out to our investors asap.

Well either that or they stole my computer and happened to be checking out what I had on it, ran into my SL game / account and learned about how to cash out money from SL in a few hours. I guess either is possible but usually the shortest explanation is right.

Me and some other CEOs had actually talked about the risks of our RL info being public in the past, and I always said the benifits outwieghed the risks... It wont happen again though becuase I will never use password rememember features, even at my own house.

That is what happened to me this month, and unfortunately ImA was caught in it since we had done some transactions recently. I am going to meet with him again tonight in RL, but it appears that when they froze his account to investigate the theft of my funds, he was forced to miss his tier date which froze his account even longer. I am sure he is working on a way to get his AV back into SL ASAP so that he can better explain what happened from his end and how he is proceeding. I wanted to post this now that I can finally post in capex again to help you understand what is going on as best as I can until he can get back on also.

Last month I had a break in at my house in RL. When they stole my computer stuff I had originally figured it was a random break in. Within a few hours of the break in my SL account was drained of all its funds, both YEP!s and my personal holdings of close to 5K $us. They had apparently targeted me knowing I was heavy in SL finance and had hoped (and were right) that I had it set to remember the login password to SL on my personal PC at home.

I immediately had informed SL the next day when I logged in to SL from work and noticed the missing funds, and the first thing they did was lock up my account while they investigated it. Without my PC which had my capex passwords on it, or without the ability to log in to SL I was unable to recover or reset my capex password to update this info until now since I was finally able to get back in SL and reset passwords.

I apologize for not responding sooner, and all of you who have known me and YEP! last 2 years since before our IPO know I have always answered most forum posts in days or hours.

Right now they still have not refunded my money to me, and I am not sure if they recovered it or not. I know since I had done some transactions with ImA from mech they actually froze his account while investigating it also, so I am sure many of the other hundreds of people I worked with got hit in some way by this.

I have posted the dividend amounts from what was earned and should have been paid out, and if / when LL returns the funds I will pay those out instantly to the current shareholders at that time. So if you want those dividends hold on to your shares, if you sell them I will not spend time paying them out to past shareholders.

I will pay out the dividends to YEP! from any money I receive out of my 5K BEFORE I get my portion from non YEP! funds from my account. I will not take money for myself before making sure YEP! shareholders are paid.

I have had my personal info made public since I launched YEP! with yellow on WSE, so In no way do I blame this on Capex, but I would warn Capex to possibly look into other ways of reassuring investors in the future without giving to much personal out to the mass public. With my name, city, and phone number available for all in sl it was not hard for someone to find where I live and ruin both my RL and SL the last month.

This is something I will be talking to Bogart about in the near future, but in the mean time I wanted to update everyone now that I am able to log back in and let you know as soon as the money comes in it is yours, so you are not losing anything if you hold tight.

However, I owned YEP since its earliest times (when they were still listed on WSE) and got lately a bit bored about all those virtual stock exchanges. Let's say it is quite related to my experiences with WSE...

Also the ongoing chaos on RL markets are adding their part. If RL financial markets need new and better regulations. Where are we then with so called virtual markets...Good luck. The thing is that till recently it was fun to develop some financial products and follow how they develop on the markets in SL. It would be extremous costy and complicate to do so in RL - also with good reasons....lol...I did this on WSE with my derivatives. However, if greed is even starting in SL then it is no longer a game! ....If the financial market is no longer a game then it need to be regulated. As said before, the best would be if LL is sanctioning the conversion from $L into real currency. Only then virtual markets have a role to play again. A role as experimental platform for financial products or similar.

Anyway, I don't want to bore you with my opinions, and I might be wrong with my statements...

For those who think differently you had an opportunity to buy cheap. Basically I think Danieltz is a serious guy, at least I could experience this on my own in the last 14 months. Just have a look at the dividend history.

Also, there has been so much weird things going on in SL with ppl bailing out. One excuse after the other. Who can we trust and have faith in. I lost 120 k in a bank which i thought was managed in a good way. But suddenly the main character was ill and a couple of weeks later he died.
His brother appeared and took over as CEO to finish off and liquidate the business. He promised to pay ppl with his own RL money if nessecary , starting in august.
Fortunately some ppl start investigate and that was a scam. His brother, the original owner, wasnt dead. And any money havent been payed so far.

This boils down to, when business start going bad, or to much problems, ppl tend to bail. Thats why many are selling at any price. They recon the pattern.

Personally i would have sold my YEP shares if there was buyers at a decent price per share . To much lack of information and the theft makes me unsecure and at such situations my money shouldnt be invested in YEP.

To clarify, I am not questioning the judgment of either CEO of MECH or YEP. I am just questioning the logic of the investors who put a lot of money into these enterprises and are now willing to basically give away their investment for next to nothing. The investors are the market, so there must be something "going around" in the market for you all to base SELL decisions on. I really would like to know what those criteria are, so that I can make a decision as well if I need too.

I immediately had informed SL the next day when I logged in to SL from work and noticed the missing funds, and the first thing they did was lock up my account while they investigated it. Without my PC which had my capex passwords on it, or without the ability to log in to SL I was unable to recover or reset my capex password to update this info until now since I was finally able to get back in SL and reset passwords.

I apologize for not responding sooner, and all of you who have known me and YEP! last 2 years since before our IPO know I have always answered most forum posts in days or hours.

Right now they still have not refunded my money to me, and I am not sure if they recovered it or not. I know since I had done some transactions with ImA from mech they actually froze his account while investigating it also, so I am sure many of the other hundreds of people I worked with got hit in some way by this.

I have posted the dividend amounts from what was earned and should have been paid out, and if / when LL returns the funds I will pay those out instantly to the current shareholders at that time. So if you want those dividends hold on to your shares, if you sell them I will not spend time paying them out to past shareholders.

I will pay out the dividends to YEP! from any money I receive out of my 5K BEFORE I get my portion from non YEP! funds from my account. I will not take money for myself before making sure YEP! shareholders are paid.

I have had my personal info made public since I launched YEP! with yellow on WSE, so In no way do I blame this on Capex, but I would warn Capex to possibly look into other ways of reassuring investors in the future without giving to much personal out to the mass public. With my name, city, and phone number available for all in sl it was not hard for someone to find where I live and ruin both my RL and SL the last month.

This is something I will be talking to Bogart about in the near future, but in the mean time I wanted to update everyone now that I am able to log back in and let you know as soon as the money comes in it is yours, so you are not losing anything if you hold tight.

Things are rolling along well enough, and looking to boom again in the next 30-60 days. There are three main areas that should increase sales (thus dividends for you all!)

1) As most people know I have been in SL for over three years now, and one thing that is constant is that SL is always slow and less profitable in the summer months since most people spend more time with family's or on vacations and use their money for outside activities. It usually picks up as soon as people start getting back to school so look for a decent jump over the next month or two.

2) The recession in the US and many other larger countries has also hurt the amount of money people have had to spend in their "second" life since their first lifes expenses keep going up. I am not sure about other countries but here in the US gas has finally worked its way down and things look to be stabilizing so that also should allow people to spend more in SL.

3) Xenius has almost completed the new line of products for us. Any time we get new products out there is a surge as previous customers come back to get the new items on top of new customers having more to choose from.

While Xenius is making us some new lines, I am working on getting more of our products onto slex and have made (am waiting till his new line is done in a week or so to launch it) a new banner add campaign to really draw attention to our new bar lines which are highly profitable for us.

One thing that always helps sell items is when they have ratings. Most merchants who have used SLExchange in the past know only about 5% of people take the time to rate things, so we can sell hundreds and only have 5 ratings for new customers to use when deciding to spend the money on our products.

Just like sites like ebay ratings help people know which vendors or products to buy when they are new or not sure of who makes good quality items and backs them up with good service.

If you look at our items, they are all 4..5-5 star rated already, but any new ratings will increase their sales and views, so any new ratings would be appreciated.

Its against the SLExchange TOS for us to bribe you or pay you to rate our products, so we will not do so. However I would think as investors in our company you would want to own some of our/your products, and if you happen to rate them well because you like them then we all win.

We would appreciate purchases and ratings at any time, but especially this week so that our items are ready to go for our next big advertising blitz.

That would require that we all keep our dirty laundry in the closet, which most of us who have spent more than a nanosecond in or near SL recognize is next to impossible.

At some level I believe the transparency that is offered by being open and honest about our opinions is a good thing.

We do seem, however, (including myself more often than not), to be unable to keep the debate and argumentation at a civil and respectful level. I've usually chalked that up to the anonymity many have here hiding behind their Avi's.

Regardless, I do stand by my earlier statement; this grand experiment (like SL itself) REQUIRES a cooperative spirit by its participants. So, the "... you're either with us or against us; if you're with us start rowing in the same direction the rest of us are, if you're NOT then GET THE HELL OUT OF OUR BOAT!" is an appropriate metaphor.

Instead my post was simply to re-assure the many investors who IM me daily asking what I plan to do with YEP! and Capex since there is no volume on this exchange (or any others really). STating that there is no volume on this exchange is only stating the truth that my investors are bombing me with IMs about daily. I have people ask me every day how they can buy or sell shares they since there is rarely volume going through on most stocks in sl at the moment. On any exchanges.

As for being part of the solution or the problem... Once again I reference my earlier post. I mentioned that we were going over new ideas "to either help pick up trading volume on capex or to consider a new way to run yep"

My first option was to help ALL OF CAPEX. That to me seems I was trying to be part of the solution. My second option was leaving capex, which is still part of the solution and not being the problem. YEP! and myself would only be the problem if we bitched about capex and then didnt look for ways to improve it or leave. Both of which I was asking shareholders for ideas on what they want to do.

Maybe you personally Bogart didn't cause the worst of it. Arb and SL and how they both handled the bank bans, forced withdraw halts and SLW conversions did. But from the eyes of all the investors it was done by capex, whether Arb or SL initiated parts or not, Capex is what had our money and took it. SO of course capex is going to get the main blame until its fixed or resolved.

It boils down to the MAIN slowdown of Capex was things US INVESTORS AND CEOS had ZERO control over either. So for you to get mad at the CEOs who are mentioning Capex's problems WHILE trying to find ways to fix them, is crazy.

You cant fix any problems in life without knowing and talking about what caused the problem. Period. And my initial post didn't even ask people to talk about what caused the problems. They simply asked people for their ideas on how they wanted us to continue and get around em.

Now, I see two things in what I said before.

1) I said you Bogart personally were kind enough (your name was mentioned right above that quote) to go over potential exchange changes with me so that I can see how YEP! would fit in with the future of this exchange.

2) I mentioned that we were going over new ideas "to either help pick up trading volume on capex or to consider a new way to run yep". Notice that the 1st option was to improve volume ON CAPEX! not just YEP! but we were looking at ways to improve all of capex.

3) No where in my post did I disparage capex other then to point out the obvious that there has been no major volume or liquiidty since the conversions. And thats the truth so its not ment to slander, its simply meant to show our investors why we are looking at ways to either improve things on capex or find some other way to improve YEP!s situation for our shareholders.

When I wrote the 1st post I made sure I only (other then mentioning Capex has no liquidity) talked about how to help YEP! and purposely did not disparage Capex.

It's so easy for folks like yourself to throw SL CapEx under the bus month after month to justify and explain away your own lack of performance in the marketplace, your own inability to attract new investors and shareholders, and your own culpability in reducing the SL Capital Markets to what it is today.

Perhaps next time, BEFORE you write such scathing comments you might just stop for a moment and think about how YOUR OWN comments (and others just like yours) are the types of comments that are driving people AWAY from the SL capital markets. Seriously, THINK ABOUT IT!

If you (or anyone else) truly believes that the grass is that much greener elsewhere on the grid, PLEASE, fold up your tent and move your flock there. Personally, I think that you'll find that those other pastures have the exact same weeds and the exact same manure that you so often complain about here.

Each of us, individually and collectively, every day will either continue to be part of the problem or will begin to be part of the solution. Those of us that have elected to pursue the later are doing every thing that we reasonably can to move this small part of our lives forward.

I was out of town for extended weekend due to holiday in US. I got back last night and have multiple things I need to tackle before I can finish up with the reports and numbers, including getting some lsl/http protocols to Shaun now that hes back in gear working on mechs database and finishing a few things for Xenius so that he can roll out the next product line for YEP!

I am hoping to have all of those items, including YEP!s monthly financials and dividends done in the next few days.

On a side note. As most have noticed Capex's liquidity and volume have been mostly non-existent compared to last year / before the conversions early this year. I had worked with most of the YEP! board about implementing some changes that we had been rolling around since last year that we thought could help boost YEP! up some in these areas. After sending one of the larger changes to Bogart for implementation, he informed us that it would go against the new rules & vision he is going to be implementing for this exchange in the near future so we are not able to do them as we had planned.

He was kind enough to go over some of the planned changes with me so that I could see how YEP! fits into things, and of course since the changes / rules aren't final yet he still might change them before they become official. Saying that Myself and the few board members I have been able to reach since last weeks talks with Bogart plan to go over new ideas to either help pick up trading volume on capex or to consider a new way to run yep, whether merging with my RL corp or staying in SL with it but finding a new platform.

Initially this will be something the board will be discussing in private, and once we come to a few solid solutions we will post more info for the public so that they can see the reasonings behind our decisions and thoughts.

But... In the meantime please feel free to post any ideas or suggestions you have here in the forums and we will heavily weigh and look into ALL possibilities.

YEP! was one of the 1st stocks listed in all of SL, we were listed in the second wave of the WSE (I believe we were between numbers 10-18). To date several hundred have been listed on all the unique exchanges. But YEP! is especially proud because we have managed to not only stay in business longer then almost all of the initial listed companies, but we have continued to evolve with SL and maintain dividends and return value for our shareholders since launch.

Up until the crash of Capex's volume after the halts and conversions, YEP! maintained a share value of 2-3x's our IPO price (IPO'd at 1L) and has paid out close to 50% of IPO value in divys, meaning most of the initial IPO holders portfolios hold values of 250-350% of their initial value.

NO matter what direction we decide to move YEP! in the future, it will as always be to maximize the profits and potential for the shareholders who were there for us when we wanted to IPO, and I will always welcome feedback or ideas.

2) Many people don't want to risk leaving to much money in an exchange at this point, and those who do still have money tied up in SLW. Whether its from a lack of trust of the exchanges themselves or a fear SL will ban them at any time like they did with banks.

3) Also, looking at Capex stats since this frozen funds and SLW drama started in January, across every stock, the entire market is down in terms of volume of $L being traded. (not counting SLW of course which is only up because people were forced to get them and they are bailing out).

4) While alot smaller reason, I have heard at least one person mention the recent change from YEP! having two co-CEO's (Yellow and myself) to me being the CEO might have made a few new investors uncertain about how YEP! would go on without Yellow.

However, this is a minor issue compared to the first few I mentioned because most of the serious investors who have worked with or talked to YEP! over the last year and a half know I was the main presence for YEP! in SL since the beginning, with Yellow handling most of the web based projects and tasks, so things will remain steady in that aspect.

5) Recession in US and normal slow summers. I am from the US and I will back this one up since its hard for me to have spare funds to invest in other peoples stocks or ideas when our gas and food prices have doubled in the last year or two, so I can only imagine how some others are feeling the budget crunch.

Add that to the fact that SL is always slower in the summer and things from companies profits to how much investors spend will probably be very low till august like most years.

This exchange is no longer fluid or viable IMHO, and its time that we all look at other options, from how to improve the fluidity on this exchange if people want us to stay to possibly moving on to a new strategy for YEP!. Part of this will be addressed in my monthly report coming out.

It does not matter how stable the dividends are if Dividend per share isn't growing the stock will first stop going up in price and then start going down.

Another factor is ofcourse summertime, good time to buy bad time to sell.
