Eddards Tebaldi wished to auction off CAPX shares in a 7-day auction. It was to run from June 12 - the end of June 19. Eddards originally mistakenly put June 12 as the end of the auction in his original post (the day the auction started which of course made no sense), which I was supposed to correct. Due to a miscommunication which was my fault, I edited his original post and put the end of the auction Sunday, June 16 instead of Wednesday, June 19 (7 days).

So I have corrected my edit error above, and we will have the auction end at the end of Wednesday, June 19. I apologize to Troy and others who thought the auction ended Sunday, as it was supposed to be a 7-day auction, not a 4 day auction. Thank you all for your understanding, and sorry for my error.

My time within Second Life has been extremely limited this year and I cannot devote the proper time inworld to run the company. The webhosting business is extremely competitive and I have been unable to get new customers. I have made the decision to liquidate assets and payback shareholders. After paying some outstanding expenses there are 320000L left and 82439 shares of CAPX that I will auction off and proceeds will be added. I should easily get over 1000000L from the sale. Add 125000L in my hosting value and I hope to payback about 1.40L per share so everyone should love that. I will talk to Skip about how to liquidate immediately and take those steps. I may return in the future with a different business related to stocks only if i can get the time. Thank you.

Everyone, BEWARE this Stock. This Company is inherently dishonest and more of a Flim-Flam.

To do this properly, you could at least State a proposal, have it up to a vote,, State what is happening before you do it, still with a vote.. We know you have the shares to win a vote but at least it's a honest effort.

It's the same Dividend Rate of ~0.02 if you do it monthly as to ~0.06 if you do it quarterly. So, what's the problem with Monthly?

I feel in any company that wishes to progress, involve and grow, that the payment of dividend policy of that company is crucial.

The payment of quarterly dividends from My desk, feels as though it stagnates day trade, which may or may not be a good thing, depending on your personal point of view.

I look at day trade, and or speculation as a positive thing, especially for a technology company.

It breads interest, it breads life, it breads future customers, and it also has a positive effect on Greek funds, thus supports a whole food chain in the system.

I want to see EFT pay monthly dividends.

I was just trying to hint that from an accounting perspective what Alain is trying to say is correct. (btw there is another debate in accounting about treasury shares on the balance sheet, some say they shouldn't be reported at all since they are not "marketable" while others claim they should be reported as a negative liability since they have a positive net effect on shareholders-equity).

Dividends ARE paid to Company/Treasury shares at CapEx. That is why I am saying things are different here. The question is what to do with those lindens. I (and Ed) say they should get paid towards the next dividend, and be reported as revenue until the software is changed to not pay dividends to Company/Treasury Shares.

I don't think anyone is 100% right or wrong in this argument and that it's a matter of opinion (which this debate has gone on for almost 2 years now). In real life stocks everyone knows that Company/Treasury Shares don't get dividends paid to them, and the CapEx software doesn't differentiate between the two. So trying to equate this situation to real life financials is impossible which is why I agree with you.

So the question is how should dividends paid to Company/Treasury shares be reported at CapEx? If I understand you correctly, you add them to revenue and pay them as part of the next dividend, right? If so, then keep doing what you're doing. If Alain or anyone has a problem with that, they can talk to me directly about it, but I don't see how productive it is to keep having arguments like this in the forums about it. The "revenue" from the dividend is being reported transparantly, and (at least in this case) is ending up as part of the next dividend. When the software is fixed in the near future, this issue will go away.

Anyway, in my mind it should be like this: The investors should get the reward. Plain and simple. If you declare a dividend of 10 000, then that should reach the owners. No more no less. I do not think there is a person here, that by now does not know, that the CapEx software only allows a CEO to pay out a dividend to all outstanding shares. So as a CEO, i think it is our responsibility to make sure that the right amount of money reaches our shareholders. Here is what i do with my two companies (i have a substantial amount of treasury shares in both companies):

If a dividend is declared, i calculate how much this would amount to per share and then pay out the amount per share (which then of course is every time higher then the announced dividend, because part of it rolls right back into the company account).

I think my way is the right way here, but i'll leave you to your own decisions.

By saying that SL stocks are different than RL stocks you take a rather big leap. To my understanding, me and hopefully others here as well are trying to simulate a real world stock exchange enviroment. And now you come along and say that the game that you are playing is actually a whole different game. I am of course all ears, but as much as you want to try to explain it to me, it will take a lot of effort to get me off of my understanding how treasury shares work. In RL or SL.

If you don't mind, then can you please answer me these following questions (and if possible, start answering them in the order they are laid out below and don't look at the next question, before answering the first one):

1) If a company's own stock is held in the companys account (treasury), then who owns that stock?

2) Who owns the company?

3) If company generated profit is to distributed, then to whom should it be distributed to?

4) If profits are to be distributed to the owners of the company, then is there even a point to distribute anything to treasury shares?

5) What will you say about your theory when the next software upgrade comes to CapEx and dividend will no longer be paid to treasury shares? Did the game change?



I'll elaborate a bit more on my understanding if you want to hear it.

does in your financial report sales=profit from stock trading and investment income=dividend income?

Also, EFT shares can not be counted as assets. They are treasury shares. You can of course daytrade and create thus revenue. But every time you sell one of those shares, the stockholders number increases by one, thus dilluting the value for each and every other shareholder in the company. And vice versa, when you buy it into treasury, then each and every shareholder sees their stock value go up (because of a buyback and now less shareholders own the same assets).

Also you can not count dividend paid into treasury shares as income. You would be counting the same money twice as profit. AKA cooking the books.

It would also be interesting to have a glimpse on your portfolio as it helps to estimate its risk potential.

Last question, I see that your salary increased massively since the last periode. It's up to everybody to do what he wants. However, I have to remain you that your company has shareholder capital which is a liability you have. That also means that profits should be balanced somehow between your shareholders and yourself as owner and employee.

If you pay out 30k as salary , you receive in fact 35.5k$L as salaray and as dividend, the shareholder only 4.5k $L. Personally I think that such a situation is not very balanced.

As a general side mark. QUite a few companies present their financals in listing only a selection of information (assets, P/L-sheet) but ignoring their liabilities. THere exist two ways to read this, a good one and a bad one...;-)

there is something I don't fully understand. I saw that you as Eddy bought into quite a bit of different companies. Just to name a few, EARN, BOOTS and there are probably more.

As your IPO has a value of only 1 mio $L I wonder how such is possible. Only the investment in EARN has a value of almost 900k $L.

It's great that you have such confidence into all those companies but I think it might be important to your shareholder to know what is ongoing as it might affect the share price of EFT.

Are those investments part of the ETF portfolio or your private one? It's confusing to me.

If they are part of ETF then it would be interesting to know how you have financed them. Either you have found a way to print $L as a lot of national banks do today...lol ... or you got a loan from a third party or yourself as private avatar.

Either way, if those investments are part of ETF then also the value of ETF must be evaluated differently, that is why it is important for the shareholders to know what is ongoing. Call it an act of transparency.

It should be noted that EF is on a Reseller plan as he stated. For you current investors, that is an incredibly smart way to do things when you don't have the budget for the larger datacenter operations. You get the added bonus of a "free" support system through the Provider, as well as use of their services for a nominal rate.

EF, If you ever decide to branch out, I have a friend who runs a service in Virginia. He offers fully managed Dedicated Servers at a decent rate, as well as VPS, etc.. for you to get started. If you want more information, drop me an IM and I will get you in contact with him.

The biggest reason that it isn't a good idea to host a web hosting company from your house is equipment degradation. You can't keep the room the servers are housed in completely temperature controlled (And you every day Fans just won't cut it, I don't care how many you put in there)

You can't install a sufficient Fire Suppression System (Your local code enforcement agency would have a field day when you request to put a Halon System in a bedroom)

You have no power redundancy that isn't going to piss your neighbors off when that Diesel Generator kicks in at 2am and stays on all night because of a power outage

Even if you could get a T1 directly to your house, the bandwidth would be severely limited by the throughput capacity of the copper that runs up the poles. Even FIOS isn't a true Fiber Connection. You lose throughput once it hits the poles, unless it's completely underground, and in those instances, it's not COMPLETELY underground. There's an arial SOMEWHERE between you and the switch.

Local service providers charge you in excess of 30.00 a MONTH for a single Static IP. Try passing THOSE costs onto your customer. Not only that, anything above 5 IPS, and they consider you a business, which means you HAVE to upgrade to their "business plan" which is nothing more than a few added amenities (YOu get a web presence for you business.. but wait, aren't you in that business yourself? So you are now an indirect competitor of the company that provides you service,) for a 30% rate hike.

Speaking of IPs, the moment you have an IP in your pool that isn't being used, they will pull it from your allocation, and when you need to assign a customer to a new IP on the fly, you now have to wait the requisite 3-5 business days for their engineers to reallocate a new IP to you.

And my favorite reason: Do you really want to see your electric bill?

I have worked as a datacenter manager for 8 years, selling co-location and T-1 service. As well as web hosting.

I have seen our old hosting customers even on a T-1 fail from packet loss.

I had wondered about the pros and cons over buying servers and hosting them on a home internet connection vs a professional datacenter.

IP address is not all you need to look at, it is packets. Can the home internet handle traffic volume and packets fast enough?

Generally a home router can not handle many packets being processed as with a datacenter can have a router with much more CPU and RAM power to handle the traffic better.

Is this company more of a stock fund or a web hosting company?

The company I use for the actual hosting is IXwebhosting and I have an annual contract with them. I am gathering equipment to expand my hosting to onsite equipment so I can add some of the services you are inquiring about. I plan to use funds gathered from this stock and additional advertising through SL. I already have two quad-core 3ghz 16gig servers I am setting up. I have already checked on additional services from my IP. This is something I have wished to do for some time. At the start of the onsite hosting I will continue using my 20/10 FIOS service. My company name is Ed Frederick Technologies which was registered in 2003. I Actually began the hosting aspect in 2005 hosting sites for myself and my daughter. My plan for drawing funds from SL was when proffits from SL pass a certain point I would draw part of it out to help with costs of expansion. As of now my hosting is just for the average person to get their name on the net. I setup the www.whatever.whatever webspace and give FTP access to their server space so they can upload their own html. The servers I use are Linux based.

First of all, I was weary at first when you mentioned new company, as I know that webhosts can take several years to show a decent profit (I was never able to turn a profit of more that 25-30 bucks a month with mine, and I was open for 2 years, if that gives you any indication) However you stated that this was a new branch of an EXISTING company that had been run for several years, and that put my mind at ease.



What are the hardware/OS specifications of your fleet? Is your fleet IPV6 Capable? (You've been in the business this long, you know that's coming soon, so ICANN Says lol)

What other services do you offer? (VPS, Dedicated, VDS, Cloud, Shoutcast, etc..) and are these services also available to SL residents under this new arm? Or must they signup under another arm of your company? I compeltely understand that additional costs would incurr with these services, as I assume the SL Arm is a shared hosting setup.

What hosting technologies are you utilizing? (cPanel, DA, Plesk, Homebrew, etc..)

Where is/are your datacenters located? What company is utilized? What carriers are utilized for throughput? What, if any bandwidth restrictions do you have? What do you get in the terms of latency? (If you could provide a test binary that would be even better)

What are your Support Policies? Can you link to your TOS/AUP/SLA?

What is your plan for data redundancy? Backup policies? Disaster recovery plan? What is your client policy regaring access to system backups, or is it only a "make your own" policy?

What do you have in terms of malicious access protection? (DDOS, Syn, etc..)

What is your marketing strategy, what HAS been your marketing strategy for your other arms? I completely understand that SL Marketing is different than RL Marketing, but it helps me to understand how your business has grown over the years.

What are your payment gateway options?

Do you offer Value Added Services? (Domains, Dedicated IP, SSL Hosting, etc..)

How many are currently in your employ, across sales, marketing, support, and engineering? I'm going to assume that those individuals are compensated out of your other arm, but in the event that you have a secondary staff for the SL arm, how are they compensated?

And lastly, and this one is optional.. What company are you? I may know you lol

I just came up with another one and since these haven't been answered yet, I'll just add it.. Hosting technologies aren't something you can financially support with $L, obviously (unless I missed the boat on that one, and will proceed to kick myself later.) How often do you plan on making exchanges to US Currency and Vice Versa? Will it be on an as needed basis?

The "line is drawn" between real life businesses and the virtual ones listed on the exchange through what is done in-world and what is done in "real life" - and is always deliniated through filed financial statements here.

I think what Eddards explained previously was that anything in SL would be considered part of EFT the listed virtual company. Any business he does in "real life" will remain as part of his real life business (to my knowledge there is no real life corporation he owns named EF Technologies). According to his IPO Application and discussions I have had with him, only SL activities/revenue will be part of the listed company EF Technologies (EFT). Hope that helps.

Eddards has run his company in rl for many years. It was only recently that he expanded into Second Life (with me encouraging him to do so). I feel that he will easily be able to generate revenue and profit for shareholders, which is why I have been working with him for month to come and list here. Now that he sees the potential here, he's ready to go :-) I don't know how much revenue and expenses his rl venture has done. You can contact him privately perhaps and he may give you that info.

Business Strengths
Our company has real value in the real world with many years of experience in both web hosting and repair services. Honesty and integrity in and out of Second Life is always a main priority for me. In the last few months, I have also started investing in Capital Exchange stocks making a profit, so that will be a strength to EFT for future revenue too. I am hopeful that my detailed knowledge of web hosting will help me expand and get new customers within Second Life as well.

Use Of Capital
IPO Lindens will be used to help expand our hosting and repair services, and increase exposure using advertising in-world and on Second Life-related websites. The more capital we have, the more hosting services we can offer for residents as well. IPO Lindens will also be used to make website improvements so that it is more integrated in recruiting new customers for our services.

I anticipate monthly profit from web hosting and investments to be about L$10,000 a month (after expenses and payroll) if the IPO sells out. Profit will be slightly less if the IPO doesn't sell out.

Dividend Policy
EF Technologies will strive to pay around L$.01 per share per month if profits permit. There is no guarantee that there will be a dividend every month, but EFT will work to generate as much revenue as possible for the company.

Risk Factors
Business will be better some months than others, depending on Second Life in-world traffic, and traffic on Second Life related websites where we plan on advertising. Second Life failing is the greatest risk, however the company would survive if Second Life fails.

Management
CEO will dedicate appropriate time to monitor results and run the business within Second Life and make the proper business decisions to move company forward. Revenue is also generated by management through daytrading and stock investments.
