With all this bickering going on between the major shareholders, the un-professional content of most posts, the anger, frustration...etc. It has come to the point where, justified or not, people have lost faith in any L&L related business.

So my question is this.

IF the new company can be registered with Capex, and the conversion done, does anyone really believe that the new company shares will be worth anything?

I'm with Scott. I have a sizable number of shares of the LNL Liquidation Fund. Those are not shares in a company per se, they are a promise to have my former Certificate Of Deposit repaid. I want that money..in full....not some worthless shares in a company that will, from the start, carry heavy baggage.

As for being forced out, I stated that I was being driven out because Bogart stated that he would rather me delist and handle the issue else where. There was a bit of double talk in that email. One minute it was all support and the next it was go elsewhere to deal with it. The whole point in combining everything is to have a platform in which to provide a return on investment through dividends and eventually reduce shares down the line. Without a trading platform, it would make it unneccessary to combine and would actually be more fruitful to liquidate but that would cause way more losses than with a trading platform.

Sure I can list it on L&LFS but that is creating a bias and does not have near the traffic that would be needed for shareholders to take advantage of market flucuations that could potential be more fruitful than the original investment. I wasn't taking anything personal at all. As I stated to Scott, emotion has no place in any of this which was why I was giving him researched and documents numbers when it came to his suggested repayment plan that involved us paying him $110,000 a month during the SL summer slump.

Historical facts and projection in the land business in SL, especially with the recent dive in property value with the dive in avatars logged that happens every summer would suggest that most land companies will not make enough in tier and profit alone to cover tier in some cases so it tends to dip into working capital. We came across this issue last year but we staved it off from the $2.5 million surplus that we had at the time that allowed us to guarantee a $.10/share dividend from June until the end of the 4th quarter. The summer months are a proven and known slump in business grid wide. If we are struggling during those months just to make tier payments, how could we agree and afford $110,000 a month? We can't. And I expressed this to Scott as my concern because I would not agree to something that I know I could not make good on. I don't want to promise him that it would be done and I know good and damn well I could not. It's impossible.

Liquidating assets at the current stance of the market and the grid would prove to have greater losses than say if liquidation happened toward the end of fall or the winter when numbers in SL tend to quadruple grid wide. When we started the brand, 15,000 people on the grid would crash the place. Now, we are looking at 60,000 constantly but the daily average will taper off from now until September. That is statistically proven.

I hear what every one is saying and I am not denying that some ideas are good and some are not. ServMe has proven over almost 2 years to be the most sound mind and idealistic person I have encountered and I thank her for being the objective level head when everyone else is heated and fighting. I am trying to walk into this heavily researched not providing thoughts of granduer of what I can do. I am telling and showing what I CAN'T do and why. I am putting the risks right here in plain view and I am asking for discussion and understanding without the excess drama. I only posted what Bo said in email because Scott did and it really pissed me off because I have asked that emails remain confidential until resolutions are derived. I have asked this of Scott and Cayman many times and Cayman has usually obliged but Scott on the other hand has no respect for me and at this point, it is pretty mutual but that is personal and I am trying not to let it affect how I handle him with business.

I am not trying to defraud anyone or run off with anything. If that was the intention, I would have done it by now instead of sitting here ignoring my RL to plead with those interested for a resolution. I am with ServMe. I thought we were on a good path here but evidently smoke is being blown behind closed doors. Fine. SL CapEx wants me to handle the issue elsewhere. I will. Just waiting on the shareholder list.....

SLCAPEX management has a mandate now (I assume) to try and restore investor confidence and limit bad press. LnL has been a disaster they have to be cautious with dealing with a company with such a history of failures. I dont think Druart should be taking anything personally and getting all bent out of shape.

She is the one who raised money for LCA which never did anything - and quite frankly was a goofy idea (nothing wrong with that though lots of goofy ideas that actually work in SL.) LNL like other got nailed in the banking ban and is now presently worthless. Which leaves us with the rental and sales company. Why not liquidate all your assetss and start paying people back?

It clear your in over your head and cant deal with all this. Cut your losses and do what you can to repay people. Thats what I think would be best for everyone.

I never said that I wanted everyone else to get shares for there debt, I just stated that I was not going to accept them and that you have no right to force me to accept them.

After which you threatened to delete all of my shares.

My issues are your unilateral decision making and your refusal to make good.

The emails were between you and I, I did not post them nor did I forward them. When you emailed me that you were going to force me to accept shares for the debt is when I emailed CapEx refusing them.

Servme, I can understand your fustrations. I have the same ones.

I will stick with the original plan and complete the conversion as it was stated. As far as with CB, I asked for ideas and I didn't get any. Luke will not be in SL again for a long time and from day one we have agreed that if one left, possessions would default to the other as we have always had access to each others accounts and such. This had put a lot more pressure on my than before because I have NO backup right now which is why things are taking longer than I expected. But I hope to have this done soon.

I am waiting on SL CapEx to provide me with the LCA shareholder list.

The conversion rates were posted by Lindsay for review, Scott suggested some alterations to them based on 30 averages and I seem to recall that Lindsay was not opposed to take a look at those new conversion rates, and was plugging some numbers.

I took a look at the numbers Scott posted and expressed my support, with some other small issues still needing to be resolved, and suggestions made. I was under the impression that we were getting somewhere, albeit slowly.

Now private mails between parties emerge suggesting that the exchange can't support yet another conversion plan, as it would damage the perception and trust of SL financial markets and exchanges. Since the exchange calls the shots as to whom gets to play on their turf, fine.

To me however, it sounds as if some people with ulterior motives are trying to force their hand and get what they want, disregarding everyone else. If you think you fit that description, you're probably right.

I think I'll consider dumping all my SL stocks and go play in a sandbox for the next couple of years, SL finances and exchanges are a big joke. However, don't count me out. Every share I hold resembles a vote, and I plan to use them to support or shoot down proposals as I see fit.

For the Record I reposted your rambling BLOG as a courtesy - you are still obligated to formulate a plan of action, circulate it to your shareholders (of each entity involved), convene a vote of approval, and, if for some reason your proposal were not accepted by a majority, than ostensibly you would solicit, evaluate and compare any alternative options put forward by your shareholders. It is painfully obvious to me and anyone else here that pays attention that you've ...er... skipped a few steps.

Scott did this to get people on his side because he and I are barking about the bonehead deal he made. I didn't sk to leave SL CapEX. I asked to be able to delist and regroup.

You said in that email that you would ask that we delist and handle it elsewhere. Don't change what you said now. I am assuming that locked assets will be kept by SL CapEx. I have no idea how that is done at this exchange. If they are being released, I would ask that the accounts be unlocked to retrieve assets for our portfolio. Once I have recieved the shareholder list for LCA, I ask that SL CapEx Management proceed with complete delistment. A group will be issued including all L&L Corporation shareholders for updates and soon the website and forums will be complete for information as well.

Scott,

Lindsay has not yet submitted a plan of Reorganization to SL CapEx for review. It is highly unlikely that we would allow or support a recapitalization plan that was not equitable for all parties to be listed on SL CapEx - far better for us to just ask Lindsay to delist her companies here and deal with whatever settlement or trading plan she might have going forward on her own exchange.

We get far too much bad press already due to Arb's unfortunate circumstances. More of the same attributable to a company which we don't control would not be an equitable arrangement.

At this point I can't really have an OFFICIAL position until Lindsay submits a plan for review (which from reading the forums today is likely going to be delayed until later this week). I know she's trying to come up with a fair plan - looks like she still has some ground to cover.

With regard to what you ultimately accept or reject, honestly, that's between you and Lindsay - we're just a trading house and can't tell her how to run her co (beyond our listing and compliance policies).

Why are you rounding before the conversion is done instead of afterward?

Are you saying that, if I have 1000 LLLF shares , according to your rounding I will only be left with 500 shares of LLC? You say that you are honoring the original 1$/share value for LLLF, but your method of converting is only valuing LLLF at 1.78/2 or 0.89/share.

The way it should be done is as follows,

1000 shares of LLLF divided by 1.78 will result in 561.798 shares of LLC. NOW you round and end up with 562 shares of LLC.

Lindsay's accounts are already Suspended due to the mere fact that both entities are HALTED (one at Lindsay's request, the second for non-compliance).

I'll tell you up front that LNL has maintained MINIMAL balances on SL CapEx. Makes sense really - they were a BANK.

Your edited post inferred that there were other choices, I assume you've deleted the post as you hadn't thought through the consequences of actually giving shareholders a choice. Is this belligerent enough?

Are there any side deals taking place allowing preferential treatment to shareholders that support your diktat.

I could agree to the preliminary conversion table that scott suggests in this thread (made at 13:32), providing the depositors whom still had cash frozen in LLFS or LLCRA get a correct conversion rate as well.

Their deposit didn't lose value (L$1 still equals L$1) so they should get a conversion rate of 1.56 or whatever we're valuing LLC at now.

Unless someone cares to explain why my reasoning is incorrect :)

The reason being LCA is worthless - infact is worth less then nothing - same with LNL. So all that is happening is LLL or whatever the new company is will just be massivly diluted.

$1.78 was the last sell price at halt Scott. 60 days may be better but LLL was halted on May 19th I believe so 60 days prior.

Look, I could just throw you some numbers and say deal with it but I did post that this was preliminary and that is was to be discussed so if discussing it with the shareholders is ignoring you Cayman then I guess my definition of a discussion is clearly flawed. Now, we can do one of two things here. Discuss and come to an agreement or you can continue the whole hate mail thing that most of the forums has grown tired of in the recent weeks.

Personally, I am argued out. I know the problem. I am working on the solution.

The LLFS website was down at the beginning of the month due to a server migration so it is not really fair to do a 30 day average because 30 days of accurate data is not available.

L&L Financial Liquidation Fund at $1/share = 2/1 conversion to LLC
L&L Rentals and Sales at $1.78/share = 1/1 conversion to LLC
L&L Credit Reporting at $.43/share (30 day average) = 4/1 conversion to LLC
L&L Financial Services at $.35/share (30 day average) = 5/1 converstion to LLC
L&L Financial Services outstanding at $1/share = 2/1 conversion to LLC
L&L Credit Reporting oustanding at $1/share = 2/1 conversion to LLC

This will be posted in the forums for discussion should there be any questions or adjustments needed. We expect to have the L&L Corporation Forums up and running within a day or so. The L&L Corporation website has been taken offline for rebranding. LLFS and LCA website are still holding for the rebrand as well. We expect to have most of the changes made this weekend to start open trading on LLC next week.

I agree with the previous post that LNLF was set up as a liquidation fund, and as such, the "shares" are not really shares in a company. Just because some people panicked, or others tried to be opportunists and sold and bought shares for ridiculously low values (the last transaction was for 693 shares at 0.03!!), should not be used to punish the rest of us who saw the "shares" for what they were, a liquidation fund.

Keep in mind that many people have alternates on here. It is quite possible that someone even sold to themselves at 0.03 in order to devalue the "shares".

I would suggest that the fairest and most ethical thing to do is to do the conversion based on your original promise to not go below $1/share.

I put money in a bank that freezed my account,converted my moneys in to shares and change my shares in other shares.
The 90 day average means a loss of 50% of value.
Without considering that the new shares will have a loss of 30-40% of its value,and you know.
So this means a loss of 80% of my moneys.
And this is a your choice,not a LL choice.
P.s.:ACE is up,my 25000 SLIB shares?

I'm just curious as to what kind of share conversion will be used to move the Liquidation Fund shares into the LNC shares.

I ask because the LNLF share value has plummeted since it was started. The last value is something like .03 per share. They are almost worthless compared to the original value.

Seems that every one didn't get Linden Labs notices and for a few days banks did still get deposits.

Remember the ATM withdrawal limits were set, not deposit.

When JTF stopped withdrawls activity on CapEx was still happening and if you wanted to inject lindens to take advantage the ATM's did allow deposits.
