The MetaNetwork Media business plan is not available for public viewing. Unless you are a direct strategy consultant to the MNM Team and have signed a Non Disclosure Agreement, then the plan can not be viewed.

Furthermore, All SL operations of MetaNetwork Media are now under the control of the RL MetaNetwork Media, Inc. executive team.

Cadence will remain the SL CEO of MetaNetwork Media with Arianna Barbarossa as the SL COO.

Dividends for MetaNetwork Media will be released in May 2008.

Greetings All,

As most of you know I am Jaison Spad (Jamar Freeze - RL), and I am the RL CEO of MetaNetwork Media.

Over the course of the next several days, the entire RL MNM Management team will review the forums and respond to questions relevant to MetaNetwork Media.

Additionally, moving forward, only RL MNM management personnel will respond to relevant MNM questions, on behalf of MetaNetwork Media, Inc.

As most of you know Fred Rosengarten (Fawkes Deerhunter - SL) is the RL COO of MetaNetwork Media.

Over the course of time, several management staff will post onto this forum as a means to communicate directly with the virtual investor community of SL Capital Exchange.

The meeting with Scott Nestler was a very positive and productive meeting with regards to the dynamics of the virtual investor community and MetaNetwork Media, Inc.

To address several items at this moment, the most important are the MNM financials and the trading halt. Fred who is also acting as the interm CFO is currently reviewing the requirements of this virtual stock exhange and submit compliant documentation to resume trading of MNM. I estimate trading should resume on MondayApril, 21.

Secondly, MetaNetwork Media, Inc. is a Delaware registered C Corp, with three officers of the company.

MetaNetwork Media is not going anywhere and we are moving forward with the expansion of our RL operations.

The virtual investors have the commitment of the RL MNM team to review and respond to serious inquiries about MetaNetwork Media, Inc. in a timely manner.

To: MNM Investors, SL Capital Exchange Investors, and SL Residents

Over the course of the past few days, the MNM RL team and I have read through the many colorful comments and have taken inventory of the valid questions pertaining to MetaNetwork Media.

I have established this forum area in order to respond directly to the public and MNM investors. My team and I kindly ask that all participants keep the questions and comments to respectful and considerate tone.

The RL management team of MetaNetwork Media will respond to questions posted in this area that pertain to their specific area within the company.

To begin, let's have a brief history lesson as to the evolution of MetaNetwork Media. I believe it's important to understand the roots and founding purpose of MetaNetwork Media.

Back in August 2007 the virtual avatars Cadence Juran and Axle Castro started on a quest to combine communication and technology in the form of entertaining media content. Both of these individuals recognized that a focal point for streaming broadcasting news and entertainment were missing from the mainstream SL public. Through there research they met Max March, a respected SL entrepreneur. Together the 3 of them endeavored to launch MetaNetwork Media, a virtual media company to provide virtual broadcasting news and entertainment.

Over the course of the next two months they assembled and established a team of dedicated and like-minded SL entrepreneurs to begin to make their vision a reality. Some of the original management team members were: Cadence Juran, Axle Castro, Max March, Ash Fitzpatrick, HD Slade, AWM Mars, Micheru Mathys, Setori Spire, and Wordwright Singh.

Cadence along with the original management team, began planning and developing the brand for the news network and entertainment network along with demos of 3D machinima content to broadcast to the public.

This original team than set out to make a virtual media company become a reality by raising linden funds through a private offering and then finally an initial public offering.

Around this time, I was invited to look into the Second Life platform and assist in further development of MetaNetwork Media. After reviewing all of the original MNM management team plans and discussing with them the true potential of this venture, the team and I began the planning of transforming MetaNetwork Media from a virtual company within the Second Life platform to an actual RL media company who's focus would be on the Metaverse marketplace and the RL marketplace.

Over the course of the past months since the inception of MetaNetwork Media, the company's management and staffing have changed in significant ways. Whereas the virtual operations which include several of the original MNM management like Cadence and HD Slade, then there are the RL operations (MetaNetwork Media, Inc.) which include myself, Fred Rosengarten, and our corporate officers. The integration of both operations and the understanding of the dynamics of Second Life have been a challenge. Fortunately, I believe the kinks have been ironed out and we all are moving forward in a positive direction.

This brings me back to the SL Capital Exchange community. My team and I will do our best to be as responsive to inquiries regarding MetaNetwork Media and improving communications to the members of this medium.

My team and I are still reviewing the many questions and comments on the MNM forum, but I have managed to pull several questions in the forum Scott Nestler established and will respond to them. Please be patient with us as we continue to review and respond to the many questions.

1. Why are them making bogus announcements? We may have had some fun going back and forth on issue before Nestler - but I suspect you are a reasonably smart guy and know they don’t have 200,000 viewers. Also ask them why their 'exclusive programs' are able to be seen everywhere else. Doesn’t exclusive mean it should only be seen on MNM?

The MetaNetwork Media distribution network has access up to 200,000+ viewers and listeners of our content. This is made possible by a combination of several outlets:
(1) SL Tronics Media TV Network, (2) strategic partnership with RL company i3D Inc and their Silver Stream Network, (3) Strategic broadcasting arrangements with RL radio stations WJAM Radio and Wheatbread Radio, (4) MetaNetwork Media external MNN site, (5) Social Networking platforms (MetaCafe, YouTube, Yahoo Video Channel, MySpace, etc).

In regards to exclusivity, at the onset of the broadcasting arrangements with our strategic broadcasting partners, it was the understanding that their content would be exclusively shown on the MetaNetwork Entertainment network within the Second Life platform. Some of those agreements have been revised.

2. Ask them how the RL business pertains to the SL business are 100% of RL revenues going to flow through to SL shareholders? What is the division? What about the RL venture capital they speak - are those investors going to be granted even more shares - and how is that going to work - are RL investors getting shares on SLCAPEX?

The RL operations of MetaNetwork Media are what drives the company. The virtual operations division is just one of several business groups within MetaNetwork Media. The Second Life virtual staff and SL virtual operations would fall into this category. The same method of operations would apply to the future virtual staffing we procure to operate in the targeted virtual worlds, once we establish a presence on those platforms (there.com, Kaneva, etc.)

The revenue generated from virtual operations within SL is what will be passed onto the virtual investors within the Second Life platform.

The RL venture capital of MetaNetwork Media is a separate matter that is only relevant to the RL operations of MetaNetwork Media. RL investors will not be tied to any virtual trading platform.

Additionally, SL Capital Exchange will be the only virtual trading platform MetaNetwork Media will be listed.




3. Have they, MNM considered any stock buy backs to stabilize the price drop?

The team and I are carefully reviewing the situation on the SL Capital Exchange and are developing plans to counter the loss in share price. This will include a number of tactics, one of which is MNM share buy back.

4. Why would a real life business plan be necessary and the cost as well as is it ethical to fund that via this method?

The opportunity to expand the vision and concept of the original founders of MetaNetwork Media to target RL advertisers and businesses was identified. In order to conduct business with RL entities, you must become a RL entity, hence the incorporation of MetaNetwork Media, Inc.

The original concept for MetaNetwork Media has been revised and further developed to include several key business strategies. In order to attract serious start up investment capital, a professional and comprehensive business plan had to be developed. The cost of business plan development varies depending on market and the type of capital/investors you are targeting. The old adage, you get what you pay for comes to mind. To leverage any possible advantage, the services of Master Plans were procured. Master Plans is a qualified and professional business plan development company with a long track record of success.

5. What are their plans to fix this and why nothing posted?
Our plans to correct this situation are to now have the RL management team respond to the SL Capital Exchange members directly. Overall communications will be improved moving forward.


6. Was the scope of this endeavor unrealistic and not well executed, appearing more and more so to be the case.

The vision created by the founders of MetaNetwork Media, in my opinion is very unique with the potential to very successful. The key to any business is execution, something which we all strive to improve upon.

To give credit to the original MNM team, I must point out that they did a fantastic job creating and developing a virtual media company with a virtual part time staff. I believe it is only fair to point out that Cadence, AWM Mars, HD Slade, Arianna and others have developed an entire sim called Synergy Island, acquired a major electronics TV company called SL Tronics Media, further developed the SL Tronics TV to now broadcast new media content. They have also developed the MetaNetwork News (MNN) network with an archive of weekly news. The development of the MetaNetwork Entertainment (MNE) network and strategic broadcasters to show their content. The development of MetaNetwork Radio (MNR) network and the broadcasting arrangements of TWO RL radio companies called WJAM and Wheatbread Radio. The procurement of RL companies onto Synergy Island – Castlebreck and Wheatbread, Also, the recent partnership and launch party for Wheatbread Radio and Cak’s Oasiz Lounge from Time Square New York. Let’s not also forget about the commercial created for business advertisers.

Bottomline, the original MNM team has accomplished a lot since the launch of MetaNetwork Media and the proof is before us all. These people have worked tirelessly to provide a service and a different form of media and I applaud the former and current MNM management and staff for all the hard work.

The challenge for the RL team is to take this to the next level that can be a benefit for the entire Metaverse community and to portray virtual communities as a relevant medium to advertise RL business to a unique demographic.



7. Stop by the SL Tronics Media showroom or the MNM HQ on Synergy Island and pick up a FREE SL Tronics TV!..where are the free TVs? I had to pay for one…

The free SL Tronics Media TV can be acquired by joining the MNM SubscribeOMatic channel. The kiosks are located through out Synergy Island and the Second Life grid. More specifically, there is a MNM SubscribeOMatic kiosk in the lobby of the MNM HQ and also outside the SL Tronics Media showroom. Both venues are located on Synergy Island.

MNM (RL) Responds to investor questions
* When RL and SL are going to be properly separated?
* When the IPO money you spent on RL will be refunded.

Currently, the RL management team of MNM are performing an audit and are working on the restatement of Q1 2008 MNM financials that will reflect the seperation of our RL operations from the virtual (SL) operations. This information will be released when the April 2008 month end actuals are posted.

An announcement on the dividend release will be announced next week.

Synergy Island subscriptions are the monthly 'leasing' rate for our clients residing on Synergy Island. 40,000L represents the total monthly leasing revenue from our existing and paying clients (Cak's Oasiz, SLTM, Castlebreck, Wickster.Worldwide).

As for commercial Sales, 75,000L is the total for sales made on The Scene episode 1.

Additional commercial sales are in the pipeline for The Scene, episode 2 and a new lifestyle production in the works.

The RL side of MNM has been making positive and steady growth progressions in the past 3 months. Thereby enabling MNM Management to begin the buying back of outstanding MNM (SL) public shares.

I understand that many SL investors have seen minor growth on the virtual side of MNM and the virtual share price has drastically fallen. This is due to the total seperation of our RL business from the SL/virtual business. Because of this seperation, we do not report on the RL side of MNM and it's projects on this platform.

However, I believe with the buyback schedule we have in place, all MNM (SL) investors should begin to see a positive 'upturn' in the MNM share price.

The MNM buyback schedule will be released on Monday, July 21, 2008. An announcement will be broadcasted and reposted in the forums.
